PERSONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into this day of June, 2005,
by and between the City of San Juan Capistrano (hereina er referred to as the "City")
and Ergun Bakall, Consulting Civil Engineer, (hereinafter referred to as "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the
preparation of an Urban Water Management Plan Update for 2005 for the City of San
Juan Capistrano as defined in the Department of Water Resources Guidelines and as
required by the California Urban Water Management Planning Act; and
WHEREAS, Consultant is qualified by virtue of experience, training, education
and expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed by no later than November 1, 2005.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall not exceed
Eleven Thousand Four Hundred DollarsL4jj A00 ), as set forth in Exhibit "A," attached
and incorporated herein by reference.
3.2 Rate Schedule.

The services shall be billed to the City at the hourly rate set forth in Exhibit 'A,"
attached and incorporated herein by reference. Included within the compensation are
all the Consultant's ordinary office and overhead expenses incurred by it, its agents and
employees, including meetings with the City representatives and incidental costs to
perform the stipulated services. Submittals shall be in accordance with Consultant's
proposal.
3.3 Method of Payment.
Consultant shall submit monthly invoices based on total services, which have
been satisfactorily completed and specifying a percentage of projected completion for
approval by the City. The City will pay monthly progress payments based on approved
invoices in accordance with this Section.
For extra work not part of this Agreement, a written authorization from City is
required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and expenses
incidental to services covered by this Agreement. These records will be made available
at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontractina and Assianment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the City. This Agreement may not be assigned, voluntarily or
by operation of law, without the prior written approval of the City. If Consultant is
permitted to subcontract any part of this Agreement by City, Consultant shall be
responsible to City for the acts and omissions of its subcontractor as it is for persons
directly employed. Nothing contained in this Agreement shall create any contractual
relationships between any subcontractor and City. All persons engaged in the work will
be considered employees of Consultant. City will deal directly with and will make all
payments to Consultant.

Section 6. Chances to Scope of Work.
In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including
but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated
the work to be performed; (2) it has investigated the proposed construction site,
including the location of all utilities, and is aware of all conditions there; and (3) it
understands the facilities, difficulties and restrictions of the work under this Agreement.
Should Consultant discover any latent or unknown conditions materially differing from
those inherent in the work or as represented by City, it shall immediately inform City of
this and shall not proceed with further work under this Agreement until written
instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City
at least one (1) copy of any final reports and architectural drawings containing
Consultant's findings, conclusions, and recommendations with any support
documentation. All reports submitted to the City shall be in reproducible format.

All services to be rendered hereunder shall be subject to the direction and
approval of the City.
Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and exhibits shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the
City. The City acknowledges such documents are instruments of Consultant's
professional services.
Section 13. Indemnity.
Consultant agrees to protect, defend and hold harmless City, its elected and
appointed officials and employees from any and all claims, liabilities, expenses or
damages of any nature, including attorneys' fees, for injury or death of any person or
damage to property or interference with use of property and for errors and omissions
committed by Consultant arising out of or in connection with the work, operation or
activities of Consultant, its agents, employees and subcontractors in carrying out its
obligations under this Agreement.
Section 14. Insurance.
Insurance required herein shall be valid for a minimum of one year, or term of
contract, whichever is longer, and it shall be provided by Admitted Insurers in good
standing with the State of California and having a minimum Best's Guide Rating of A -
Class VII or better.
14.1 Comprehensive Automobile Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force and
effect Comprehensive Automobile Liability coverage, including owned, hired and non -
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to
contractual period;

to contractual period
14.2 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as
required by state law.
14.3 Proof of Insurance Requirements/Endomement
Prior to beginning any work under this Agreement, Consultant shall submit the
insurance certificates, including the deductible or self -retention amount to the City
Clerk's office for certification that the insurance requirements of this Agreement have
been satisfied.
14.4 Notice of Cancellation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor the
coverages reduced, until after thirty (30) days' written notice is given to City, except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.
14.5 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions have
been satisfied.
14.6 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the City
has issued a written "Notice to Proceed" verifying that Consultant has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10)
days' notice to the other party of a material breach of contract. If the other party does
not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.

Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes ail previous negotiations between them pertaining to the subject
matter thereof.

Subject: Proposal to Provide 2005 Urban Water Management Plan Update
Dear Ms. Amirani
Thank you for the opportunity to submit this proposal to provide consulting services to prepare the
update for the City of San Juan Capistrano Urban Water Management Plan for 2005.
Urban Water Management Act (California Water Code Section 10644 (a)), requires City of San Juan
Capistrano, as an urban water suppliers providing water to more than 3,000 customers, to prepare an
Urban Water Management Plan (UWMP). The plan must be updated for the year 2005 and submitted
to California Department of Water Resources by December 31, 2005.
Our approach to preparing the City's 2005 UWMP will follow the detailed scope of work contained
in DWR guidelines and requirements for preparation of these plans. The undersigned who will
undertake all the work, is very familiar with California's Urban Water Management Planning Act and
fully understands the new 2005 requirements, such as incorporation of SB 610 and SB 221 and the
need to discuss how water quality may affect water supply. We are currently preparing 2005 UWMP
update for the Moulton Niguel Water District. Since 2000, we have prepared three Urban Water
Management Plans and seven Water Supply Assessment and Verification Reports in accordance with
Senate Bill 610 and Senate Bill 221.
As stated within our proposal, all work will be executed and accomplished by the undersigned. We
propose to provide our services on a time and material basis at a rate of $120 per hour with a total
not -to -exceed budget of $11,400 based on the scope of work described in our proposal and broken
down as follows:

Section 1- Executive Summary
Ergun Bakall is a registered Civil Engineer in private consulting practice as a sole -
proprietor, helping public clients improve water resource planning and management in
which he has had a 35- year long history of involvement. Mr. Bakall has assisted his
clients in addressing such issues as regulatory compliance, customer service, water
resources planning and other strategic planning issues in addition to developing capital
improvement programs.
Mr. Bakall is very familiar with California's Urban Water Management Planning Act and
fully understands the new 2005 requirements, such as incorporation of SB 610 and SB
221 and the need to discuss how water quality may affect water supply. Mr. Bakall is
currently preparing 2005 UWMP update for the Moulton Niguel Water District.
Since 2000, Mr. Bakall has prepared three Urban Water Management Plans and seven
Water Supply Assessment and Verification Reports in accordance with Senate Bill 610
and Senate Bill 221.
Mr. Bakall's experience ranges from facility planning, design and construction to
comprehensive master planning. He has served as Principal Engineer for Irvine Ranch
Water District and retired from public service as Chief Engineer of San Diego County
Water Authority where he played a key role in water resource development, water
transfers, and emergency storage development in addition to undertaking Capital
Improvement Program in excess of a billion dollars.
Mr.Bakall has prepared long-range water supply plans and large urban area water master
plans as well as number of Urban Water Management Plans, and Water Supply
Assessment and Verification Reports. As an elected member of Municipal Water District
of Orange County Board of Directors as well as Metropolitan Water District of Southern
California he has gained a unique insight and understanding of water supply and water
resource issues from a state, regional and local perspective.

For this project, cost control and efficiency will be important. All work except final
clerical revisions will be done by Mr. Bakall himself to ensure that the City's 2005
UWMP update meets all of DWR requirements. Due to high level of expertise in all
aspects of water resources planning, combined with low overhead, he is able to deliver
the project efficiently and in a very cost effective manner. All of relevant projects shown
above required preparation of a plan that met certain objectives and requirements, under a
specified deadline. Results were high quality products completed within budget and on
schedule.

Section 5- Project Understanding
California Water Code Section 10644 (a), requires urban water suppliers that provide
water to more than 3,000 customers or supplying more than 3,000 acre feet per year to
prepare and Urban Water Management Plan (UWMP). These plans must be updated at
least every five years, and submitted by December 31 in years ending in zero or five.
For 2005, the UWMP shall be the foundation document and source of information for SB
610 Water Supply Assessments and SB 221 Written Verification of Water Supply. The
UWMP also serves as a long-range water supply plan, source data for development of
regional water plans and integrated resources plans, and a source document for cities and
counties for their general plans. Key elements of the UWMP are:
• Current and projected water demands by category (residential, commercial,
industrial, public, other)
• Current sources of water supplies and reliability of those supplies
• Planned sources of water supplies, such as storage, recycled water, desalination,
and transfers/exchanges
• Current and projected water conservation, or demand-side management,
including an analysis of cost-effectiveness for BMP implementation for those
agencies that are signatories to the "Memorandum of Understanding Regarding
Urban Water Conservation in Califomia"
• Water quality issues as they might impact reliability or availability of water
supply
• Comparisons of demands and supplies under normal, single -year dry year, and
multiple -dry year period for the next 25 years, in five-year increments.
It is important to note that an UWMP may be rejected or sent back to a water supplier if
the requirements are not met. The California Department of Water Resources (DWR) will
have a checklist that it will use to determine if the UWMP meets these requirements.
A successfully completed UWMP will help the Metropolitan Water District of Southern
California(MWD), and the State better plan for water supply. It will also be used to
determine the eligibility of the City of San Juan Capistrano (the City) for certain state
grants, such as Prop. 50 and other water supply grant programs.

Section 6- Approach and Scope of Work
61 Overview
Our approach to preparing the 2005 UWMP will follow the detailed scope of work
contained in DWR guidelines and requirements for preparation of these plans.
DWR has developed a checklist which it will use to determine if the 2005 UWMP update
has met all of the requirements as called for in the California Urban Water Management
Plan Act. DWR has also created several spreadsheets in which they will enter key data
from each plan. At their 2005 UWMP Workshop, DWR indicated that it would be
preferable for urban water providers to follow the format of these tables to ensure that
each requirement is met. Therefore, we will use DWR tabulations as a guide for reporting
the required information to ensure that all requirements for the 2005 updates will be met
and easily understood.
6.2 —Scope of Work
The major tasks to be completed for 2005 UWMP update are:
Task 1, Data/Information Collection and Review

6.3 Data Collection
We will collect pertinent data and review relevant reports or studies that deal with water
supply, groundwater management, water conservation, water recycling and shortage
contingency plans. We are very familiar with most of this information due to our

involvement with MWDOC and MWD. Data gathering will include demographic
projections, water demand projections, hydrology factors for imported water from MWD
and groundwater, and regional water supply planning efforts such as water transfers and
desalination.
6.4 Service Area Information
This effort corresponds to Task 2. We will summarize and characterize the service area,
current and projected demographics, climate, income, and anticipated new development.
6.5 Rater Resources Reliability
This effort corresponds to Task 3, and represents the bulk of the reporting for the 2005
UWMP updates. It is in this task that current water supplies and their sources will be
documented. This will include a discussion of imported water from MWD and its
reliability. It will also include a discussion of groundwater from the San Juan Basin and a
summary of the groundwater management plan as well as long range plans of San Juan
Basin Authority. These water supplies will be evaluated in terms of their reliability in a
normal year, single -dry year and multiple -dry year period. We will use MWD
methodology of determining the hydrologic basis for this reliability evaluation.
This task will also summarize past, current and projected water demands by major
account type (residential, commercial, industrial, landscape, agricultural, etc.). We will
gather past and current water demand data, and use City's demand projections for the
next 25 years. Water transfers, desalination and other planned water supply projects will
be discussed and summarized in this task.
Finally, a water service reliability assessment will be described and summarized for the
City. This will compare demands and supplies for five year increments over the next 25
years, based on normal weather conditions, single -dry year, and multiple -dry year
periods.
6.6 Demand Management Measures
This effort corresponds to Task 4, It is in this task in which water demand management,
or water use efficiency measures, will be summarized. There are basically two methods
acceptable to DWR for characterizing demand management. If the City is a member of
the California Urban Water Conservation Council and has submitted its BMP activities,
these reports would serve as documentation for the UWMP update. Otherwise, the
UWMP update needs to discuss how the City is planning to implement any of the 14
BMPs.

6.7 Water Shortage Contingency Plan
This effort corresponds to Task 5, and will summarize the City's water shortage plans.
Specifically it will address the stages of actions that the City will take during extreme
supply shortages. It will also address catastrophic supply shortage action plans. It will
summarize any analysis of revenue impacts from reduction in water sales during
shortages. A copy of the adopted ordinance for the shortage contingency plan will be
attached.
6 8 Current and Proposed Use of Recycled Water
This effort corresponds to Task 6, and will address the City's potential for use of recycled
water. This will include a discussion of recycled water availability and its financial
feasibility.
6.9 Water Quality Impacts on Reliability
This effort corresponds to Task 7, and will summarize any potential water quality impacts
on supply reliability. Any impact will need to be discussed and impacts tabulated in five
year increments for the next 25 years.
6.10 Prepare 2005 UWMP Update Report
This effort corresponds to Task 8. We will prepare a draft 2005 UWMP for review by the
City, and other relevant agencies. We will incorporate comments into a final draft report
and circulate the copies. We will assist the City in the adoption of the 2005 UWMP, and
in coordinating the Notice of Public Hearing and Council Resolution of Plan Adoption.
We will attend the Public Hearing. We will incorporate any final agency comments as
well as appropriate public comments into a final 2005 UWMP and will submit the plan to
DWR on behalf of the City. We will also provide ten bound copies and an electronic
copy of the Final UWMP to the City.

Section 7 -Schedule
Depending on the time involved in gathering of data from the City the draft L WW -2005
will be completed in six weeks. It is prudent to wait for completion of the MWDOC and
MWD Regional plans before finalizing the City's plan. Our understanding is MWD plan
might be available for review by July 2005.
We will submit to the City the draft of 2005 UWMP by September 2005, and depending
upon the scheduling of the Public Hearing and Council Resolution of Plan, we anticipate
submittal of the plan to DWR by October 2005.

Ergun Bakall, P.E., Principal and sole -proprietor of Southern California focused Consulting
Engineering practice, has over 35 years of experience in water supply industry. During this time he
has planned, designed and overseen construction of numerous water supply and treatment related
infrastructure and participated in integrated resource development. 22 of his 35 years have been in
the service of Southern California Water Agencies as a public employee and 13 years as a
consultant.
He has prepared large urban area water master plans, long-range water supply plans and number of
Urban Water Management Plans, and Water Supply Assessment and Verification Reports. As an
elected member of Municipal Water District of Orange County Board of Directors as well as
Metropolitan Water District of Southern California he has gained a unique insight and understanding
of water supply and water resource issues from a state, regional and local perspective.

October 2000 to Present- PRIVATE PRACTICE
Current practice is focused on helping public clients improve water resource planning and
management, assisting in regulatory compliance issues, customer service, and other strategic
planning issues in addition to developing capital improvement programs.
Current clients include City of Seal Beach, City of Glendora, City of Fountain Valley, City of
Orange and the South Coast County Water District and Moulton Niguel Water District.

Planned and designed number of water related projects for Public Agencies in water
industry. These projects ranged from master planning to design and construction of
treatment facilities, wells, small and large diameter pipelines and pumping stations.

April 1989 to July 1996 Chief Engineer -San Diego County Water Authority
Directed planning, design, and construction of a one billion dollar Capital Improvement
Program for the countywide water system that included large diameter (69 -in to 108 -in)
pipelines, storage reservoirs, pumping stations and various flow control and metering
facilities. Engineering and administrative costs for these projects amounted to only 12
percent of the total project costs. Overall change orders for all completed projects were
about 3 percent and all this was accomplished without a single construction claim or
litigation. Overall responsibilities included supervision of the Operations and
Maintenance Department and the Engineering Department.
May 1982 to April 1989 Principal Engineer- Irvine Ranch Water District
Directed Engineering Department responsible for design and construction management
of all water and wastewater facilities of the District. Managed staff totaling 24,
including 14 registered professional engineers.
Annual Capital Program budget for the Division exceeded $130 million and included
water and wastewater projects for new infrastructure as well as refurbishing and
retrofitting of existing facilities.
Many of the capital projects were designed in house under direct supervision. The
Division staff accomplished all construction inspection, management and
administration duties.
March 1978 to May 1982 Project Manager- Boyle Engineering Corporation
Directed the design and construction phases of the of the Allen-McColloch pipeline in
South Orange County. As Project Manager was directly responsible to the Owner for
overall contract administration, construction management, quality assurance, and
claims administration. This $30 million project was successfully completed without
claims or litigation.
November 1971 to March 1978 Civil Engineer- Long Beach Water Department
Managed Engineering Department staff of 12 engineers, designers, inspectors, and
surveyors. Activities consisted of planning, design and construction administration of
facilities for water supply and treatment facilities. Projects included drilling and
equipping of water wells; design and construction of fluoridation systems; and
telemetry and control systems; pumping stations; large diameter pipelines.
