0 4 AGREEMENT FOR CONSULTANT SERVICES THIS AGREEMENT is made and entered into this 19th day of May. 1998, by and between the San Juan Capistrano Community Redevelopment Agency, hereinafter referred to as "Agency," and Mobile Home Inspectors, hereinafter referred to as "Consultant," whose Corporate Office is located at 16932 Gothard Street Huntington Beach Unit N California. 92647. WITNESSETH: WHEREAS, Agency requires professional consulting services for the inspection of mobile homes and mobile home parks throughout the City; and WHEREAS, Consultant represents that Consultant is duly qualified to provide said service, NOW, THEREFORE, Agency and Consultant, for the consideration hereinafter named, agree as follows: SECTION 1. GENERAL. All work on the project shall be governed by the conditions contained herein. In general, the tasks delineated herein are to be performed with minimum direction and assistance from Agency. All work performed by Consultant, however, shall be subject to review and approval of the Executive or his designee, Thomas Tomlinson, Deputy Director, at all times. SECTION 2 SCOPE OF TASKS BY CONSULTANT AND AGENCY Subject to the terms and conditions of this Agreement, Consultant shall perform the tasks as set forth in Exhibit "A", attached and incorporated herein by reference. During performance of the above tasks, Consultant shall have access to existing public record data in Agency files, and Agency shall provide copies of any such data Consultant requests at no cost to Consultant. Agency agrees to coordinate, schedule and perform all liaison activities for all other City staff, operations or departments which will be involved in the implementation of this program. -1- SECTION 3 TIME OF BEGINNING AND COMPLETION OF SERVICES. The services provided under this Agreement shall begin upon execution of this Agreement by all parties. The services provided under this Agreement shall be for a period of one year beginning May 19. 1998 and ending May 19, 1999. At its option, the Agency, with evidence that the Consultant has diligently and successfully performed its duties under the Agreement, may extend the Agreement for not more than two additional one-year periods, not to exceed a total of three consecutive years. SECTION 4. PAYMENT FOR CONSULTANT'S SERVICES. Consultant contract billings may be submitted on the consultant's forms and, at a minimum, should contain the following: a. Title of project(s). b. Title of the component for which services are being paid including the applicable hourly rate, if any, as shown below in this Section. C. Purchase order number. d. Total approved purchase order amount. C. Amount paid to date. f. Amount requested. g. Amount remaining on purchase order. h. Breakdown of amounts by project type or account number. Three copies of itemized bills, clearly indicating the monthly period for which the billing is made, shall be submitted to: San Juan Capistrano Community Redevelopment Agency, Attn: Executive Director, 32400 Paseo Adelanto, San Juan Capistrano, CA 92675. Total cost to Agency for Consultant's fees shall not exceed $82,830 as more fully described in Exhibit B attached hereto and made a part hereof. -2- 0 0 SECTION 5COVENANT AGAINST CONTINGENT FEES Consultant warrants that it has not employed or retained any company or person, other than a bona fide employee working for Consultant, to solicit or secure this Agreement, that it has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any other consideration, contingent upon or resulting from the award or making of this Agreement. For a proven breach or violation of this warranty, Agency shall have the right to annul this Agreement without liability, or, at its sole discretion, to deduct from the Agreement price or consideration, or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. SECTION 6. EXPENSES. Consultant acknowledges Agency is under no obligation to compensate Consultant for services rendered or expenses accrued under this Agreement in excess of the maximum compensation specified in Section 4. SECTION 7 OWNERSHIP OF DOCUMENTS. All tracings, plans, specifications, maps or other documents prepared or obtained under the terms of this Agreement shall be delivered to, and become the property of Agency, and basic survey notes and sketches, charts, computations and other data prepared or obtained under this Agreement shall be made available on diskette and in written format upon request to Agency without restriction or limitation on their use. SECTION 8. NON -DISCLOSURE. The designs, plans, reports, investigation, materials and documents prepared or acquired by Consultant pursuant to this Agreement (including any duplicate copies kept by Consultant) shall not be shown to any other public or private person or entity, except as authorized by Agency. Consultant shall not disclose to any other public or private person or entity any information regarding the activities of Agency, except as authorized by Agency. SECTION 9 CONFLICT OF INTEREST. For the duration of this Agreement, Consultant shall not act as consultant or perform services of any kind for any person or entity in regard to this project without the prior written consent of Agency. The Consultant will be allowed to participate in the City's Mobile Home Improvement Program provided that the repairs to be addressed in the Mobile Home Improvement Program are not related to the inspection performed by the Consultant. -3- 0 SECTION 10 CHANGES IN SCOPE OF CONSULTANT'S SERVICES. No additional fee shall be paid by Agency for additional consulting services not included in this Agreement without the written approval of the Agency prior to undertaking such work. In the event of suspension of project by Agency, Consultant shall have the right to renegotiate fees if delay is greater than six (6) months. SECTION 11 TERMINATION A. Agency or Consultant shall have the right to terminate this Agreement without cause upon thirty (30) days prior written notice to Consultant or Agency, respectively. Notice of termination of this Agreement shall be given in writing to Consultant, and shall be sufficient to complete when same is deposited in the U.S. mail, first class postage prepaid. B. In the event this Agreement is terminated by Agency or Consultant, Consultant shall be paid the value of services performed by him pursuant to this Agreement prior to the date of termination thereof, such value to be the total to which he shall have become entitled, as determined by the Agency, less the amount of any payments previously made, but in no event exceeding the maximum contract amount stated in Section 4. SECTION 12 DISPUTES. Unless otherwise specified herein, any dispute over a question of fact arising under this Agreement which cannot be resolved by agreement between the parties may be, by mutual consent of the parties, submitted to a 'Board of Arbitration" consisting of three (3) arbitrators having expertise relating to this contract subject matter, one of whom shall be selected by each of the parties, and the third by the two members selected by the parties. Each of the parties shall pay the member selected by it, and the compensation of the third member shall be paid equally by the parties. The parties shall be bound by the decision of the Board of Arbitration. SECTION 13. NO ASSIGNMENTS. Neither any part nor all of this Agreement may be assigned or subcontracted, except as otherwise specifically provided herein, or to which Agency, in its sole discretion, consents to in advance thereof in writing. Any assignment or subcontracting in violation of this provision shall be void. 10 0 0 SECTION 14 MAINTENANCE OF RECORDS. Consultant shall maintain all books, documents, papers, employee time sheets, accounting records and other evidence pertaining to costs incurred and shall make such materials available at their respective offices at all reasonable times during the contract period and for three (3) years from the date of final payment under this Agreement for inspection by Agency, and copies thereof shall be furnished if requested. SECTION 15 INDEPENDENT CONTRACTOR. At all times during the term of this Agreement, Consultant shall be an independent contractor and shall not be an employee of the Agency. Agency shall have the right to control Consultant only insofar as the results of Consultant's services rendered pursuant to this Agreement; however, Agency shall not have the right to control the means by which Consultant accomplishes services rendered pursuant to this Agreement. All persons employed to provide services under this Agreement shall be employees or contractors of Consultant and shall not be deemed employees of Agency for any reason or purpose. Consultant shall be responsible for providing worker's compensation insurance coverage for all persons employed to perform services under this Agreement. SECTION 16, INDEMNITY. Consultant shall be responsible for all injuries to persons and for damages to real or personal property of Agency, caused by or resulting from any activity or operation of Consultant, its employees or its agents during the progress of or connected with the rendition of services hereunder. Consultant shall defend, hold harmless and indemnify Agency and all officers and employees of the Agency from all costs and claims for damages to real or personal property or personal injury to any third party resulting from the activity of Consultant, its employees or agents. SECTION 17 INSURANCE AND BONDING REQUIREMENTS. 1) Comprehensive General Liability. Consultant shall maintain in full force and effect comprehensive general liability coverage, including premises operations, broad form property damage and blanket contractual liability in the following minimum amounts: $500,000 property damage; $500,000 injury to one person/any one occurrence/not limited to contractual period; $1,000,000 injury to more than one person/any one occurrence/not limited to contractual period. -5- 2) Comprehensive Automobile Liability. Consultant shall maintain in full force and effect comprehensive automobile liability coverage, including owned, hired and non -owned vehicles in the following minimum amounts: $100,000 property damage; $100,000 injury to one person/any one occurrence/not limited to contractual period; $300,000 injury to more than one person/any one occurrence/not limited to contractual period. 3) Worker's Compensation. If Consultant employs employees to perform services under this Agreement, Consultant shall obtain and maintain, during the life of this Agreement, Worker's Compensation Employer's Liability Insurance in the statutory amount as required by state law. SECTION 18 TIME FOR SUBMITTING PROOF OF INSURANCE. Consultant shall submit proof of insurance requirements under this Agreement to the Agency Clerk's office prior to beginning any work under this Agreement. Consultant shall not receive any compensation until all insurance provisions have been satisfied. SECTION 19 LICENSES AND PERMITS Consultant represents and warrants to Agency that he has all licenses, permits, qualifications and approvals of whatever nature that are legally required to practice his profession. Consultant represents and warrants to Agency that Consultant shall, at his sole cost and expense, keep in effect at all times during the term of this Agreement, any license, permit or approval which is legally required for Consultant to practice his profession. SECTION 20, PERSONNEL. Consultant agrees to assign the following person/persons to perform the tasks set forth in the Agreement (Exhibit "X'): Greg Filian Consultant shall not unilaterally alter the assignment of the above personnel without the authorization of the Agency. Consultant shall have the right to hire such other managers and other employees, as are reasonably required in the performance of the Agreement. Consultant shall designate such duties and pay such compensation as deemed necessary by Consultant and approved by Agency. It is agreed that all such employees are employees of the Consultant. Compensation and benefits of such employees shall be administered by Consultant. Agency shall have the unrestricted right to order the removal of any person/persons assigned by Consultant by giving written notice to Consultant to such effect. FIS 0 SECTION 21 MANDATORY FINANCIAL DISCLOSURE REQUIREMENT/CONFLICT OF INTEREST. It has been determined that pursuant to the requirements of California Administrative Code Section 18700, and Council policy, Consultant is to be considered a designated position in the City Conflict of Interest Code and is required to disclose all investments and business positions in business entities, sources of income and interests in real property held on the effective date of this Agreement. The Conflict of Interest statement is to be filed with the City Clerk within thirty (30) days of approval of the Agreement. Compensation will not be received until requirements of this section have been met. SECTION 22, LEGAL FEES. In the event Consultant or Agency shall institute legal proceedings against the other arising out of the terms of this Agreement or the performance thereunder, then the prevailing party shall be entitled to recover from the other all attorney's fees, costs and expenses incurred in such action. SECTION 23, NOTICES. Any notices required under the terms herein shall be deemed given upon the placing of it in the United States mail, postage prepaid, and addressed to the address set forth below the signature line. Said address may be changed by either party by mailing written notice of such change to the other party at the last designated address of the other party as provided herein. SECTION 24, EQUAL OPPORTUNITY. Consultant is an equal opportunity nondiscriminatory employer. Consultant and Agency each mutually agree that there shall be no discrimination against or segregation of any person or of a group of persons on account of race, color, religion, creed, sex, or national origin in leasing, transferring, use, occupancy, tenure or enjoyment of the Property, nor shall Agency or Consultant permit any such practice or practices of discrimination or segregation with reference to the selection, location, number, use or occupancy of tenants. In connection with the foregoing, Consultant will strictly adhere to the Fair Housing Act Amendments of 1989 as interpreted by the U.S. Department of Housing and Urban Development. Non-compliance will result in the immediate termination of this Agreement by Agency. -7- SECTION 25 CONMENTIALITY. 0 Consultant agrees that all knowledge and information relative to tenants obtained by Consultant during the course of this Agreement shall be kept strictly confidential to the extent required by law, and shall not be disclosed in whole or in part to anyone or used by Consultant for any purpose, except in connection with Consultant's carrying out its duties and responsibilities hereunder, without Agency's express consent. All materials, information and documentation relating to the tenants in Consultant's possession shall be returned to the Agency immediately upon any termination of the Agreement. The provision of this paragraph shall survive the termination of this Agreement. SECTION 26, VENUE, This Management Agreement is to be construed under the laws of the State of California. Provide a written inspection report identifying the Title 25 violations for each PARK owner. 4. Prepare and distribute a letter to all mobile home residents regarding the date and time of the mobile home Title 25 inspection and the purpose of the inspection. 5. Conduct the inspection of each individual mobile home resident space to identify resident Title 25 violations. 6. Provide a written inspection report identifying the Title 25 violations for each individual resident mobile home space. This report may be a comprehensive listing of all violations within the park by owner and resident as opposed to an individual report for each space. 7. Prepare and distribute a letter notifying the park owner of any Title 25 violations. The selected firm shall be responsible for preparing and distributing all letters. 8. Prepare and distribute a letter notifying each resident of any Title 25 violations. City staff shall review the correspondence to ensure that all available city programs are identified to assist in correcting the violations. 9. Conduct a follow-up inspection of each mobile home space, as necessary, and each mobile home park to determine that all identified Title 25 violations have been corrected. The follow-up inspection shall show (a) all items that have been corrected by park name and space number and (b) all items that remain to be corrected by park name and space number. 10. Coordinate with City staff to provide inspection approval information. 11. Coordinate with City staff and attend meetings between the City staff and/or park owners and park residents, as necessary. -1- ca 0 0 AGENDA ITEM May 19, 1998 TO: George Scarborough, Executive Director FROM: Thomas Tomlinson, Deputy Director SUBJECT: Consideration of Approval of Consulting Agreement for Title 25 Inspection Services (Mobile Home Inspectors) RECOMMENDATION By motion, (a) approve the selection of Mobile Home Inspectors for Title 25 inspection services, (b) authorize the City Manager to enter into a contract with Mobile Home Inspectors to provide Title 25 inspections services. A. SUMMARY AND RECOMMENDATION: The City for the last several years has assumed the State of California Housing and Community Development (HCD) duties of performing mandatory inspections of all mobile homes to ensure compliance with Title 25 regulations. At least one mandatory inspection of each mobile home resident space and each mobile home park is required to be conducted every five years. Currently, the City is within the five year time frame within which to perform these inspections. At this time, staff is requesting the approval of the selection of Mobile Home Inspectors to conduct the mandatory inspections. Attached is a draft Consulting Agreement that will be executed upon approval by the CRA (Attachment 1). B. STAFF ANALYSIS - In January of 1998, request for proposals were solicited from three firms specializing in mobile home inspections. Based on the prices and references for the two firms, it is staffs recommendation that Mobile Home Inspectors be selected to perform the Title 25 inspections. Using Mobile Home Inspectors total contract price of $82,830, the approximate inspection cost per resident mobile home park space is $68.00. a, rcSp C\W W60\=LE25=5-19.AI 8 FOR CITY COUNCILACEC " 0 0 AGENDA ITEM -2- May 19, 1998 The selected firm will be responsible for performing mandatory Title 25 inspections for seven mobile parks consisting of approximately 1,214 mobile homes including the identification of Title 25 violations for both park owners and residents. The selected firm will perform inspections over three years. This means that the City staff may elect to conduct inspections of the seven parks in several phases (i.e., two to three parks inspected per year). A summary of the duties required of the selected firm includes, but is limited to, the following: Prepare and distribute a letter to all mobile home PARK owners regarding the date and time of the mobile home Title 25 inspection and the purpose of the inspection. Conduct the inspection of each mobile home park to conduct an inspection to identify park owner Title 25 violations. Based on this schedule, it is anticipated that approximately $30,000 will be needed annually. $25,000 from Housing Set -Aside Funds has been budgeted for fiscal year 1997/1998 to begin the inspections. $30,000 will be programmed in each year until completion of the project. A. SUMMARY AND RECOMMENDATION: The City for the last several years has assumed the State of California Housing and Community Development (HCD) duties of performing mandatory inspections of all mobile homes to ensure compliance with Title 25 regulations. At least one mandatory inspection of each mobile home resident space and each mobile home park is required to be conducted every five years. Currently, the City is within the five year time frame within which to perform these inspections. At this time, staff is requesting the approval of the selection of Mobile Home Inspectors to conduct the mandatory inspections. Attached is a draft Consulting Agreement that will be executed upon approval by the CRA (Attachment 1). B. STAFF ANALYSIS - In January of 1998, request for proposals were solicited from three firms specializing in mobile home inspections. Based on the prices and references for the two firms, it is staffs recommendation that Mobile Home Inspectors be selected to perform the Title 25 inspections. Using Mobile Home Inspectors total contract price of $82,830, the approximate inspection cost per resident mobile home park space is $68.00. C.\WPW INWTMLE25\CC5-05.A1 AGENDA ITEM -2- May 5, 1998 The selected firm will be responsible for performing mandatory Title 25 inspections for seven mobile parks consisting of approximately 1,214 mobile homes including the identification of Title 25 violations for both park owners and residents. The selected firm will perform inspections over three years. This means that the City staff may elect to conduct inspections of the seven parks in several phases (i.e., two to three parks inspected per year). A summary of the duties required of the selected firm includes, but is limited to, the following: Prepare and distribute a letter to all mobile home PARK owners regarding the date and time of the mobile home Title 25 inspection and the purpose of the inspection. 2. Conduct the inspection of each mobile home park to conduct an inspection to identify park owner Title 25 violations. 3. Provide a written inspection report identifying the Title 25 violations for each PARK owner. 4. Prepare and distribute a letter to all mobile home residents regarding the date and time of the mobile home Title 25 inspection and the purpose of the inspection. 5. Conduct the inspection of each individual mobile home resident space to identify resident Title 25 violations. 6. Provide a written inspection report identifying the Title 25 violations for each individual resident mobile home space. This report may be a comprehensive listing of all violations within the park by owner and resident as opposed to an individual report for each space. Prepare and distribute a letter notifying the park owner of any Title 25 violations. The selected firm shall be responsible for preparing and distributing all letters. 8. Prepare and distribute a letter notifying each resident of any Title 25 violations. City staff shall review the correspondence to ensure that all available city programs are identified to assist in correcting the violations. 9. Conduct a follow-up inspection of each mobile home space, as necessary, and each mobile home park to determine that all identified Title 25 violations have been corrected. The follow-up inspection shall show (a) all items that have been corrected by park name and space number and (b) all items that remain to be corrected by park name and space number. 10. Coordinate with City staff to provide inspection approval information. 11. Coordinate with City staff and attend meetings between the City staff and/or park owners and park residents, as necessary. The Agreement is effective for a period of one year, ending May 19, 19Q4 with two additional one-year extensions. Total cost to the Agency is not to exceed $82,830. A fully -executed copy of the Agreement is enclosed for your files. The Agency has not yet received the insurance required in Section 17 of the Agreement. Please forward the required certificates and endorsement to the Agency Secretary/City Clerk's office as soon as possible. The Agreement stipulates that the insurance is to be received prior to beginning work, and compensation will not be authorized until the insurance requirement has been met. Section 21 of the Agreement further designates this consultant position as one required to file Statements of Economic Interests, A Statement of Economic Interest Form 700 is enclosed. The Notes came due in 1991 and the Agency issued -year Tax Allocation Refunding Bonds to retire those Notes. Based on current lower rates in bond market, the Agency now has the opportunity to realize savings by refinancing the 194']bQnds. The savings would reduce the Agency's annual debt service costs by approximately $2 000 per year. Ms. Pendleton, Finance Officer, ave an oral presentation noting the savings to the City of approximately $20,000 per year fo=eftm maining 18 years of the bond issue.
