I. PARTIES AND DATE.
THIS LICENSE AGREEMENT is made this 6th day of February, 2007, by and
between the CITY OF SAN JUAN CAPISTRANO, hereinafter referred to as
"Licensor"and Silver Leaf Estates Homeowners Association, hereinafter referred to
as "Licensee".
II. GRANT OF LICENSE AND CONDITIONS.
Licensor and Licensee mutually resolve as follows:
1. Grant of License. Licensor hereby grants to Licensee a license right to use a
portion of an existing public right-of-way for the purpose of creating a "conversation
courtyard" with brick paving and a decorative park bench located within the City of
San Juan Capistrano, and more particularly described in Exhibit "A", attached
hereto. The location of the improvements is set forth in Exhibit"B", attached hereto.
Licensee will place the improvements under the direction of the Licensor's Director
of Engineering and Building in the existing public right-of-way located on Assessor's
Parcel No. 664-053-16, Tract 13721.
2. Hold Harmless. Licensee agrees to save and defend the Licensor, its elected
and appointed officials, agents and employees harmless from and against any and
all injuries to and deaths of persons and injuries to property or other interests and all
claims, demands, costs, loss, damage, and liability,arising out of the performance of
Licensee's rights and obligations under this Agreement.
Licensee shall maintain in effect a policy of comprehensive general liability or
commercial general liability insurance in which the limits of liability shall not be less
than One Million Dollars($1,000,000.00). Licensor shall be named as an additional
insured on such policy and an endorsement shall be provided to Licensor proving
that said insurance coverage is in place.
The foregoing indemnification and insurance obligations shall be in effect for
perpetuity or as such time that the improvements are removed to the satisfaction of
the licensor's Director of Engineering & Building.
3. Responsibility of Licensee to Maintain. Repair. Remove and/or Relocate
Private Improvements. Licensee has requested and the Licensor by execution of
this Agreement allows the Licensee, at Licensee's sole expense, to create a
"conversation courtyard" with brick paving and a decorative park bench located
within the existing public right-of-way. Licensee acknowledges that the public right-
of-way, in which the brick paving and a decorative park bench will be placed, may
need to be accessed by the City for maintenance and/or repair. Any costs and
construction work needed to repair, remove and/or relocate said private
improvements occasioned by the above shall be borne by the Licensee.
Prior to the issuance of construction permits, private improvements found to be in
conflict with existing utility facilities or systems shall be redesigned, or utilities shall

be relocated, subject to the approval of the specific agency/utility company, at the
expense of the Licensee.
Licensee further acknowledges if, during the course of construction and/or
maintenance of the private improvements by the Licensee, any of the facility owners'
equipment is damaged, the cost to repair and/or replace said equipment shall be
borne by the Licensee.
The Licensor reserves the right to terminate this License Agreement immediately if
Licensor determines that the improvements become detrimental to the public health,
safety and welfare. In the event of the termination of this License Agreement, all
costs to remove all of the improvements shall be born by the Licensee.
4. Successors in Interest. The License Agreement shall inure to and be binding
on the heirs, successors, executors, administrators, and assignees of the Licensee.
The licensee shall amend the CC&R's for Tract 13721 to incorporate this
agreement.
5. No Waiver. Any failures or delays by Licensor in asserting any of its rights
and remedies as to any default by Licensee hereunder shall not operate as a waiver
of any default or any such rights or remedies, or deprive Licensor of its right to
institute and maintain any actions or proceedings which it may deem necessary to
protect, assert or enforce any such rights or remedies.
III. TERMS.
1. This License Agreement shall continue in full force and effect, subject to
paragraph 4, unless terminated by the Licensee or Licensor upon 90 days written
notice; or, shall be terminated on 10 days notice if Licensee fails to adhere to any
conditions of this Agreement. Upon termination, Licensee shall restore the
easement to its original condition to the satisfaction of the City Engineer.

SUBJECT: Consideration of a License Agreement for the Installation of Improvements
within the Public Right-of-Way Relating to Creating a "Conversation
Courtyard" with Brick Paving and a Decorative Park Bench (Tract 13721,

RECOMMENDATION:
By motion:
1. Approve a License Agreement to allow Silver Leaf Estates Homeowners
Association to install improvements within the public right-of-way.
2. Authorize the City Clerk to forward the Agreement to the Orange County
Recorder for Recordation.
SUMMARY AND RECOMMENDATION:
Silver Leaf Estates Homeowners Association is requesting approval to place landscape
enhancements located within the public right-of-way of Avenida Siega that consist of a
"Conversation Courtyard" with brick paving and a decorative park bench (see
Attachment 1, Location Map). The enhancements are located on a landscape area that
is owned by the Silver Leaf Estates Homeowners Association and that is also located
within the public right-of-way (see Attachment 2, Applicant Letter). The Landscape Plan
(see Attachment 3, Landscape Plan) also includes landscape enhancements such as
accent pottery, shrubs, groundcover and lighting. These improvements are not located
within the right-of-way and are not subject to the agreement.
Staff has reviewed the landscape design plans and recommends that the City Council
approve the License Agreement (see Attachment 4, License Agreement) for the
placement and maintenance of the private improvements within the public right-of-way.
STAFF ANALYSIS
Staff has reviewed the landscape improvement plan and commends the applicant for
working with the residents to enhance and create a sense of community with the
proposed project. Staff has reviewed the project and has determined that the project is

consistent with the policies and objectives of the Community Design Element because the
project is consistent with the following policies under the Community Design Goal 1:
Policy 1.3: "Encourage the participation by all members of the community in activities which
promote the City and create local pride;"and,
The project is also consistent with the following policy under the Community Design Goal 2:
Policy 2.1: "Encourage development which compliments the City's traditional, historic
character through site design, architecture, and landscaping".
Staff has determined that the Landscape Improvement Plan design is generally consistent
with the goals, policies, and objectives of the Community Design Element; as well as, all
other applicable provisions of the General Plan. The License Agreement also includes a
comprehensive indemnification section that holds the City harmless during the
construction by Silver Leaf Estates Homeowners Association and on-going
maintenance of the private improvements in the public right-of-way.
COMMISSION/BOARD REVIEW, RECOMMENDATIONS
The project is considered a private improvement and is located within Tract 13721,
which has a homeowners association that has reviewed and approved the proposed
improvements (see Attachment 5, HOA Meeting Minutes). The project is subject to
review and approval by the City Engineer for conformance with the License Agreement.
FINANCIAL CONSIDERATIONS:
There is no cost to the City from this action. All costs for preparation of the License
Agreement and recording fees will be borne by the Applicant.

Re: SILVER LEAF ESTATES—A PRIVATE ENCLAVE
Proposed Enhancement Project
PROJECT DESCRIPTION:
The objective of the improvements being proposed, is to give some exclusivity to Silver
Leaf Estates, and ultimately achieve a real "sense of place" and"personality" for the
small enclave of 7 homes.
The design concept is one in which numerous, well-scaled enhancements are located
throughout the enclave, in an effort to not only aesthetically define the boundaries of the
community, but to also provide each homeowner close proximity to the "architectural
flavor" of these enhancements. Additionally,the Conversation Courtyard"amenity"
shall provide an opportunity for (and encourage) neighbor-interaction among the
homeowners.
It is our understanding, that none of the proposed enhancements will require building
permits. And, with the exception of a small portion (approx. 70 sq. ft.) of the proposed
Conversation Courtyard, the proposed enhancements do not encroach into the 10'-0"
Right of Way adjacent to Avenida Siega. However, considering the Conversation
Courtyard's Right of Way encroachment, we understand that a License Agreement
between the Homeowners Association and the City of San Juan Capistrano will be
required.
The proposed enhancements generally fall into the following categories:
1. Entry and Exit Walls
* Re-finish with new stone veneer.
* Incorporate faucet fountain with water vase.
* Incorporate ornamental iron hanging basket.
ATTACHMENT
2. Enhanced Street Paving
* Stone paving shall be incorporated at the enclave Entry and Exit, as well
as at the mid-point of Silver Leaf Drive,where additionally this paving
shall extend up into the landscape median and help define the
Conversation Courtyard feature. Stone paving shall not encroach into
the 10'-0" Right of Way, with the exception of a small portion(approx.
70 sq. ft.) at the Conversation Courtyard. In lieu of stone, concrete
"cobblestone" pavers may be substituted if construction budget dictates.
3. Landscape Pedestals
* Landscape pedestals shall be located at the following locations:
1. At either side of Silver Leaf Drive, at the enclave's Entry
and Exit locations.
2. Throughout the length of the landscape median.
* Each pedestal shall be stone-veneered and support a landscape pot
planted with succulents.
4. Landscape Lighting
* Low voltage lighting shall be provided at the following location:
1. Up-lighting throughout the length of the landscape median,
in an effort to light the trees from beneath and
consequently give the street some much needed
general illumination.
PROJECT CHALLENGE:
The primary design challenge is to achieve the above-mentioned objectives, utilizing a
strong design concept that is imperatively sensitive to, and respects the "culture and
character" of the greater community of San Juan Capistrano.

A special meeting of the Board of Directors of the Silver Leaf Home Owners Association
was duly called and held on Thursday, March 10"' 2006, at Jerry & Joy Dunton's home
Commencing 6 o'clock p.m.
There were present and participating at the meeting:

Not present: Michelle Pate
With approval of all the directors and homeowners present, Art Galindo acted as Chair of
the meeting and the following minutes were recorded:
A motion was made and carried to unanimously approve the improvements to the street
entrance and exit, median, and common areas at a cost not to exceed $10,000 per
home. All owners agreed to the improvements and it was a unanimous vote.
There being no further business, the meeting was adjourned at 8 p.m.

OF THE SAN JUAN CAPISTRANO CITY COUNCIL
The City Council of San Juan Capistrano will meet at 7:00 p.m. on February 6, 2007 in
the City Council Chamber in City Hall, to consider: "Consideration of a License
Agreement for the Installation of Improvements within the Public Right-of-Way
Relating to Creating a "Conversation Courtyard" with Brick Paving and a
Decorative Park Bench (Tract 13721, Lots 1-7, Silver Leaf Estates Homeowners
Association)." — Item No. D9.
If you have specific thoughts or concerns regarding this item, you are encouraged to
participate in this decision making process. You can communicate with the City Council
through correspondence addressed to the Council and/or by attending the meeting and
speaking to the Council during the public meeting.
Correspondence related to this item must be received at the City Clerk's office by 5:00
p.m. on Monday, February 5, 2007 to allow time for the Council to consider its content.

NOTIFICATION OF ACTION BY THE
CITY COUNCIL OF SAN JUAN CAPISTRANO
On February 6, 2007, the City Council of San Juan Capistrano met regarding:
"Consideration of a License Agreement for the Installation of Improvements
within the Public Right-of-Way Relating to Creating a "Conversation Courtyard"
with Brick Paving and a Decorative Park Bench (Tract 13721, Lots 1-7, Silver Leaf
Estates Homeowners Association)." Item No. D9.
The following action was taken at the meeting: License agreement to allow Silver
Leaf Estates Homeowners Association to install improvements within the public
rght-of-way, approved; and the City Clerk authorized to forward the agreement to
the Orange County Recorder for recordation.
