Golden Circle Drive (92705) PO Box 11364 Santa Ana, California 92711-1364 (714)481-5300 www.oc-redcross.org American Red Cross Orange County Chapter Memorandum of Understanding This Memorandum of Understanding is made this 28`h day of April, 2003, by and between the City of San Juan Capistrano, hereinafter "City", the Boys and Girls Club of Capistrano Valley, a non-profit corporation, hereinafter "Club", and the American Red Cross Orange County Chapter, hereinafter "Red Cross." RECITALS Whereas, this Memorandum of Understanding is intended to provide a framework for a collaborative effort between the City, the Club, and the Red Cross for the purpose of providing an emergency shelter for members of our community displaced by disaster. Now therefore be it mutually resolved between the City, Club and Red Cross as follows: The City and Club agree that, after meeting its emergency responsibilities to its population and staff it will permit, to the extent of its ability and upon request by Red Cross, use of the predetermined facility identified in Addendum #1, as a temporary mass shelter for the victims of disasters. Red Cross, City and Club agree to provide, and periodically update the facility and point of contact information with each other identified in Addendum #2. 3. The Red Cross agrees, when normal communications methods are possible, to follow the notification procedures outlined in Addendum #2, when it needs to establish a shelter at the listed facility. 4. The City and Club agrees that prior to releasing a facility for use as a Red Cross shelter it will, to the extent reasonably feasible, evaluate the facility and secure any valuable property not required for shelter operations. 5. Red Cross agrees that it will exercise reasonable care in the conduct of its activities in the said facility and when provided with documented inventory and cost information, further agrees to replace or reimburse the City and Club for any foods or supplies used during the shelter operation. 6. Upon termination of its use as a shelter Red Cross agrees to leave the premises in their original condition. 0 0 7. Red Cross agrees to provide training to the City and Club staff assigned to the facility in Mass Care and Shelter Operations. 8. The City and Club agrees that when their personnel are used in conjunction with the American Red Cross personnel, the Red Cross policies, regulations and procedures will be used to operate the shelter site. 9. Use of the City and Club personnel, as Red Cross volunteers will be based on a mutual agreement between the individual, Red Cross and the City and Club. 10. Should Red Cross request that staff of the facility be officially assigned to the shelter, any agreement for financial reimbursement must be reached between the Red Cross Job Director, the City and Club within 48 hours of the request. 11. A designee of Red Cross Mass Care management, the B & G Club, and the the City and Club will meet periodically to evaluate the necessity for the continuation of shelter operations and to resolve any other operational concerns. 12. Should the City and Club request that a shelter be relocated, before the end of the shelter operations, Red Cross agrees to relocate the shelter within 48 hours of the Red Cross and local government locating a suitable alternate site. It is understood that it is a local government responsibility to facilitate the transportation of victims when shelter relocation is required. 13. Notwithstanding any other agreements, the American Red Cross agrees to defend, hold harmless, and indemnify the City and Club against any legal liability in respect to bodily injury, death, and property damage arising from the negligence of the said Red Cross during its use of any property belonging to the City and Club. 14. Notwithstanding any other agreements, the City and Club agrees to defend, hold harmless, and indemnify the American Red Cross against any legal liability in respect to bodily injury, death and property damage arising from the negligence of the said City and Club during its use of any property belonging to the said Red Cross. 15. Either party may discontinue this agreement in writing at anytime unless the facility listed in Addendum #1 is currently being used as a shelter. 16. This agreement will be renegotiated in not longer than 5 years. 0 0 In witness thereof, the City and Club has caused this Memorandum of Understanding to be executed by the City's Community Services Director, the Clubs Executive Director and the American Red Cross has caused this agreement to be executed by the American Red Cross Orange County Chapter, said agreement to become effective and operational upon the fixing of the last signature hereto.
