SPECIAL PROVISIONS AND CONDITIONS
Performance and Disbursement Schedule
1. The period of performance of the project shall commence on the jst day
of October 19 76 and shall cease on the 30th day of
September 19 77
2. Disbursement schedule is as follows:
Payment shall be made upon the receipt of the "Report of Financial Activity
and Request for Payment". Funds are to be paidto the Subgrantee for reim-
bursement of accrued expenditures. "Report of Financial Activity and Re-
quest for Payment" should be submitted on a regular basis, normally once a
month.
Additional Administrative Conditions and Provisions
1. Termination of Aid: After notice of County - review, this grant may be
terminated or fund payments discontinued by the County where it finds a
substantial failure to comply with the provisions.of the contract including
these and any special grant conditions and subsequent action by the
County.
2. Inspection and Audit: The County and/or the Department of Labor or any
of its duly authorized representatives, shall have access for purpose of
audit and examinations to any books, documents, papers, and records of the
Subgrantee and to relevant books and records of subgrantees and subcontrac-
tors.
3. Accounting: The criteria for recordkeeping detail shall be definitive
enough to identify expense by CETA Ti,tle, program activity, cost category,

and budget line items as defined in the CETA Audit Guide, April 19-7s.
4. Maintenance of Records: All required records shall be maintained until
three (3) years after termination or expiration of grant.
5. Utilization oi Funds: Funds awarded are to be expended for purposes and
activities covered by SUBGRANTEE's approved grant. Adjustments will be
made to correct previous overpayments or underpayments and any disallowanm
resulting from audit.
;6. Allowable Costs: The allowability of costs incurred u nder any grant shall
be determined in accordance with the general principles of allbwability and
standards for selected cost items set forth in Bureau of the Budget Circu-
lar No. A87 "Principles for Determining,Costs Applicable to Grants and Con-
tracts with State and Local Governments" except where superceded by CETA
Regulations.
7. Expenses Not Allovrable: Grant funds may not be expended for any item not
identified as allowable under Section 98.12 of the 'Play 23, 1975 Federal
Register. Prior approval should be sought from County on :--any question-
able expenditures. Any expenditure of funds involving (1) an excess of the
approved total allocation; (2) a new program activity; or, (3) any program
activity or cost category involving a cumulative increase of more than five
percent (5%) of the total budget shall necessitate an amendment of the grani
requiring prior grantor concurrence.
8. Unexpended Fu nds: All unexpended balances of grant funds will revert to
County.
9. Grant Interest: SUBGRANTEE shall not be accountable for interest earned oil
grant funds pending their disbursement or actual application for project
purposes.
10. Income from Other Sources: All income from other sources, such as contri-
butions, donations or funds from other grant programs, must be accounted

24 14. Insurance: The SUBGRANTEE must provide evidence of adequatepersonal
25 liability and property damage insurance prior to funds being disbursed. The

11. Title to ProDerty: Title to property acquired in whole or in part with
5
- grant funds in accordance with approved budgets shall vest in the County.

exercise due care in the use, maintenance, protection and preservation

of such property during the period of project use. SUBGRANTEE will submit
9
to the County within thirty (30) days of purchase a list of all equip -

12. Obligation of Grant Funds: Grant funds.shall not, without advance written

approval by the County be obligated prior to -the effective date or
13
subsequent to the termination date of the grant period. Obligations out -
14
standing as of the termination date shall be liquidated within ninety (90)
15
days. Such obligations, must be related to goods or services provided and
16
utilized within the grant period.

13. Bond: All SUBGRANTEES who will receive or disburse grant funds, are re -
18
quired to furnish a bond in a form satisfactory to the County in an
19
amount of at least fifty percent (50') of the total grant award, and con -
20
ditioned upon the faithful performance of their duties as required by law
21
1 and this agreement of all of the officers, employees, or agents of the
grantee. The County may at its sole discretion waive the above require-
23
1 ment.
24 14. Insurance: The SUBGRANTEE must provide evidence of adequatepersonal

C. Cancellai.ions or Modifications
1. All parties to this grant agree that program funds are contingent upon
'funds received, or obligated from the Department of Labor under CETA of
1973. if such funds are not forthcoming, or otherWise, limited the
County will notify the SUBGRANTEE of any such notice or provision
and order them t�, cease, limit, or otherwise curtail their operations
in accordance with the following provisions:
In the event the Department of Labor terminates in
whole or in part its contract with the prime
contractor before the expiration date, and by so doing
makes necessary the termination by the prime contractor
of this subcontract, the Program Agent -will provide
prompt notice of termination to the subcontractor.
Upon receipt of such notice, the subcontractor agrees
to cease such operations as are necessary to conform
---------with the Department of Labor termination of the prime
contract within 20 days, and to negotiate necessary
.fair and reasonable final settlement and close-out
costs.
(Sec. 108(b)(2), 110(b), and 602(b) CETA of 1973)
-2. If the SUBGRANTEE should fail to meet the commitment of this grant
either because of failure to perform; changes in the program operating
environment; or other factors that are a product of program operations
or changes in circumstances or s,ituations, then the County.- may at
its discretion withold further funds, and unilaterally terminate the
grant. There may be a mutually agreed upon reallocation of the balance
of funds with a change in goals, objectives and program design.
3. All changes or modifications to the grant shall be jointly negotiated
between the SUBGRANTEE and the County. In all cases changes and
modifications shall be made in compliance with rules, regulations,
policies and procedures presently in existance or provided in the
future by the County.

Reports
1. The SUBGRANTEE shall submit, at such times and in such form as may be pre-
scribed, such reports as the County may reasonably require. The
.Count y shall notify the SUBGRANTEE from time to time as necessary of any
chahges in the SUBGRANTEE's reporting requirements.
Monitoring and Evaluation
1. Monitoring and/or evaluation will be scheduled in accordance with the over-
all County Management requirements and will require access -on the part
of the County -to all records, data, and other.documentation, as well as
access to observe in a reasonable manner relevant program activities.
F. Authority to Bind Subgrantee
1. SUBGRANTEE shall furnish to the -County, in writing, a list of persons
authorized to execute, in behalf of the SUBGRANITEE, grants, modifications
,to the grants, Report of Financial Activity and Request for Payment, or
other documents as may be required by the County, - In the event auth-
ority is delegated to a position (e.g., City Manager, Personnel Director)
rather than to an individual the list of positions so authorized shall be
furnished.
G. Fair Employment Practices
1. Statutes, rules and regulations governing state and federal fair employment
practices are required to be a dhered to by SUBG%NNTEE in'the conduct of and
or related to the operation of the grant.

- all levels within the SUBGRANTEE's organization, funded under this grant

4. In-service training and career counseling which will enhance the future em-
ployability of the participants.
If Operational Compliance review indicates that the SUBGRANTEE is out of.com-
pliance, the SUBGRANTEE will be given 60 days notice of this fact, and required
to show sufficient progress in meeting compliance standards. Should insuffi-
cient evidence of attempting to comply be shown, the 'program may be recommended
for deobligation, as per the -County of Orange deobligation
'clause contained in this agreement, under Special Provisions and Conditions,
subparagraph B. (1), Termination of Aid and subparagraph C. (2), Cancellation
or Modification.

ASSURANCES AND CERTIFICATIr"'S
A. General Assurances
1. The applicant assures and certifie:; that:
a. It will comply with the requirements of the Comprehensive Employment
and. Training Act (CETA) of 1973, as amended (P.L. 93-203, 87 Stat. 839 i
and P.L. 93-50, 88 Stat. 1845), hereinafter referred to as' the Act,

and, with the regulations and policies promulgated thereunder; and
b. It will comply with OMB Circular number A-95 and Federal Management
Circulars (FMC) 74-4 and 74-7, as those circulars relate to functions
such as the utilization of funds, the operations of programs, and
maintenance of records, books, accounts, and other documents under the
Act.

by or under the supervision of the applicant (sections 105(a)(1)(B)

activities in volation of 18 USCA 1913.
B. Additional Assurances for Title I Proqrams
In carrying out programs Linder Title I of the Act, the applicant assures and
certifies that:
1. Manpower services', including job developirlent, w ill be provided to those
most in need of them including low income persons and persons of"limited
English-speaking ability, and that the need for continued funding of
programs of demonstrated effectiveness is considered in serving such
persons (section 105(a)(1)(0).
2.. Programs of institutional skill training shall be designed for occupations
in which skill shortages exist (section 105(a)(6)).
3. The plan meets all the requirements of section 105(a) and the applicant
will comply with all provisio.ns of the Act (section.105(b)).
4. It will make such arrangements as are prescribed by regulation to assist
the Commission in carrying out his responsibilities under sections 105 and
108 of the Act (section 105(a)(7)).
5. Special consideration will be given to the needs of eligible disabled
veterans, special veterans, and veterans who served in the Armed Forces
and who received other than a dishonorable discharge within four years
before the date of their application. Each applicant in selecting

be necessary to promote the effective use of funds (section 70304)).
v. 'The.'program makes appropriate prawisica-for the manpower needs of
I youth in the area served (section 703(15 ), and will assure.that:
(1) Individuals receiving training on the job shall be compensated
by the employer at such rates, including periodic increases,
as may be deemed reasonable under regulations prescribed by the
Secretary, but in no event at a rate less than that specified
in Section 6(a)(1) of the Faie Labor Standards Act of 1938 or, if
higher, under the applicable State or local minimum wage law.
Wages in the Commonwealth of Puerto Rico, the Virgin Islands,
American Samoa, and the Trust Territory of the Pacific Islands
shall be consistent with the Federal , State, or local law other-
wise applicable (section 111(b)).
(2) Persons employed in public service jobs under this Act shall be
paid wages which shall not be lowerthan whichever is the
highest of (a) the minimum wage which would be applicable to the
employee under the Fair Labor Standards Act of 1938, if Section
22 6(a)(1) of such title applies to the participant and if he were
onwealth
23 not exempt under section 13 thereof. Wages in the Comm

opportunities for such veterans. The applicant should utilize the
assistance o.-' the State and local veterans employmeat service
representative in formulating its program objectives.
On a continuing and time.ly basis, information on job vacancies and
training opportunities funded under Title I of the Act shall be provided
to the State and local veterans employment service representative for the
purpose of disseminating information to eligible veterans (section 104(b)
of Emergency Jobs and Unemployment Assistance Act of 1974).

For public service employment activity, the applicant further assures and
certifies that:
1. Special consideration will be given to the filling of jobs which provide

promote the advancement of participants to employment or training
opportunities suitable to the individuals involved, whether in the public
or private sector of the economy, (2) provide participants with skills for
which there is an anticipated high demand, or (3) provide participants
with self -development skills; except where exempt under the provisions of
section 604 of the Act, provided, however,that nothing contained in this
paragraph shall be construed to preclude persons or programs for whom the
fore going goals are not feasible or appropriate (sections 205(c)(4) and
604)..

.18 for programs funded under Title 11 of the Act, shall take into considera-
19 tion the extent that such veterans are available in the area. Specific
.20 effort should be made to develop appropriate full or part-time
21 opportunities for such veterans. In order to insure special consideratio
22 for veterans, all public service employment vacancies under Title 11,
23
except those to whi6h former employees are being recalled, must be listed
24 with the State employment service at least 48 hours (excluding Saturdays,
25 Sundays, and holidays) before such vacancies are filled. During this
261� period, the employment service may refer those veterans specified above.
27 If sufficient numbers of veterans are not available, the employment
28 service, upon request, may also refer members of other significant

tation in exceptional circumstances (section 205(c)(22)).
11. Jobs will be allocated equitably to local governments and agencies
taking into account the number of unemployed persons within. their
jurisdictions and the needs of the agencies (section 205(c)(23)).
12. The jobs in each j"ob category in no way infringe upon the promotional
opportunities which would otherwise be available to persons currently
employed in public service jobs not subsidized under the Act, and
assure that no job will be filled in other than an entry level posi-
tion in each job category until applicable personnel procedures and
.collective bargaining agreements have been 'complied with (section
205(c)(24)).

Additional Assurances for Title VI Programs. All assurances in C above apply
