A G R E E M E N T
THIS AGREEMENT, made this day of i, 1966,
between the ORANGE COUNTY WATERWORKS DISTRICT NO. 4, hereinafter
referred to as "DISTRICT", and the CITY OF SAN JUAN CAPISTRANO, herein-
after referred to as "CITY";
WHEREAS, T. J. Meadows has for the past several years been
employed as Superintendent of Orange County Waterworks District No. 4;
and
WHEREAS, T. J. Meadows has for the past several years been
employed by the City as Director of Public Works on a part-time basis;
and
WHEREAS, commencing August 1, 1966, the said T. J. Meadows will
be employed solely by the CITY as Director of Public Works; and
WHEREAS, because of T. J. Meadows' intimate knowledge of the
physical operations of the DISTRICT and because of the probable future
transfer of a portion of the DISTRICT to CITY, DISTRICT does not wish
to recruit a new Superintendent; and
WHEREAS, the DISTRICT desires to have the said T. J. Meadows
continue to perform the duties of Superintendent; and
WHEREAS, CITY and DISTRICT are mutually anxious to clarify
the position of said T. J. Meadows:
NOW, THEREFORE, it is agreed by and between the parties that:
1. Commencing August 1, 1966 said T. J. Meadows will be employed
by CITY, and DISTRICT will contract with CITY for the services of said
T. J. Meadows as contained herein.
2. T. J. Meadows will perform certain services as designated
herein for DISTRICT under the direction of the Engineer of DISTRICT
as appointed by the Board of Supervisors of DISTRICT.
It is the intent of this agreement that except as specifically
changed herein said T. J. Meadows will continue to perform the same
services for DISTRICT as an employee of CITY as he did while an

1! employee of DISTRICT. These services as modified are set out as

31 (a) Plan and organize the work of the DISTRICT; prepare
4',i correspondence and reports necessary for the operation of the DISTRICT;
5'' prepare the annual budget; supervise the maintenance of records; and

6'1prepare periodic reports.
7., (b). Supervise the operation, maintenance and repair of the
8 DISTRICT water supply system including pipelines, pumping, storage,
9, treatment facilities and appurtenances.
10I1 (c) Supervise all work necessary to supply safe, pure,
111, wholesome and potable water in accordance with the California Health
12!' and Safety Code and the California Water Code. Supervise a cross -
13 connection control program.
14" (d) Supervise the installation, maintenance and repair of

17',, (e) Advise developers and engineers regarding DISTRICT rules,
181i regulations and specifications for extensions to the water system;
i911 participate in planning, and layout tract installations; review plans
20i and specifications submitted by developers for conformance to DISTRICT

221 (f) Recommend extensions, additions or revisions to water
23 supply system and storage facilities to meet community needs.
24, (g) Direct the billing of customers and recommend changes in
25water rates when appropriate.
26 (h) Order supplies and recommend the purchase of major
27 equipment.
28 (i) Recommend the hiring, retention, promotion, demotion or
29 discharge of DISTRICT'S employees.
30i 3. CITY agrees to furnish a vehicle for use of said T. J. Meadows
31 in fulfilling both CITY and DISTRICT responsiblities. DISTRICT agrees
32 to pay to CITY the sum of $75.00 per month and CITY agrees to hold

1', DISTRICT and the County of Orange harmless from any liability which

2may occur as a result of use of the vehicle for CITY business by said
3'I T. J. Meadows.
4' 4. CITY agrees to provide office space for said T. J. Meadows
5 in the pursuit of CITY business. DISTRICT agrees to provide office

9. CITY and DISTRICT shall hold each other harmless from liability',
for acts or omissions of the other in connection with the performance
of this agreex-nt.
IN WIT "ESS WF!LREOF, the parties hereto have caused this agreement
to be executed by their respective officers thereunto duly authorized
upon the date hereinabove first written.
