06-0323_AMERICAN RED CROSS / ST MARGARET EPISCOPAL SCHOOL_Statement of UnderstandingAmerican Red Cross American Red Cross Orange County Chapter Statement of Understanding This agreement is made and entered into between the City of San Juan Capistrano hereinafter referred to as "City," St. Margaret of Scotland Episcopal School, hereafter referred to as "School," and the American Red Cross Orange County Chapter hereinafter referred to as "Red Cross." RECITALS The following agreement, along with its supporting addendum, provides the framework for a collaborative effort between the Red Cross and the City and the School to provide emergency support for disaster displaced members of our community. The parties hereto desire to reach an understanding that will result in making certain facilities and equipment from the City and the School available to the Red Cross for the aforesaid use. Now, therefore, it is mutually agreed between parties as follows: 1. The City and the School agree that, after meeting its emergency responsibilities to its students and employees, it will permit, to the extent of its ability and upon request by the Red Cross, use of predesignated facilities identified in Addendum #1, as temporary mass care sites to victims of disasters or service delivery sites to provide support for the victims of disasters. 2. Red Cross and the City and the School agree to provide, and periodically update the facilities and point of contact information with each other. The Red Cross agrees, when normal communications methods are possible, to follow the notification procedures outlined in Addendum #2, when it needs to establish a Red Cross mass care or service delivery site at the listed facilities. 4. The City and the School agree that prior to releasing facilities for use by Red Cross it will, to the extent reasonably feasible, evaluate the facilities and secure any valuable property not required for its normal operations. 5. Red Cross agrees that it will exercise reasonable care in the conduct of its activities in such facilities and when provided with documented inventory and cost information, further agrees to replace or reimburse the City and the School for any supplies used during the support operation. Pagel of 4 6. Upon termination of its use of the facilities, the Red Cross agrees to leave the premises in their original condition. 7. Red Cross agrees to provide training to the appropriate members of the City and the School staff in mass care and shelter operations. 8. The City and the School agree that when their personnel are used in conjunction with the American Red Cross personnel, the Red Cross policies, regulations and procedures will be used to operate the site. 9. Use of the City and the School personnel, as Red Cross volunteers will be based on a mutual agreement between the individual, Red Cross and the City and the School. 10. Should any of the School's facilities be used for food preparation or as a cafeteria, the School's appointed representative shall be present to assist in the supervision and the use of the equipment, food and supplies by the Red Cross. The Red Cross agrees to replace or reimburse the School at its option for any foods or supplies belonging to the School that may be used by Red Cross. 11. Should Red Cross request that staff of the City and/or the School be officially assigned to the operation, any agreement for financial reimbursement must be reached between the Red Cross Job Director and the City and/or the School within 48 hours of the request. 12. A designee of Red Cross and the City and the School will meet periodically to evaluate the necessity for the continuation of operations and to resolve any other operational concerns. 13. Should the City and/or the School request that the operation be relocated, before the end of the Red Cross requirements for operations, Red Cross agrees to relocate the facility within 48 hours of the Red Cross and local government locating a suitable alternate site. It is understood that it is a local government responsibility to facilitate the transportation of victims when shelter relocation is required. 14. Notwithstanding any other agreements, the American Red Cross agrees to defend, hold harmless, and indemnify the City and/or the School against any legal liability in respect to bodily injury, death, and property damage arising from the negligence of the said chapter during its use of any property belonging to the said City and/or the School. 15. Notwithstanding any other agreements, the City and the School agrees to defend, hold harmless, and indemnify the American Red Cross against any legal liability in respect to bodily injury, death and property damage arising from the negligence of the said entity during its use of any property belonging to the Red Cross. Page 2 of 4 16. Either party may discontinue this agreement in writing at anytime unless the facilities listed in Addendum #I are currently being used as a shelter. 17. This agreement will be renegotiated in not longer than 5 years. In witness thereof, the American Red Cross Orange County Chapter and the City and the School have caused this agreement to become effective and operational upon affixing their signatures below.
