THIS AGREEMENT is made and entered into thisO(j_ day of 2005,
by and between the City of San Juan Capistrano (hereinafter referred to as the "City")
and RBF CONSULTING, (hereinafter referred to as "Consultant").
RECITALS:
WHEREAS, City desires to retain the services of Consultant regarding the City's
proposal to provide engineering services for the Avenida Placida Landslide — Krum
Reservoir Pipeline Rehabiliation; and
WHEREAS, Consultant is qualified by virtue of experience, training, education
and expertise to accomplish such services.
NOW, THEREFORE, City and Consultant mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by Consultant shall consist of those tasks as
set forth in Exhibit 'A" attached and incorporated herein by reference.
Consultant warrants that all of its services shall be performed in a competent,
professional and satisfactory manner and in accordance with the prevalent standards of
its profession.
Section 2. Term.
This Agreement shall commence on the effective date of this Agreement and
services required hereunder shall be completed no later than June 30, 2006.
Section 3. Compensation.
3.1 Amount.
Total compensation for the scope of services for this Project shall be for a not to
exceed fee of Two Hundred Thirty -Three Thousand Seven Hundred Eighty Dollars
($233,780) as set forth in Exhibit "A," attached and incorporated herein by reference.
3.2 Rate Schedule.
The services shall be billed to the City as set forth in Exhibit "A," attached and

incorporated herein by reference. Included within the compensation are all the
Consultant's ordinary office and overhead expenses incurred by it, its agents and
employees, including meetings with the City representatives and incidental costs to
perform the stipulated services. Submittals shall be in accordance with Consultant's
proposal.
3.3 Method of Payment.
Notwithstanding the payment terms outlined in Exhibit "A", Consultant shall
submit monthly invoices based on total services, which have been satisfactorily
completed and specifying a percentage of projected completion for approval by the City.
The City will pay monthly progress payments based on approved invoices in
accordance with this Section.
For extra work not part of this Agreement, a written authorization from City is
required prior to Consultant undertaking any extra work.
3.4 Records of Expenses.
Consultant shall keep complete and accurate records of all costs and expenses
incidental to services covered by this Agreement. These records will be made available
at reasonable times to City.
Section 4. Independent Contractor.
It is agreed that Consultant shall act and be an independent contractor and not
an agent or employee of City, and shall obtain no rights to any benefits which accrue to
City's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Consultant, its principals
and employees were a substantial inducement for City to enter into this Agreement.
Consultant shall not contract with any other entity to perform the services required
without written approval of the City. This Agreement may not be assigned, voluntarily or
by operation of law, without the prior written approval of the City. If Consultant is
permitted to subcontract any part of this Agreement by City, Consultant shall be
responsible to City for the acts and omissions of its subcontractor as it is for persons
directly employed. Nothing contained in this Agreement shall create any contractual
relationships between any subcontractor and City. All persons engaged in the work will
be considered employees of Consultant. City will deal directly with and will make all
payments to Consultant.
Section 6. Changes to Scope of Work.

In the event of a change in the Scope of Work provided for in the contract
documents as requested by the City, the Parties hereto shall execute an addendum to
this Agreement setting forth with particularity all terms of the new agreement, including
but not limited to any additional Consultant's fees.
Section 7. Familiarity with Work and Construction Site.
By executing this Agreement, Consultant warrants that: (1) it has investigated
the work to be performed; (2) it has investigated the proposed construction site,
including the location of all utilities, and is aware of all conditions there; and (3) it
understands the facilities, difficulties and restrictions of the work under this Agreement.
Should Consultant discover any latent or unknown conditions materially differing from
those inherent in the work or as represented by City, it shall immediately inform City of
this and shall not proceed with further work under this Agreement until written
instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement. Consultant shall
complete the Scope of Services as set forth in the schedule included in Exhibit "A",
attached and incorporated herein by reference.
Section 9. Compliance with Law.
Consultant shall comply with all applicable laws, ordinances, codes and
regulations of federal, state and local government.
Section 10. Conflicts of Interest.
Consultant covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Consultant.
Section 11. Copies of Work Product.
At the completion of the contract period, Consultant shall have delivered to City
at least one (1) copy of any final reports and architectural drawings containing
Consultant's findings, conclusions, and recommendations with any support
documentation. All reports submitted to the City shall be in reproducible format.
All services to be rendered hereunder shall be subject to the direction and
approval of the City.

Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to this Agreement are
confidential to the extent permitted by law, and Consultant agrees that they shall not be
made available to any individual or organization without prior written consent of the City.
All such reports, information, data, and exhibits shall be the property of the City and
shall be delivered to the City upon demand without additional costs or expense to the
City. The City acknowledges such documents are instruments of Consultant's
professional services.
Section 13. Indemnity.
Consultant agrees to protect, and hold harmless City, its elected and appointed
officials and employees from any and all liabilities, expenses or damages of any nature,
including reasonable attorneys' fees, for injury or death of any person or damage to
property or interference with use of property resulting from errors and omissions
committed by Consultant arising from the negligent acts of Consultant, its agents,
employees and subcontractors in carrying out its obligations under this Agreement.
Section 14. Insurance.
Insurance required herein shall be valid for a minimum of one year, or term of
contract, whichever is longer, and it shall be provided by Admitted Insurers in good
standing with the State of California and having a minimum Best's Guide Rating of A -
Class VII or better.
14.1 Comprehensive General Liability.
Throughout the term of this Agreement, Consultant shall maintain in full force and
effect Comprehensive General Liability coverage in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to
contractual period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period.
14.2 Comprehensive Automobile Liability.

Throughout the term of this Agreement, Consultant shall maintain in full force and
effect Comprehensive Automobile Liability coverage, including owned, hired and non -
owned vehicles in the following minimum amounts:
$500,000 property damage;
$500,000 injury to one person/any one occurrence/not limited to
contractual period;
$1,000,000 injury to more than one person/any one occurrence/not limited
to contractual period
14.3 Worker's Compensation.
If Consultant intends to employ employees to perform services under this
Agreement, Consultant shall obtain and maintain, during the term of this Agreement,
Worker's Compensation Employer's Liability Insurance in the statutory amount as
required by state law.
14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Consultant shall submit the
insurance certificates, including the deductible or self -retention amount, and an
additional insured endorsement to the Consultant's general liability and umbrella liability
policies to the City Clerk's office for certification that the insurance requirements of this
Agreement have been satisfied.
14.5 Errors and Omissions Coverage
Throughout the term of this Agreement, Consultant shall maintain Errors and
Omissions Coverage (professional liability coverage) in an amount of not less than One
Million Dollars ($1,000,000). Prior to beginning any work under this Agreement,
Consultant shall submit an insurance certificate to the Clerk of the Board's office for
certification that the insurance requirements of this Agreement have been satisfied.
14.6 Notice of Cancellation/Termination of Insurance.
The above policy/policies shall not terminate, nor shall they be cancelled, nor the
coverages reduced, until after thirty (30) days' written notice is given to City, except that
ten (10) days' notice shall be given if there is a cancellation due to failure to pay a
premium.
14.7 Terms of Compensation.
Consultant shall not receive any compensation until all insurance provisions have
been satisfied.

14.8 Notice to Proceed.
Consultant shall not proceed with any work under this Agreement until the City
has issued a written "Notice to Proceed" verifying that Consultant has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City and Consultant shall have the right to terminate this Agreement without
cause by giving thirty (30) days' advance written notice of termination to the other party
In addition, this Agreement may be terminated for cause by providing ten (10)
days' notice to the other party of a material breach of contract. If the other party does
not cure the breach of contract, then the agreement may be terminated subsequent to
the ten (10) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses,
or to such other addresses as may be designated by written notice. These addresses
shall be used for delivery of service of process:

Section 17. Attorneys' Fees.
If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs
and necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration
under the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.

This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.

Proposal to Provide Final Design and Construction Services for the Krum Reservoir Pipeline and
Lower Landslide Rehabilitation Project and — City of Son Juan Capistrano August 15, 2005
Project Understanding
RBF Consulting proposes to provide engineering and construction related services to 1) provide final design for
the Krum Reservoir water pipeline rehabilitation and 2) construction related services including construction
management and construction inspection. The services proposed within this scope of work will include
coordination with the City's Geotechnical Engineer (Lawson & Associates Geotechnical Consulting, Inc. (LGC)),
implementation of LGC's recommendations regarding the caissons, tiebacks, and grade beam rehabilitation
methods.
The final design will be based up the recommended alternative detailed in the approved preliminary design E
technical memorandum, which is the process of being completed. The recommended alternative and the basis of
this proposal is the installation of caissons. The design will include the structural design of up to 24 caissons,
tiebacks, and a grade beam interconnecting the caissons as well as design of a temporary above ground pipeline
and replacement of pipeline interfering with the caisson construction. The work will include preparation of plans,
specifications, and a construction cost opinion.
Scope of Services
Task 1 — Pipeline Location and Utilities
An important part of the design will be locating the alignment and depth of the existing pipeline. RBF
proposes to perform potholing and survey services in order to locate the portion of the pipeline adjacent to the
upper landslide.
Task 1.1 Potholing. RBF will hire Saf-R-Dig to complete the potholing of the AC pipeline. Three holes will
be prepared by vacuum extraction methods. Native soil will be utilized for backfill.
Task 1.2 Design Survey. RBF will perform a field survey to provide an accurate profile over the top of the
existing pipeline, plot the limits of the existing roadway, and pick-up the location of the existing
pipeline based upon markers left by the pothole sub -contractor. Survey will be based upon
Orange County GPS Benchmarks and NAD 83 Datum. An aerial topo will be prepared with
dimensions of approximately 1000' by 400' for the pipeline rehabilitation portion of the project.
The topographical map provided by the City was determined by field survey not to be adequate
for the design of the pipeline rehabilitation portion of the project.
Task 1.3 Utility Research. RBF will perform utility research by contacting Underground Service Alert to
determine the utility agencies in the area. RBF will contact these utilities in writing and by phone
in order to request utility maps and determine locations of utilities. Utilities will be plotted on the
plans based upon records received from these agencies.
Task 1.4 Utility Coordination. RBF will provide coordination with SDG&E and SBC in order to complete the
work. This effort includes up to two meetings with these two utilities.
Task 2 — Engineering and Plan Preparation
RBF will provide structural design of the caissons based upon data and recommendations from LGC.
Stamped structural calculations will be completed and provided by RBF for the design of the caisson system,
including the 24" diameter caissons (up to 24), tiebacks, and gradebeam.

The final design plans will be prepared and will include structural plans for the caisson, tiebacks, and
gradebeam, pipeline plan and profile for the temporary and permanent pipelines (if required, up to 400 If) for
the work, and a grading plan for the interim grading required for the tie -backs and caisson placement. A
erosion control plan will also be included. The drawings listed in the attached Table 1 are included in the
scope of work. Plan and profile will be developed at 1" = 40' or 1" = 30' scale horizontal and 1" = 4' vertical.
Task 3 — Specifications
Contract documents will be developed based upon technical specifications developed by RBF with remaining
portions provided by the City. Technical specifications will be prepared in CSI format.
Task 4 — Construction Cost Opinion
A construction cost opinion will be prepared and submitted with each submittal described below.
Task 5 — Design Meetings
The final design meetings indicated in the following table are included in the scope of work. Construction
meetings are described in Task 8. Additional meetings required during design or meetings not specified
herein will be attended on a time and material basis. Hourly rates for Fabio Escobar and Steve Speakman
are $152 per hour. Structural Engineer rate is $152 per hour. Project Engineer rate is $116 per hour.
Construction Manager rate is $145 per hour. Construction Inspector is $93 per hour.

Task 6 — Bid Phase Services
RBF will assist the City by providing the following tasks during bidding of the work.
Task 6.1 Pre -Bid Meeting. RBF will administer the pre-bid meeting, go to the site, if required, and prepare
minutes of the meeting.
Task 6.2 Answer Contractor Questions. RBF will address written questions received up to 7 calendar days
prior to the bid opening.
Task 6.3 Prepare Addendum. RBF will prepare specification and plan modifications or detail
supplementation for up to two addendums for the work, if required.
Task 7 — Construction Services (Krum Reservoir Pipeline Rehabilitation)
Task 7.1 Construction Engineering Services. RBF will provide the following services in support of the City
during the construction phase.

7.1.1 Shop Drawing Review. RBF will review up to 10 shop drawings (1 initial review and 1 resubmittal
review) for the project.
7.1.2 Request For Information (RFI). RBF will prepare a response to up to eight written RFI's.
7.1.3 Preparation of Record Drawings. RBF will prepare Record Drawings based upon the
Contractor's records. RBF will replot mylars and stamp them "Record Drawings." RBF will also
resign the mylars. The City shall coordinate resigning of the record drawings for signatures other
than those of RBF employees.
Task 7.2 Construction Management Services. RBF will provide the following construction services during
construction
7.2.1 Construction Management. The RBF construction manager will administer the Pre -Construction
meeting, review and respond to change order requests, process pay requests, attend meetings
every other week during the construction period. This proposal covers a five-month construction
period.
7.2.2 Construction Inspection. Part time construction inspection will be provided during a five-month
period, which will consist of 16 hours a week with up to two visits per week. Special structural
inspection will be provided (see 8.2.4). Daily reports will be developed and a photographical
record of construction will be provided. Coordination with Ninyo and Moore for materials testing
is included in this task. Daily reports will be supplemented by the City's Geotechnical inspector
who will be inspecting the borings as they are drilled. It is understood that the City's Geotechnical
inspector will provide the daily inspection required for the Lower Landslide Project.
7.2.3 Construction Meetings. Meetings every other week will be administered by the Construction
Manager and the Construction Inspector.
7.2.4 Material Testing. Concrete material testing will be accomplished by Ninyo and Moore on the
concrete placed for the work. A deputy inspector will inspect the rebar prior to placement of
concrete. For scope and conditions for this task see Attachment No. 1 which is hereby
incorporated into this scope of services.
Task 8 — Construction Services (Lower Landslide, Avenida Placida)
Task 8.1 Construction Services. RBF will provide the following construction services during construction
8.1.1 Construction Inspection. The RBF inspector will provide up to two visits per week for inspection
of the project during a two month period.
Task 9 — Construction Staking (Lower Landslide, Avenida Placida)
RBF Consulting shall perform the following Scope of Survey Services for grading improvements in San Juan
Capistrano, California. The Scope of Services and Fee Schedule in this Agreement is based on the following
plans:
1. Grading Plans for the Lower Landslide, Avenida Placida "Krum Reservoir" prepared by RBF Consulting
Unless otherwise noted, RBF Consulting shall provide one set of line and grade stakes for each of the following
Work Tasks:

Stakes shall be set at approximate 50 -foot intervals where the cut or fill contacts existing topography and
marked with the elevation of the top of the stake. Daylight stakes shall be set on even foot contours where
feasible. Stakes can be offset if requested by the Client or Contractor prior to digitizing.
Task 9.3 Buttress Back Cut Stakes
Consultant shall provide staking for buttress back -cut excavation.
The front of the Keyway shall also be staked for a front cut slope. Stakes shall be set on approximate 50 -foot
intervals with cuts marked to the toe of the keyway along with the dimensioned width of the keyway.
Dimensions of buttress keyways and the steepness of the back cut shall be supplied to the Consultant in
writing by the Client or Client's designated Geotechnical Consultant prior to the initiation of staking
procedures.
Consultant shall locate buttress sub drains in buttress keyways only if specifically requested by Client.
Task 9.4 Slope Stakes
Slope stakes shall be set at approximate 50 -foot intervals and at BCs, ECs and other points of control at an
offset to be agreed upon. Slope stakes shall be marked with cut or fill information, slope ratios and bench
grades.
When the height of any slope exceeds 60 feet, an additional set of slope stakes or correction stakes shall be
provided at each 60 -foot vertical increment.
Task 9.5 Rough Grade Line and Grade Certification
RBF Consulting shall certify line and grade of all slopes and benches shown on the referenced grading plans
at the conclusion of rough grade construction.
The budget amount shown hereon for this Work Task is based on one grading acceptance review.
Rough grade acceptance measurements shall be taken in the following locations:
1. Slopes: Slopes adjoining streets shall be measured at approximate 50 -foot intervals. Slopes not
controlled by either lots or streets shall be measured at approximate 50 -foot intervals.

RBF Consulting may, at its discretion, elect to perform as -constructed topographic Surveys by traditional or
aerial photogrammetric methods for the purposes of grading certification.

One set of grade stakes shall be provided for rough grading for the desilting basins as shown on the
referenced rough grade plans.
Slope stakes shall be set at approximate 50 -foot intervals and at BCs, ECs and other points of control at an
offset to be agreed upon. Slope stakes shall be set for slopes higher than. Back-up slope stakes shall be set
when the height of the slope exceeds six (6) feet. Slope stakes shall be marked with cut or fill information,
slope ratios and bench grades.
Contour stakes for bottom finish grade shall be set on a 50 -foot grid or along even contour lines at 50 -foot
intervals and marked cut or fill to finished grade.
One set of line and grade stakes for the basin pipelines shall be provided at 25 -foot intervals.
Task 10 — Construction Staking (Krum Reservoir Pipeline Rehabilitation)
RBF Consulting shall perform the following Scope of Survey Services for grading improvements in San Juan
Capistrano, California. The Scope of Services and Fee Schedule in this Agreement is based on the following
plans:
1. Krum Reservoir Pipeline Rehabilitation Plans "Water Improvements, Krum Reservoir" prepared by RBF
Consulting
Unless otherwise noted, RBF Consulting shall provide one set of line and grade stakes for each of the following
Work Tasks (see also conditions in Task 9):
Task 10.1 Caisson Stakes
RBF shall provide two sets of stakes for the 24 caissons
One set of stakes shall be offset to the center of each caisson. Offset stakes shall be marked with a cut or fill
to the top of the caisson.
One additional set of stakes shall be set at the actual caisson location for centering the drilling auger. In lieu
of setting stakes on the actual caisson location Client may elect to request Consultant to provide one a set of
stakes set for line only at each offset location stake.
Design Schedule
The initial 75% submittal will be on August 23, 2005 or twenty-one calendar days from the date of a written and
signed notice to proceed, whichever one is later. The aerial topographical map will not be available for the 75%
submittal. The 100% submittal will be submitted twenty one calendar days after all comments to the 75%
submittal are received from the City or City representatives. Bid ready plans and contract documents will be
provided fourteen calendar days after all comments to the 100% submittal are received from the City or City
representatives. Issues or circumstances beyond the control of RBF such as relocation of power lines or
telephone lines or environmental issues may cause this schedule to be extended.

The attached fee table, which is designated as Table 1, is hereby incorporated into the scope of services
described herein. Monthly invoices will be billed based upon percent complete with a total as indicated in Table 1.
This total will not be exceeded without written approval by the City.
Reimbursables and Expenses
All reimbursables, including mileage, copies, reproduction and all expenses will be billed at cost plus 5%.
Items to be provided by the City
The following items or tasks are to be provided by the City prior to the notice to proceed or in a timely manner as
they become available.
1. Recommendations and Coordination of Geotechnical Engineer.
2. Processing of plans through departments at the City other than the Water Department or other
Governmental or private Agencies.
3. Use of City or Contractor's Trailer with desk, phone, and fax line dedicated for Inspector's use.
Exclusions
The following services are not included in these scope of services, however they can be provided if requested by
the City.
1. CEQA tasks, Environmental Permits, Environmental Services or other permits, or fees not
specifically included herein.
2. Cost of compaction or material testing.
3. Surveying, topographical services, right of way, or mapping services other than that indicated
herein.
4. Geotechnical Engineering Services other that those delineated herein.
5. Telephone utility fees.

Additional Services Contingency
It is anticipated that additional Survey services for re -staking or for tasks not included in this agreement may be
required. RBF Consulting shall perform such work at the request of the Client and shall document all Feld Survey
crew time for these tasks with "Daily Request for Field Work" tickets approved by the Client's Field
Representative. Client and Consultant agree that signed Request for Field Work Tickets are included under the
terms of this contract and shall, therefore, be invoiced monthly at the following hourly rates:

Subject: Proposal for Materials Testing Services
Krum Reservoir Improvements
San Juan Capistrano, California
Dear Mr. Speakman:
Ninyo & Moore is pleased to submit this proposal to provide materials testing services for the
subject project located in San Juan Capistrano, California. The purpose of our materials testing
services will be to sample and test concrete placed on the project to evaluate conformance with
the project specifications. If requested, we will also provide deputy inspection services to evalu-
ate structural steel reinforcement for caissons, grade beams and tie -back anchors.
We understand that the project will include construction of 24 drilled cast -in-place caissons. The
caissons will be approximately 24 inches in diameter and approximately 60 feet deep. The cais-
sons will be connected to a grade beam and tie -back anchors. The purpose of the caissons is to
provide stability to the reservoir from nearby landslide conditions. Our services will not include
geotechnical observation or testing services, which is being provided by others.
Detailed plans, specifications, and construction scheduling have not been provided. Based on
our experience we anticipate that approximately four caissons may be constructed per day for a
total of approximately six days of caisson construction. We also estimate that one set of four
concrete cylinders will be collected for testing each day. We estimate that grade beam and tie-
back installation will take approximately six days. These estimates are for planning purposes
and should be reviewed by project team members. Depending on actual construction duration
our costs may vary.
SCOPE OF SERVICES
Our services will include sampling and testing of concrete cylinders on an as -needed basis dur-
ing construction. A separate scope of services is also presented to provide deputy inspection of
structural steel reinforcement and installation of tie -back anchors. Based on our understanding
of the proposed construction and our experience with similar projects, we propose to provide
the following scope of services.

Project coordination, technical support and management, including review of the pro-
ject plans and specifications, distribution of test reports, and work scheduling.
Attendance at pre -construction meetings and as -needed field meetings.
Materials Testing Services
• Field technician services sampling of concrete including preparation of concrete cylin-
ders, measurement of slump and temperature, labeling, documentation, and
transporting samples to our laboratory.
• Preparation of daily reports and cylinder test data sheets.
• Laboratory testing to evaluate compressive strength of concrete, mortar, concrete and
grout specimens sampled in the field.
• Preparation and submittal of laboratory test reports.
Deputy Inspection Services
• Deputy inspection services during caisson, grade beam and tie -back construction. In-
spection services include evaluation of caisson reinforcing steel and cage placement,
placement of caisson concrete, grade beam steel reinforcement and tie -back anchors
and installation.
• Preparation of progress reports and field memoranda to document the items inspected.
• If work performed is not in compliance with the project plans and specifications, the
contractor will be notified, verbally. When corrected, the corrective action taken will be
recorded. If not corrected, the work will be rejected and the contractor and project in-
spector will be notified verbally and in writing of the rejection item.
• Issuance of final inspection reports.
ASSUMPTIONS
Based on our experience with similar projects, the following assumptions have been made in
the preparation of our scope of services:
• We assume that materials testing services will be provided based on 4 -hour per day field
work for each day of construction as estimated herein.
• We assume that deputy inspection services will be provided based on 8 -hour per day field
work for each day of construction as estimated herein. If deputy inspection services are in-
cluded in our scope of work, the deputy inspector will also prepare and collect concrete
samples.
• Our services do not include geotechnical observation or testing services.
• Our services do not include monitoring of tie -back anchor load testing.
• We assume our services are subject to prevailing wage requirements.
• Our estimated fee is based on the scope of services and assumptions outlined above and
do not include stand-by time or costs associated with retesting or reinspecting materials that
were found not to be in compliance with the project plans or specifications. Our services will
depend on the construction schedule and the contractor's operations. Hours spent that ex-
ceed those in the attached tables will be billed on a time -and -materials basis.
ESTIMATED FEES
We propose to provide materials testing and inspection services on a time -and -materials basis
in accordance with the attached Schedule of Fees and Schedule of Fees for Laboratory Testing.
Our estimated fee for the materials testing scope of services described herein is approximately
$8,800 (eight thousand eight hundred dollars). If our scope of services is to include deputy in-

spection services we estimate that our additional fee will be approximately $5,000 (five thou-
sand dollars). The total estimated fee for materials and deputy inspection services is
approximately $13,800 (thirteen thousand eight hundred dollars).

NOTES (Field Services)
For field and laboratory technicians and special inspectors, regular hourly rates are charged during normal weekday con-
struction hours. Overtime rates at 1.5 times the regular rates will be charged for work performed outside normal
construction hours and all day on Saturdays. Rates at twice the regular rates will be charged for all work in excess of 12
hours in one day or on Sundays and holidays. Lead time for any requested service is 24 hours. Field Technician rates are
based on a 2 -hour minimum. Special inspection rates are based on a 4 -hour minimum for the first 4 hours and an 8 -hour
minimum for hours exceeding 4 hours. Field personnel are charged portal to portal.
*Indicates rates that are based on Prevailing Wage Determination made by the State of California, Director of Industrial
Relations on a semiannual basis. Our rates will be adjusted in conjunction with the increase in the Prevailing Wage De-
termination during the life of the project.
INVOICES
Invoices will be submitted monthly and are due upon receipt. A service charge of 1.0 percent per month may be charged
on accounts not paid within 30 days.
