22-0215_JHC AQUISITIONS, LLC_D1_Attachment_41 61147.02100\10974777.3 ATTACHMENT 4 CITY OF SAN JUAN CAPISTRANO PROFESSIONAL SERVICES AGREEMENT This Agreement is made and entered into as of February 15, 2022 by and between the City of San Juan Capistrano, a public agency organized and operating under the laws of the State of California with its principal place of business at 32400 Paseo Adelanto, San Juan Capistrano, CA 92675 (“City”), and Griffin Structures, Inc., a California corporation with its principal place of business at 2 Technology Drive, Suite 150, Irvine, California, 92618 (hereinafter referred to as “Consultant”). City and Consultant are sometimes individually referred to as “Party” and collectively as “Parties” in this Agreement. RECITALS A. City is a public agency of the State of California and is in need of professional services for the following project: Program and construction management services for the San Juan Capistrano City Hall Project (hereinafter referred to as “the Project”). B. Consultant is duly licensed and has the necessary qualifications to provide such services. C. The Parties desire by this Agreement to establish the terms for City to retain Consultant to provide the services described herein. AGREEMENT NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. Services. Consultant shall provide the City with the services described in the Scope of Services attached hereto as Exhibit “A.” 2. Compensation. a. Subject to paragraph 2(b) below, the City shall pay for such services in accordance with the Schedule of Charges set forth in Exhibit “A.” b. In no event shall the total amount paid for services rendered by Consultant under this Agreement exceed the sum of $645,000. This amount is to cover all printing and related costs, and the City will not pay any additional fees for printing expenses. Periodic payments shall be made within 30 days of receipt of an invoice which includes a detailed description of the work performed. Payments to Consultant for work performed will be made on a monthly billing basis. 3. Additional Work. If changes in the work seem merited by Consultant or the City, and informal consultations with the other party indicate that a change is warranted, it shall be processed in the following manner: a letter outlining the changes shall be forwarded to the City by Consultant with a statement of estimated changes in fee or time schedule. An amendment to this Agreement shall 2 61147.02100\10974777.3 be prepared by the City and executed by both Parties before performance of such services, or the City will not be required to pay for the changes in the scope of work. Such amendment shall not render ineffective or invalidate unaffected portions of this Agreement. 4. Maintenance of Records. Books, documents, papers, accounting records, and other evidence pertaining to costs incurred shall be maintained by Consultant and made available at all reasonable times during the contract period and for four (4) years from the date of final payment under the contract for inspection by City. 5. Term. Consultant shall perform its services in a prompt and timely manner and shall commence performance upon receipt of written notice from the City to proceed (“Notice to Proceed”). The Notice to Proceed shall set forth the date of commencement of work. 6. Delays in Performance. a. Neither City nor Consultant shall be considered in default of this Agreement for delays in performance caused by circumstances beyond the reasonable control of the non- performing party. For purposes of this Agreement, such circumstances include but are not limited to, abnormal weather conditions; floods; earthquakes; fire; epidemics; war; riots and other civil disturbances; strikes, lockouts, work slowdowns, and other labor disturbances; sabotage or judicial restraint. b. Should such circumstances occur, the non-performing party shall, within a reasonable time of being prevented from performing, give written notice to the other party describing the circumstances preventing continued performance and the efforts being made to resume performance of this Agreement. 7. Compliance with Law. a. Consultant shall comply with all applicable laws, ordinances, codes and regulations of the federal, state and local government, including Cal/OSHA requirements. b. If required, Consultant shall assist the City, as requested, in obtaining and maintaining all permits required of Consultant by federal, state and local regulatory agencies. c. If applicable, Consultant is responsible for all costs of clean up and/ or removal of hazardous and toxic substances spilled as a result of his or her services or operations performed under this Agreement. 8. Standard of Care Consultant’s services will be performed in accordance with generally accepted professional practices and principles and in a manner consistent with the level of care and skill ordinarily exercised by members of the profession currently practicing under similar conditions. 9. Assignment and Subconsultant 3 61147.02100\10974777.3 Consultant shall not assign, sublet, or transfer this Agreement or any rights under or interest in this Agreement without the written consent of the City, which may be withheld for any reason. Any attempt to so assign or so transfer without such consent shall be void and without legal effect and shall constitute grounds for termination. Subcontracts, if any, shall contain a provision making them subject to all provisions stipulated in this Agreement. Nothing contained herein shall prevent Consultant from employing independent associates, and subconsultants as Consultant may deem appropriate to assist in the performance of services hereunder. 10. Independent Contractor Consultant is retained as an independent contractor and is not an employee of City. No employee or agent of Consultant shall become an employee of City. The work to be performed shall be in accordance with the work described in this Agreement, subject to such directions and amendments from City as herein provided. 11. Insurance. Consultant shall not commence work for the City until it has provided evidence satisfactory to the City it has secured all insurance required under this section. In addition, Consultant shall not allow any subcontractor to commence work on any subcontract until it has secured all insurance required under this section. a. Commercial General Liability (i) The Consultant shall take out and maintain, during the performance of all work under this Agreement, in amounts not less than specified herein, Commercial General Liability Insurance, in a form and with insurance companies acceptable to the City. (ii) Coverage for Commercial General Liability insurance shall be at least as broad as the following: (1) Insurance Services Office Commercial General Liability coverage (Occurrence Form CG 00 01) or exact equivalent. (iii) Commercial General Liability Insurance must include coverage for the following: (1) Bodily Injury and Property Damage (2) Personal Injury/Advertising Injury (3) Premises/Operations Liability (4) Products/Completed Operations Liability (5) Aggregate Limits that Apply per Project (6) Explosion, Collapse and Underground (UCX) exclusion deleted (7) Contractual Liability with respect to this Agreement (8) Property Damage (9) Independent Consultants Coverage (iv) The policy shall contain no endorsements or provisions limiting coverage for (1) contractual liability; (2) cross liability exclusion for claims or suits by one insured against another; (3) products/completed operations liability; or (4) contain any other exclusion contrary to the Agreement. 4 61147.02100\10974777.3 (v) The policy shall give City, its officials, officers, employees, agents and City designated volunteers additional insured status using ISO endorsement forms CG 20 10 10 01 and 20 37 10 01, or endorsements providing the exact same coverage. (vi) The general liability program may utilize either deductibles or provide coverage excess of a self-insured retention, subject to written approval by the City, and provided that such deductibles shall not apply to the City as an additional insured. b. Automobile Liability (i) At all times during the performance of the work under this Agreement, the Consultant shall maintain Automobile Liability Insurance for bodily injury and property damage including coverage for owned, non-owned and hired vehicles, in a form and with insurance companies acceptable to the City. (ii) Coverage for automobile liability insurance shall be at least as broad as Insurance Services Office Form Number CA 00 01 covering automobile liability (Coverage Symbol 1, any auto). (iii) The policy shall give City, its officials, officers, employees, agents and City designated volunteers additional insured status. (iv) Subject to written approval by the City, the automobile liability program may utilize deductibles, provided that such deductibles shall not apply to the City as an additional insured, but not a self-insured retention. c. Workers’ Compensation/Employer’s Liability (i) Consultant certifies that he/she is aware of the provisions of Section 3700 of the California Labor Code which requires every employer to be insured against liability for workers’ compensation or to undertake self-insurance in accordance with the provisions of that code, and he/she will comply with such provisions before commencing work under this Agreement. (ii) To the extent Consultant has employees at any time during the term of this Agreement, at all times during the performance of the work under this Agreement, the Consultant shall maintain full compensation insurance for all persons employed directly by him/her to carry out the work contemplated under this Agreement, all in accordance with the “Workers’ Compensation and Insurance Act,” Division IV of the Labor Code of the State of California and any acts amendatory thereof, and Employer’s Liability Coverage in amounts indicated herein. Consultant shall require all subconsultants to obtain and maintain, for the period required by this Agreement, workers’ compensation coverage of the same type and limits as specified in this section. d. Professional Liability (Errors and Omissions) At all times during the performance of the work under this Agreement the Consultant shall maintain professional liability or Errors and Omissions insurance appropriate to its profession, in a form and with insurance companies acceptable to the City and in an amount indicated herein. This insurance shall be endorsed to include contractual liability applicable to this Agreement and shall be written on a policy form coverage specifically designed to protect against acts, errors or omissions of the Consultant. “Covered Professional Services” as designated in the policy must 5 61147.02100\10974777.3 specifically include work performed under this Agreement. The policy must “pay on behalf of” the insured and must include a provision establishing the insurer's duty to defend. e. Minimum Policy Limits Required (i) The following insurance limits are required for the Agreement: Combined Single Limit Commercial General Liability $1,000,000 per occurrence/ $2,000,000 aggregate for bodily injury, personal injury, and property damage Automobile Liability $1,000,000 combined single limit Employer’s Liability $1,000,000 per accident or disease Professional Liability $1,000,000 per claim and aggregate (errors and omissions) (ii) Defense costs shall be payable in addition to the limits. (iii) Requirements of specific coverage or limits contained in this section are not intended as a limitation on coverage, limits, or other requirement, or a waiver of any coverage normally provided by any insurance. Any available coverage shall be provided to the parties required to be named as Additional Insured pursuant to this Agreement. f. Evidence Required Prior to execution of the Agreement, the Consultant shall file with the City evidence of insurance from an insurer or insurers certifying to the coverage of all insurance required herein. Such evidence shall include original copies of the ISO CG 00 01 (or insurer’s equivalent) signed by the insurer’s representative and Certificate of Insurance (Acord Form 25-S or equivalent), together with required endorsements. All evidence of insurance shall be signed by a properly authorized officer, agent, or qualified representative of the insurer and shall certify the names of the insured, any additional insureds, where appropriate, the type and amount of the insurance, the location and operations to which the insurance applies, and the expiration date of such insurance. g. Policy Provisions Required (i) Consultant shall provide the City at least thirty (30) days prior written notice of cancellation of any policy required by this Agreement, except that the Consultant shall provide at least ten (10) days prior written notice of cancellation of any such policy due to non-payment of premium. If any of the required coverage is cancelled or expires during the term of this Agreement, the Consultant shall deliver renewal certificate(s) including the General Liability Additional Insured Endorsement to the City at least ten (10) days prior to the effective date of cancellation or expiration. (ii) The Commercial General Liability Policy and Automobile Policy shall each contain a provision stating that Consultant’s policy is primary insurance and that any 6 61147.02100\10974777.3 insurance, self-insurance or other coverage maintained by the City or any named insureds shall not be called upon to contribute to any loss. (iii) The retroactive date (if any) of each policy is to be no later than the effective date of this Agreement. Consultant shall maintain such coverage continuously for a period of at least three years after the completion of the work under this Agreement. Consultant shall purchase a one (1) year extended reporting period A) if the retroactive date is advanced past the effective date of this Agreement; B) if the policy is cancelled or not renewed; or C) if the policy is replaced by another claims-made policy with a retroactive date subsequent to the effective date of this Agreement. (iv) All required insurance coverages, except for the professional liability coverage, shall contain or be endorsed to provide a waiver of subrogation in favor of the City, its officials, officers, employees, agents, and volunteers or shall specifically allow Consultant or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. Consultant hereby waives its own right of recovery against City, and shall require similar written express waivers and insurance clauses from each of its subconsultants. (v) The limits set forth herein shall apply separately to each insured against whom claims are made or suits are brought, except with respect to the limits of liability. Further the limits set forth herein shall not be construed to relieve the Consultant from liability in excess of such coverage, nor shall it limit the Consultant’s indemnification obligations to the City and shall not preclude the City from taking such other actions available to the City under other provisions of the Agreement or law. h. Qualifying Insurers (i) All policies required shall be issued by acceptable insurance companies, as determined by the City, which satisfy the following minimum requirements: (1) Each such policy shall be from a company or companies with a current A.M. Best's rating of no less than A:VII and admitted to transact in the business of insurance in the State of California, or otherwise allowed to place insurance through surplus line brokers under applicable provisions of the California Insurance Code or any federal law. i. Additional Insurance Provisions (i) The foregoing requirements as to the types and limits of insurance coverage to be maintained by Consultant, and any approval of said insurance by the City, is not intended to and shall not in any manner limit or qualify the liabilities and obligations otherwise assumed by the Consultant pursuant to this Agreement, including but not limited to, the provisions concerning indemnification. (ii) If at any time during the life of the Agreement, any policy of insurance required under this Agreement does not comply with these specifications or is canceled and not replaced, City has the right but not the duty to obtain the insurance it deems necessary and any premium paid by City will be promptly reimbursed by Consultant or City will withhold amounts sufficient to pay premium from Consultant payments. In the alternative, City may cancel this Agreement. 7 61147.02100\10974777.3 (iii) The City may require the Consultant to provide complete copies of all insurance policies in effect for the duration of the Project. (iv) Neither the City nor any of its officials, officers, employees, agents or volunteers shall be personally responsible for any liability arising under or by virtue of this Agreement. j. Subconsultant Insurance Requirements. Consultant shall not allow any subcontractors or subconsultants to commence work on any subcontract until they have provided evidence satisfactory to the City that they have secured all insurance required under this section. Policies of commercial general liability insurance provided by such subcontractors or subconsultants shall be endorsed to name the City as an additional insured using ISO form CG 20 38 04 13 or an endorsement providing the exact same coverage. If requested by Consultant, City may approve different scopes or minimum limits of insurance for particular subcontractors or subconsultants. 12. Indemnification. a. To the fullest extent permitted by law, Consultant shall defend (with counsel of City’s choosing), indemnify and hold the City, its officials, officers, employees, volunteers, and agents free and harmless from any and all claims, demands, causes of action, costs, expenses, liability, loss, damage or injury of any kind, in law or equity, to property or persons, including wrongful death, in any manner arising out of, pertaining to, or incident to any acts, errors or omissions, or willful misconduct of Consultant, its officials, officers, employees, subcontractors, consultants or agents in connection with the performance of the Consultant’s services, the Project or this Agreement, including without limitation the payment of all damages, expert witness fees and attorney’s fees and other related costs and expenses. Consultant's obligation to indemnify shall not be restricted to insurance proceeds, if any, received by Consultant, the City, its officials, officers, employees, agents, or volunteers. b. If Consultant’s obligation to defend, indemnify, and/or hold harmless arises out of Consultant’s performance of “design professional” services (as that term is defined under Civil Code section 2782.8), then, and only to the extent required by Civil Code section 2782.8, which is fully incorporated herein, Consultant’s indemnification obligation shall be limited to claims that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Consultant, and, upon Consultant obtaining a final adjudication by a court of competent jurisdiction, Consultant’s liability for such claim, including the cost to defend, shall not exceed the Consultant’s proportionate percentage of fault. 13. California Labor Code Requirements. a. Consultant is aware of the requirements of California Labor Code Sections 1720 et seq. and 1770 et seq., which require the payment of prevailing wage rates and the performance of other requirements on certain “public works” and “maintenance” projects (“Prevailing Wage Laws”). If the services are being performed as part of an applicable “public works” or “maintenance” project, as defined by the Prevailing Wage Laws, and if the total compensation is $1,000 or more, Consultant agrees to fully comply with such Prevailing Wage Laws. Consultant shall defend, indemnify and hold the City, its officials, officers, employees and agents free and harmless from any claims, liabilities, costs, penalties or interest arising out of any failure or alleged failure to comply with the Prevailing Wage Laws. It shall be mandatory upon the Consultant and all subconsultants to comply with all California Labor Code provisions, which 8 61147.02100\10974777.3 include but are not limited to prevailing wages (Labor Code Sections 1771, 1774 and 1775), employment of apprentices (Labor Code Section 1777.5), certified payroll records (Labor Code Sections 1771.4 and 1776), hours of labor (Labor Code Sections 1813 and 1815) and debarment of contractors and subcontractors (Labor Code Section 1777.1). The requirement to submit certified payroll records directly to the Labor Commissioner under Labor Code section 1771.4 shall not apply to work performed on a public works project that is exempt pursuant to the small project exemption specified in Labor Code Section 1771.4. b. If the services are being performed as part of an applicable “public works” or “maintenance” project, then pursuant to Labor Code Sections 1725.5 and 1771.1, the Consultant and all subconsultants performing such services must be registered with the Department of Industrial Relations. Consultant shall maintain registration for the duration of the Project and require the same of any subconsultants, as applicable. Notwithstanding the foregoing, the contractor registration requirements mandated by Labor Code Sections 1725.5 and 1771.1 shall not apply to work performed on a public works project that is exempt pursuant to the small project exemption specified in Labor Code Sections 1725.5 and 1771.1. c. This Agreement may also be subject to compliance monitoring and enforcement by the Department of Industrial Relations. It shall be Consultant’s sole responsibility to comply with all applicable registration and labor compliance requirements. Any stop orders issued by the Department of Industrial Relations against Consultant or any subcontractor that affect Consultant’s performance of services, including any delay, shall be Consultant’s sole responsibility. Any delay arising out of or resulting from such stop orders shall be considered Consultant caused delay and shall not be compensable by the City. Consultant shall defend, indemnify and hold the City, its officials, officers, employees and agents free and harmless from any claim or liability arising out of stop orders issued by the Department of Industrial Relations against Consultant or any subcontractor. 14. Verification of Employment Eligibility. By executing this Agreement, Consultant verifies that it fully complies with all requirements and restrictions of state and federal law respecting the employment of undocumented aliens, including, but not limited to, the Immigration Reform and Control Act of 1986, as may be amended from time to time, and shall require all subconsultants and sub-subconsultants to comply with the same. 15. Reserved. 16. Laws and Venue. This Agreement shall be interpreted in accordance with the laws of the State of California. If any action is brought to interpret or enforce any term of this Agreement, the action shall be brought in a state or federal court situated in the County of Orange, State of California. 17 Termination or Abandonment a. City has the right to terminate or abandon any portion or all of the work under this Agreement by giving ten (10) calendar days written notice to Consultant. In such event, City shall be immediately given title and possession to all original field notes, drawings and specifications, written reports and other documents produced or developed for that portion of the work completed and/or being abandoned. City shall pay Consultant the reasonable value of services rendered for any portion of the work completed prior to termination. If said termination 9 61147.02100\10974777.3 occurs prior to completion of any task for the Project for which a payment request has not been received, the charge for services performed during such task shall be the reasonable value of such services, based on an amount mutually agreed to by City and Consultant of the portion of such task completed but not paid prior to said termination. City shall not be liable for any costs other than the charges or portions thereof which are specified herein. Consultant shall not be entitled to payment for unperformed services, and shall not be entitled to damages or compensation for termination of work. b. Consultant may terminate its obligation to provide further services under this Agreement upon thirty (30) calendar days’ written notice to City only in the event of substantial failure by City to perform in accordance with the terms of this Agreement through no fault of Consultant. 18 Documents. Except as otherwise provided in “Termination or Abandonment,” above, all original field notes, written reports, Drawings and Specifications and other documents, produced or developed for the Project shall, upon payment in full for the services described in this Agreement, be furnished to and become the property of the City. 19. Organization Consultant shall assign Dustin Alamo, CCM, LEED AP as Project Manager. The Project Manager shall not be removed from the Project or reassigned without the prior written consent of the City. 20. Limitation of Agreement. This Agreement is limited to and includes only the work included in the Project described above. 21. Notice Any notice or instrument required to be given or delivered by this Agreement may be given or delivered by depositing the same in any United States Post Office, certified mail, return receipt requested, postage prepaid, addressed to: CITY: City of San Juan Capistrano 32400 Paseo Adelanto San Juan Capistrano, CA 92675 Attn: Charlie View, Assistant City Manager CONSULTANT: Griffin Structures, Inc. 2 Technology Drive, Suite 150 Irvine, CA 92618 Attn: Dustin Alamo, CCM, LEED AP and shall be effective upon receipt thereof. 22. Third Party Rights Nothing in this Agreement shall be construed to give any rights or benefits to anyone other than the City and the Consultant. 23. Equal Opportunity Employment. 10 61147.02100\10974777.3 Consultant represents that it is an equal opportunity employer and that it shall not discriminate against any employee or applicant for employment because of race, religion, color, national origin, ancestry, sex, age or other interests protected by the State or Federal Constitutions. Such non-discrimination shall include, but not be limited to, all activities related to initial employment, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff or termination. 24. Entire Agreement This Agreement, with its exhibits, represents the entire understanding of City and Consultant as to those matters contained herein, and supersedes and cancels any prior or contemporaneous oral or written understanding, promises or representations with respect to those matters covered hereunder. Each Party acknowledges that no representations, inducements, promises or agreements have been made by any person which are not incorporated herein, and that any other agreements shall be void. This Agreement may not be modified or altered except in writing signed by both Parties hereto. This is an integrated Agreement. 25. Severability The unenforceability, invalidity or illegality of any provision(s) of this Agreement shall not render the remaining provisions unenforceable, invalid or illegal. 26. Successors and Assigns This Agreement shall be binding upon and shall inure to the benefit of the successors in interest, executors, administrators and assigns of each Party to this Agreement. However, Consultant shall not assign or transfer by operation of law or otherwise any or all of its rights, burdens, duties or obligations without the prior written consent of City. Any attempted assignment without such consent shall be invalid and void. 27. Non-Waiver None of the provisions of this Agreement shall be considered waived by either Party, unless such waiver is specifically specified in writing. 28. Time of Essence Time is of the essence for each and every provision of this Agreement. 29. City’s Right to Employ Other Consultants City reserves its right to employ other consultants, including engineers, in connection with this Project or other projects. 30. Prohibited Interests Consultant maintains and warrants that it has not employed nor retained any company or person, other than a bona fide employee working solely for Consultant, to solicit or secure this Agreement. Further, Consultant warrants that it has not paid nor has it agreed to pay any company or person, other than a bona fide employee working solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, City shall 11 61147.02100\10974777.3 have the right to rescind this Agreement without liability. For the term of this Agreement, no director, official, officer or employee of City, during the term of his or her service with City, shall have any direct interest in this Agreement, or obtain any present or anticipated material benefit arising therefrom. These protocols are critical in a construction project of this size and scope and are particularly key to a successful design-bid-build delivery method. Accordingly, Griffin will establish a clear line of communication between the team members which will be utilized during the construction process. Working closely with the City, Griffin will identify the proper channels for all communication between the field (Contractors and inspectors) and the support team (design, engineering, and City) to establish seamless communication for the duration of the project. Document Management Key to this effort is our approach to document controls. Griffin Structures employs the use of Submittal Exchange for all project document controls. This system is comprehensive, adaptable, and is straightforward and easy to use. Essentially, the system works as follows: • Once the project is initiated, the Submittal Exchange team will review the entire specification and upload all submittal requirements. • The Construction Manager/Project Inspector will then upload all team members. • If used for design, the system can be easily adapted to carry all necessary documents, and document flow. • Once under contract, the General Contractor will be integrated into the system. Specifications for inclusion in the bid documents will be provided requiring Contractor compliance. • All RFIs, submittals, ASIs, CCDs, Deltas, Periodic Reports, Project Photos, SWPPP reports, schedules, and Closeout documents will have a unique tab for cloud storage. • All documents that require a review flow will have associated links that clearly identify who is on task. • Upon final closeout, all documents will be consolidated into a single digital file that is easily searchable for future needs. Griffin will begin by producing a comprehensive master project schedule. This schedule will include all aspects of the project including but not limited to: • Bidding / Contractor Selection • Contracts and insurance, • Phases of construction • City installations • Utility connections • City IT installations • Punch List • Commissioning • Contingency This initial schedule will serve as the basis for establishing the overall construction duration that will be incorporated into the bid documents. Naturally, Griffin will incorporate the input of all team members in that regard. Once a Contractor is on board, Griffin will require that they produce a comprehensive construction schedule that incorporates all the elements that occur during construction and demonstrates a clear and logical critical path for construction. Our extensive construction experience will help determine if the Contractor understands project realistically Phasing Analysis, if applicable, is also critical to a successful project schedule. Understanding the key components of the project, the City’s concerns, neighborhood sentiment, traffic concerns, and protection of existing facilities are aspects to be reviewed with regards to the schedule. Griffin will then provide strict communication protocols to ensure answers to questions, reviews of submittals, submissions for deferred permits, and requests for inspections are processed timely and effectively. Corrective measures may need to be implemented, should the Contractor fall behind. As described above, the City and project suffers when the Contractor fails. Therefore, Griffin will employ its extensive field experience and knowledge of construction to provide that maintain the overall objectives of the project and protect the City’s investment. 25 Financial Controls Change Management Construction projects are inherently iterative operations. With multiple efforts, and coordination of tasks and efforts underway concurrently, managing the discovery and correctly identifying changes is particularly challenging. Accordingly, we will review and address all possible changes in work in the following manner: • The first component is to know what is and is not a real change. Griffin will perform a comprehensive analysis of the issue at hand and determine if a change has in fact occurred. Key to this is a detailed understanding of the Design Documents. We will provide insight in the interpretation of those documents to preserve the City’s interests and foster prudent budgetary constraints. Key to this analysis is our enhanced understanding of contracts and scope to determine if in fact the issue is already covered under the existing scope. • If a change is in fact necessary, we will seek to execute this change in a manner that results in a no-cost solution to the City. This may involve proposing materials and/or methods that are comparable in scope to the original intent, thus allowing for solutions that do not compromise quality, schedule, or cost. • If such an option is not possible, or if unforeseen conditions materialize that result in a true change to the cost of the project, Griffin will perform a detailed analysis of the best form of execution. This may take the form of a hard estimate for the proposed change, or if in fact a Time & Materials (T&M) execution is in the best interests of the project. Yet another option is to utilize a T&M/ Not-To-Exceed method which allows for execution of a proposed change while putting a ceiling on the final costs of the change. • Finally, any change that is officially recognized will undergo a detailed examination of costs including but not limited to: materials back up, labor analysis, labor rate analysis, detailed subcontractor back-up, time impacts, and a unit cost comparison based on industry trends. Invoicing Griffin is keenly aware of the importance of maintaining financial controls over the invoicing process. Accordingly, we will establish the following methodical approach: • Establish a very detailed Schedule of Values the breaks out both labor and materials for each trade and specification section. • Review all invoices for consistency with improvements installed in the field. • Investigate the Contractor’s payment policies to subcontractors to avoid issues of non-payment. • Evaluate subcontractor performance to anticipate potential bankruptcies of subcontractors who are inadequately solvent to perform on the job. GRIFFIN STRUCTURESSCOPE + METHODOLOGY 26 Quality Control and Observation Regular Inspections Griffin Construction Managers are inherently Construction Inspectors. Our Construction Manager/Project Inspector will perform periodic inspections of the project. We will review material deliveries, material types, installation methods, finished installations in comparison to contract documents, and construction code adherence. Additionally, we will coordinate the timely execution of all specialty inspections including but limited to: geotechnical, building department, special inspections, and materials testing, to ensure the City receives the highest level of quality and consistency with the plans and specifications as well as all standards and practices. Photography and Technology Griffin employs photography and technology to enforce the quality of the construction process. Accordingly, we will perform the following: • Video Tape Existing Conditions. Before a Contractor begins construction, we will perform a detailed video surveillance of the entire site and the surrounding site to ensure there is no damage to the existing infrastructure and to mitigate against any potential future claims. • Periodic Photography. Griffin will photograph the progress of the job on a periodic basis. This will serve as a record throughout the duration of the job and as a vehicle for resolving issues. • Bluebeam Technology. Griffin uses Bluebeam technology to facilitate in the communication of challenges in the field for quick resolution and documentation. • Field Observation Report. Typically updated and presented at the weekly meeting, this report will track all issues and observations identified by the CM as well as the project team (design team, City, operations staff, etc.). The log will identify the issue, the date it was observed, provide a photograph of the issue, and include a resolution description once the item has been closed. In effect this log serves as a running punch list of all issues identified, thereby addressing these issues in a timely manner. Though not exhaustive, this is a basic summary of our approach to the management of this project. We hope we have adequately articulated our general approach. Certified Payroll Griffin Structures will enforce all state requirements for registrations with the Department of Industrial Relations as required by the recently enacted law SB 854. Accordingly, we will ensure that all Contractors and listed trade contractors provide a DIR registration number at the time of bid and will verify the same to ensure the State has the necessary information to enforce certified payroll requirements. As stipulated by State law, the DIR will perform all certified payroll enforcement including interviews, however Griffin will also receive and file all certified payroll and will enforce any deficiencies identified by the DIR as they arise. GRIFFIN STRUCTURESSCOPE + METHODOLOGY 27 Scope of Work Managing the Design Process Griffin will use our proven project management approach. We will carefully review all approved programming and design documents and ensure that the team is aligned on project goals and requirements. We will prepare reports on probable cost, constructability, value analysis, and operability. We will perform periodic checks on the design progress to ensure that the design meets all project goals including program, cost, schedule, features, and quality; and we will issue reports on our findings. Griffin’s track record for keeping change orders to a minimum is impressive. To minimize change orders, we will focus extensively on the preplanning and design stages. Our critiques will help the design team achieve the best possible facility, while adhering to the parameters established by policymakers. Constructability Reviews Our approach to managing cost and schedule during the construction phase begins with our management of the process during the preconstruction phase. Specifically, we will focus on the quality and clarity of drawings and specifications, perform constructability reviews, and provide cost estimating and reconciliation. During the construction phase, conflicts and surprises are minimized because of our proactive efforts during the preconstruction phase. Griffin’s series of constructability reviews will facilitate plan coordination and clarity, which ultimately minimizes the number of contractors’ questions and change orders during construction. This process results in contractor bids which are not inflated to cover ambiguities. Specifically, we will accomplish the following subtasks: Budget Development Griffin will include a cost to prepare detailed cost estimates as the design progresses. Updated estimates will be provided at the conclusion of Schematic Design and Design Development. Griffin will advise the City and the Design Team on any adjustments necessary to keep the project on budget. Schedule Development Concurrently with the development of the design and the budget, Griffin will prepare a development and construction schedule using Critical Path Management (CPM) techniques. The schedule will be prepared using suitable scheduling software, such as Microsoft Project or Primavera SureTrack. Bid Management Griffin will assist the City and the Design Team in the preparation of a complete and coordinated set of bid documents as well as a Contractor form of agreement. We will structure the contractor bid packages to allow open competition consistent with requirements of public contracting code. If contractor RFIs are received during the bid period, we will coordinate the preparation of addenda with the Design Team or others and issuance of addenda to the bidders. After bids are received and opened, we will assist in the coordination, tabulation, and analysis of the bid responses. GRIFFIN STRUCTURESSCOPE + METHODOLOGY 28 Construction Phase Pre-Construction Conference Griffin will organize and conduct the Pre-Construction meeting and provide agenda and meeting minutes accordingly. Griffin will ensure that all pertinent team members will be present to coordinate with City staff. Contract Administration Griffin will work closely with the City and staff to prepare and oversee the mobilization of the Contractor, the phasing of work, and the establishment of suitable and safe construction staging including, but not limited to: fencing, barricades, temp facilities, temp utilities, construction trailer placement etc. The planning of this effort will start early in the preconstruction process. Also, an initial site phasing and staging plan will be included in the bid documents to give guidance to the bidders regarding City standards and expectations. Submittal Procedures Griffin will oversee the distribution of all shop drawings submittal reviews, RFIs, payment requests, change orders, product data, material delivery dates, periodic reports, project logs etc. As described above, Griffin will use of Submittal Exchange for expedient distribution and tracking of these documents. We will tailor this effort to provide the exact level of detail expected from the City. Meetings Griffin will prepare the agendas and meeting minutes, discuss the schedule updates and near-term activities; work with the team to clarify or resolve problems; coordinate with other Contractors; update the team on the status of change orders, submittals, and RFI’s; and review safety issues and other topics as they arise. Griffin will assign action items to responsible parties along with the corresponding date the action requires completion. These meetings will be reviewed for concurrence and will be distributed to attendees within five calendar days. Quality Assurance/Quality Control (QA/QC) As described above, Griffin has a very robust QA/QC methodology and we will employ that effort to this project to observe, verify, and document the specified level of construction quality. Coordination of Other Consultants Griffin will coordinate and oversee the scheduling of all other consultant inspections including, those performed by our team and any other third party inspectors required (e.g., NPDES). Construction Observation Griffin will serve as the ‘eyes and ears’ of the City for quality control. Accordingly, Griffin will walk the site regularly and inspect all installations for consistency with the construction documents. Specifically, Griffin will enforce the highest level of quality of workmanship to ensure the City receives the best value for the investment made on behalf of the community. Non-Conforming Work Griffin will observe all installations and notify if any non- confirming work installed. These notices will be detailed thoroughly and provide recommendations to the City and Architect for corrective measures. We will also notify the Contractor of non-confirming work and we will track all resolutions via our Field Observation Log described above. GRIFFIN STRUCTURESSCOPE + METHODOLOGY 29 Progress Review The Griffin Structures’ Construction Manager/Project Inspector will provide periodic progress review of all activities performed on the project. Additionally, a counting of construction days will be accrued as verification of contract days spent, along with a percentage of completion for activities. Any issues or problems will also be documented for future reference. Also, as discussed above, Griffin will review every schedule provided by the Contractor to confirm they meet the overall objectives of the project. Accordingly, Griffin will oversee and ensure that activities in the field are consistent with the approved schedule, and we will recommend corrective action should they fail correlate. Maintain On-Site Records Griffin will manage all project documentation via our cloud-based document management system. As such, we will maintain all shop drawings, product data, samples, submittals, purchases, materials, equipment, and applicable handbooks. All documents will be maintained and turned over to the City at the completion of the project. Schedule of Values and Processing of Payments Griffin will establish, or cause to be established by the Contractor, a comprehensive Schedule of Values for the entirety of the project for approval by the City. Once approved, this will serve as the basis for all progress payments, which Griffin will review for consistency with progress in the field and make recommendations to the Contractor for correction. Once corrected, Griffin will make recommendations to the City for processing. Evaluate Change Order Proposal Costs Griffin will review all change orders and provide supplemental information as needed to justify their approval or rejection. Griffin will negotiate with the Contractor on the City’s behalf and serve as the point of contact for resolving issues and mitigating against potential claims. Specifically, Griffin will seek to avoid claims as detailed above. Change Order Reports Griffin will maintain a comprehensive log of all change orders for the project. This log will include anticipated change orders not yet received, change order requests, the status of their review or rejection, and a final documentation of all approved change orders. Project Status Reports As with the preconstruction phase, Griffin will provide a monthly project status report for distribution to all parties the City deems appropriate. This report will include key milestones, anticipated work pending, budget updates, photographs, and any key challenges encountered. GRIFFIN STRUCTURESSCOPE + METHODOLOGY 30 Project Close-out & Post-Construction Services As-Built Documents Griffin Structures will maintain a complete and up to date set of drawings for the duration of the project. As such, we will use the CM set as the As-Built set and require that all trade contractors mark up the CM set which will allow for a complete set of As-Built documents be turned over to the City for record purposes. Initial Start-Up and Testing As part of the commissioning process, all installations will go through both a pre-functional testing protocol and a functioning test protocol. These tests will be managed and documented by the Commissioning Agent and overseen by the Construction Manager/Project Inspector. User Training Griffin will oversee and attend all training sessions for City staff. We will require that all training sessions be video-taped and that those tapes be turned over to the City for future reference. These sessions will be performed in accordance with CalGreen commissioning requirements and managed in a manner that is consistent with state building code. Punch Lists Griffin will coordinate the final punch walk to ensure all improvements are per the plans and specifications. Specifically, Griffin will employ a Field Observation Log that will seek to identify quality issues observed by the project team on an ongoing basis. This will serve to function as an ongoing pre-punch list, and therefore help to minimize the issues discovered at the final punch walk. Griffin will also oversee the follow up punch walks to confirm corrective action is resolved. Once completed, Griffin will issue a comprehensive punch list for completion by the Contractor. Griffin will oversee the completion of these items and ensure that all deficiencies and corrections are completed to the satisfaction of the City. Conclusion Griffin Structures takes pride in providing unparalleled construction management services. As described above, Griffin will serve as the eyes and ears of the City. Our motto is “no surprises”. We achieve that by proper management (avoiding the issues in the first place) and clear and concise documentation (for defense and resolution of unavoidable issues). Accordingly, Griffin will provide comprehensive construction management and inspection services as detailed in the RFP. GRIFFIN STRUCTURESSCOPE + METHODOLOGY 31 REVISED GRIFFIN STRUCTURES FEE PROPOSAL SAN JUAN CAPISTRANO CITY HALL CITY OF SAN JUAN CAPISTRANO 02/10/22 Griffin Structures’ Fee Proposal is based on all reasonable costs necessary to perform Program and Construction Management for the San Juan Capistrano City Hall project. For these requisite services Griffin Structures proposes the following Not-to-Exceed Fee: Construction Management & Inspections: $ 623,560 Reimbursable Expenses: $ 21,440 Grand Total (Base Scope) $ 645,000 All proposed hourly rates are fully burdened and include overhead profit, taxes, and benefits. The hours identified for each individual employee and task are estimates only and are not to be construed as not to exceed hours for any individual task, phase, or time period. We reserve the right to reallocate hours between staff members, subconsultants, and tasks, in consultation with the City, in order to accomplish the overall objectives and requirements of the project. Services are based on the attached Fee Proposal and Resource Allocation Schedule, which provides detail on the allocation of hours for services as they occur over time. Any extension of the schedule may result in additional fee, in good faith negotiation with the City. Unlike its competitors Griffin Structures offers to accept financial risk based on its performance. We offer the City the ability to withhold 10% of our total fee (Construction Management only), to be awarded to Griffin at project completion by the City based solely on the City’s satisfaction with our services. Any replacement of personnel will be undertaken in close coordination with the City and at the approval of the City as stipulated in the prime contract. APPROACH TO PROJECT SCHEDULE This proposal assumes the following schedule as described in the RFP and as illustrated in the Resource Allocation Schedule attached: 1. Pre-Construction: (11 months) 2. Construction and Closeout (20 Months) Page 2 of 3 APPROACH TO STAFFING AND PROJECT TEAM To bring the highest level of efficiency and value to the City, Griffin Structures has assembled following team in accordance with the scope of work described in the RFP: Jon Hughes will serve as the Principal in Charge for the duration of the project and will provide as-needed leadership to the team to ensure a successful delivery. Key to the success of the project will be Jon’s experience with complex capital improvement projects for public agencies. For this level of service, we have allocated a total of 124 hours of Jon’s time. Robert Godfrey will serve as the Project Executive for the entire duration of the project. In this role, Robert will bring his considerable experience in multi-family housing and City Hall projects to support the team toward a successful delivery. For this level of service, we have allocated a total of 372 hours of Robert’s time. Lance Solomon will serve as the Program & Construction Manager for the entire duration of the project. Lance will serve as the single point of contact for the project providing both Program and Design Management as well as Construction Management. For this level of service, we have allocated a total of 2578 hours of Lance’s time. Dustin Alamo will serve as Predevelopment Manager for the project. In this role, Dustin will utilize his familiarity with the City and the programming phase of this project to support the team in the procurement of design services, bidding, and ensuring the delivery approach achieves the City’s objectives. For this level of service, we have allocated 50 hours of Dustin’s time. QUALIFICATIONS AND EXCLUSIONS 1. Hourly rates are valid through December 31st 2023, and will escalate by CPI annually thereafter. 2. Insurance costs are included as a reimbursable expense and will be billed monthly at the rate of $8 per $1,000. 3. On-site trailer rental, furniture, utilities, and sanitary facilities for our field staff (Project Management team) are excluded. We assume that offices will be provided as part of the construction site trailer(s) being provided by the City’s contractor. 4. Costs for all permits required for the project are excluded. It is assumed that the City will pay for all permitting fees, assessments, easements, school fees, and other agency or governmental fees or costs to support the design and construction the project. We have not included any permit related fees within our fee proposal. Permits will be pulled by others. 5. At no cost to the Owner, and subject to Internal Revenue Code 179D, (Deduction for Energy Efficient Commercial Buildings) Owner agrees to allocate any applicable tax deductions to construction manager (Griffin Structures) as may be relevant to ‘public entity’ projects. 6. Costs for surveying, construction staking, environmental and hazardous materials surveys, and all environmental and hazardous materials transportation and remediation costs are excluded. 7. Software licenses or user fees and all software training costs for specific project management software being required by either the City or their contractor(s) is excluded. 8. Cost of bulk blueprinting for plans and specifications for use by the contractors and subcontractors is excluded. Funds included in reimbursable expenses are for Griffin printing costs alone. Page 3 of 3 9. Wage Compliance Program including Certified Payroll auditing, field interviews, or reporting is excluded. Based on State Law SB 854, it is assumed that the Dept. of Industrial Relations (DIR) will manage this effort at the State level. Griffin will enforce the Contractor registration requirements stipulated by the DIR and administer any penalties and remedial actions required by the State. 10. Independent or third-party testing companies such as Roofing, Peer Reviews, LEED, or other specialized third-party oversight services other than those listed herein are excluded. 11. Commissioning requirements required by Cal Green (Title 24) are excluded. Griffin will manage the commissioning process, but we have not included a commissioning agent, nor development of commissioning specifications. 12. No FF&E or OS&E is included in this proposal. 13. Security and 24-hour surveillance is excluded. 14. Construction Manager will review all RFI’s, Submittals, and Substitutions only for completeness, approvals to be executed by the architect of record. 15. For document tracking control, Griffin has included the use of “Submittal Exchange” for managing construction documentation, and based the hours allocated in this proposal accordingly. The cost of “Submittal Exchange” is included here as a reimbursable expense. 16. This proposal does not include a formal independent Inspector of Record (IOR). Inspection services are for Quality Assurance purposes. All City Building Dept. or other regulatory permit inspections are assumed to be performed by the City Building Dept or the Authority Having Jurisdiction. 17. Construction Cost Estimates, when provided, are based on standard industr y practice, professional experience, and knowledge of market conditions. Griffin has no control over material and labor costs, contractor’s methods of establishing prices or the market and bidding conditions at the time of bid. Therefore, Griffin does not guarantee that bids received will not vary from the cost estimate provided and Griffin is not liable for any costs, liabilities, or damages incurred by City arising from Griffin’s opinion of cost, the actual project cost to City, delays caused by events outside the control of Griffin, or any labor or material cost increases. 18. Griffin is not responsible for, and City will hold Griffin harmless from, any schedule delays and/or any losses, damages, or liabilities resulting therefrom that are caused by (1) events or conditions that are outside of Griffin’s control or (2) the acts or omissions of parties for whom Griffin is not legally liable (collectively, “Non-Consultant Delays”). The schedule for completion will be extended for any Non-Consultant Delays. If Griffin incurs additional costs or expenses due to Non-Consultant Delays, then Griffin’s fee compensation will be equitably adjusted to cover such additional costs or expenses.
