Re: Letter of Understanding for Rent Relief as a Result of COVID-19
Dear Chairwoman Romero:
This Letter of Understanding is in regards to the License Agreement dated June 3, 2014, between
the City of San Juan Capistrano ("Landlord") and the Juaneno Band of Mission Indians ("Tenant")
for the Lacouague Building, Room 3, of the Old Fire Station Complex, located at 31411 La
Matanza Street, in the City of San Juan Capistrano, California ("License Agreement"). The
original term of the License Agreement expired on June 2, 2018 and the agreement is now on a
month -month term.
Under the terms of the License Agreement, Tenant is required to pay Landlord rent of $1,032.08
on the first day of every month. However, on March 4, 2020, the Governor of the State of
California declared a State of Emergency in response to the COVID-19 pandemic, and on March
191 2020, the Governor issued an executive order requiring all individuals to "shelter in place" in
their residence except as needed to maintain continuity of operations in critical infrastructure
sectors. The economic impact of the COVID-19 crises and resulting orders have negatively
impacted Tenant's business operations, and Tenant has requested rent relief in the form of rent
forgiveness and rent reduction. The Following rent relief is offered to the Tenant:
• License Agreement Payment Forgiveness for 9 months of 2020; total forgiveness:
$9,288.72
• Modified License Agreement Payment Amount November 2020 through June 2021:
$500.00 per month. License Term: month -month
Any late fee provided for in the License Agreement, if applicable, is waived for the payments
forgiven under this Letter of Understanding. This Letter of Understanding shall not constitute a
waiver of any rights under the License Agreement or at law, and all remedies are reserved,
subject to compliance with all laws and executive orders. Moreover, the Landlord and Tenant

agree and understand that any and all terms and conditions of the License Agreement that are
not expressly modified herein shall remain in full force and effect.
It is expected that the City and Juaneno Band of Mission Indians will negotiate a new term for
consideration of a new license agreement in 2021, effective date July 1, 2021. Please
acknowledge your agreement and acceptance of the terms and conditions of this Letter of
Understanding by signing and returning a copy to Heidi Ivanoff, Community Services Manager
at Hivanoff@sanjuancapistrano.org within seven days from the date of this letter. For questions,
