RECITALS A. Ganahl is the fee owner of certain real property located in San Juan Capistrano, California, as more particularly described in Exhibit "A" attached hereto (the "Ganahl Pro er "). B. CVME is the fee owner of certain real property located adjacent to the Ganahl Property, as more fully described on Exhibit `B" attached hereto (the "CVME Property"). C. Ganahl has requested that CVME grant to Ganahl an easement for emergency vehicular access across the CVME Property to Avenida Aeropuerto along with an easement under and across the CVME Property for public and private utilities. CVME has requested that Ganahl grant to CVME an easement for emergency access from the CVME Property across the Ganahl Property to StonehilI Drive, all as more particularly described herein. Agreement NOW, THEREFORE, in consideration of the premises and agreements contained herein and for other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. Grant of Easements. a. Easements to Ganahl. CVME hereby grants to Ganahl a twenty (20) foot wide easement, on, over and across the CVME Property as described in Exhibit "C-1" and shown on Exhibit "C-2" attached hereto for emergency vehicular ingress and egress between the Ganahl Property and Avenida Aeropuerto ("_Ganahl Emergency Access Easement") during any period of time that the primary access between the Ganahl Property and Stonehill drive is blocked due to an emergency. CVME also hereby grants to Ganahl an easement under and across the CVME Property within the boundaries of the Ganahl Emergency Access Easement for public and private utility purposes ("Ganahl Utility Easement"). The Ganahl Emergency Access Easement and Ganahl Utility Easement are nonexclusive, appurtenant to the Ganahl Property, and for use by Ganahl and others at the Ganahl Property. b. Easement to CVME. Ganahl hereby grants to CVME a twenty (20) foot wide easement, on, over and across the Ganahl Property as described in Exhibit "D-1" and shown on Exhibit "D-2" attached hereto for emergency vehicular ingress and egress between the CVME Property and Stonehill Drive ("CVME Emergency Access Easement"). The CVME Emergency Access Easement is nonexclusive, appurtenant to the CVME Property, and for use by CVME and the residents of or visitors to the CVME Property during any period of time that the primary access between the CVME Property and Camino Capistrano via Avenida Aeropuerto is blocked due to a train accident or malfunction. C. Right of Relocation. By written notice to Ganahl, CVME shall have the right to relocate: (i) the Ganahl Emergency Access Easement, provided the relocated easement area continues to be approximately the same width and provide Ganahl with emergency vehicular ingress and egress between the Ganahl Property and Avenida Aeropuerto, and (ii) the Ganahl Utility Easement, however, if there are then utility facilities already in the ground within the Ganahl Utility Easement, CVME shall bear the cost of relocating those facilities to the relocated easement area. By written notice to CVME, Ganahl shall have the right to relocate the CVME Emergency Access Easement, provided the relocated easement area continues to be approximately the same width and provide CVME with emergency vehicular ingress and egress between the CVME Property and Stonehill Drive. In the event of any such relocation, the other terms of this Agreement shall all continue to apply to the relocated easement(s). 2. Maintenance of Easement Area. Ganahl agrees to maintain the area of the CVME Emergency Access Easement in a condition suitable for access. CVME agrees to maintain the area of the Ganahl Emergency Access Easement in a condition suitable for access. 3. Covenants Running With the Land: Equitable Servitudes. Ganahl's covenants contained in this Agreement are covenants running with the land and equitable servitudes for the benefit of the CVME Property, which is the benefited property in that regard. Such covenants shall inure to the benefit of CVME and its successor owners of the CVME Property, and shall bind Ganahl and its successor owners of the Ganahl Property, which is the burdened property in that regard. CVME's covenants contained in this Agreement are covenants running with the land and equitable servitudes for the benefit of the Ganahl Property, which is the benefited property in that regard. Such covenants shall inure to the benefit of Ganahl and its successor 2 owners of the Ganahl Property, and shall bind CVME and its successor owners of the CVME Property, which is the burdened property in that regard. 4. Mortgagees. No breach of any of the covenants contained in this Agreement shall defeat or render invalid the lien of any first priority mortgage or deed of trust made in good faith and for value as to the CVME Property or the Ganahl Property, as the case may be, or any part thereof or interest therein, whether or not said first priority mortgage or deed of trust is subordinated to this Agreement; but all of the terms and covenants herein shall be binding on and effective against any owner of either such property, or any part thereof, whose title is derived through foreclosure, trustee's sale, or otherwise. 5. Notices. Waiver; Remedies. No delay on the part of any party hereto in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any waiver on the part of any party hereto of any right, power or privilege hereunder operate as a waiver of any other right, power or privilege hereunder, nor shall any single or partial exercise of any right, power or privilege hereunder, preclude any other or further exercise thereof or the exercise of any other right, power or privilege hereunder. C. Governing Law; Interpretation. This Agreement shall be governed by and construed in accordance with the internal laws of the State of California applicable to agreements made and to be performed within the state. The provisions of this Agreement shall not be construed in favor of or against either party, but shall be construed as if both parties prepared this Agreement. d. Binding Arbitration. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in Orange County, California, accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. e. Attorneys' Fees. In the event of any action or proceeding arising out of or relating to this Agreement, the prevailing party shall be entitled to recover reasonable expenses, attorneys' fees, and costs incurred in connection therewith or in the enforcement or collection of any judgment or award rendered therein. f. Entire Agreement. This Agreement is intended by the parties as a final expression of their agreement and intended to be a complete and exclusive statement of the agreement and understanding of the parties hereto in respect of the subject matter contained herein. There are no restrictions, promises, warranties or undertakings, other than those set forth or referred to herein. This Agreement supersedes all prior agreements and understandings between the parties with respect to such subject matter. g. Counterparts.
