Bids will be received until the time hereinbefore stated at the San Juan Capistrano City Hall, 32400 Paseo Adelanto, San Juan Capistrano, California. No bid will be received unless it is made on a proposal provided within these specifications . A MANDATORY pre-bid conference is scheduled at 2 : 00 p.m. on the 10th day of August, 1993 , at the City Offices. The Contractor shall have the opportunity of clarification or interpretation of any point or points of question within the specifications and contract documents. It is the Contractor' s responsibility to be in attendance at this conference to receive any information disclosed during the proceedings, for the City shall not disseminate any records of the conference. Exclusive of written addendums and this pre-bid conference, the City shall not be responsible for any instructions, explanations, or interpretation of the specifications or contract documents presented to the bidders in any manner. The City Council reserves the right to reject any and all bids received and to compare the relative merits of the respective bids and to choose that which in the opinion of said City will best serve the interests or needs of said City. BIDDERS ARE HEREBY NOTIFIED THAT, pursuant to the Labor Code of the State of California, copies of the prevailing rate of per diem 1 wages, as determined by the Director of the State Department of Industrial Relations, are on file in the Office of the City Clerk and shall be made available to any interested party on request. Copies of specifications are on file in the Office of the City Clerk of San Juan Capistrano, 32400 Paseo Adelanto, San Juan Capistrano, California. Copies of the specifications for use in preparing bids may be obtained at the Office of the City Clerk, San Juan Capistrano, at the address shown above. One set of specifications is available for each general contractor proposing to submit a bid for said work. A charge in the amount of $10, nonrefundable, is required for obtaining each set of specifications . There will be a $5 charge for postage and handling on all specifications mailed. Prior to the award of bid to the apparent successful , low bidder, they will be required to present a valid State Contractor' s License (C-10) and City of San Juan Capistrano Business License. No bid will be accepted from a Contractor who has not been licensed in accordance with the provisions of the laws of the State of California relating to the licensing of Contractors. SPECIAL EQUIPMENT - Please indicate below the hourly rate for any specialized equipment not included in the above definition. The rates quoted below shall be for equipment and operator (or operators) as required. If the contract is awarded, the undersigned agrees to enter into a contract with the City and to commence work within fifteen (15) calendar days from the date of execution thereof. Remarks: Signature Company 11 INSTRUCTION TO BIDDERS Secure Documents Specifications and other contract documents will be available for examination without charge and copies may be secured in accordance with the "Notice Inviting Bids . " Examination of Specifications and Site of Work There will be a mandatory pre-bid conference for the purposes of clarification or interpretation of specifications and contract documents. The bidder is required to examine the site of work, the proposal , the Specifications, Special Provisions and General Provisions very carefully. He shall satisfy himself as to the character, quality and quantities of the work to be performed, the materials to be furnished and the requirements of the Contract Documents. The specifications for the work cover conditions as they are believed to exist, but it is not to be inferred that all the conditions noted actually exist, nor shall the City or any of its officers or agents be liable for any loss sustained by the Contractor as a result of any variance between conditions indicated in the Specifications and actual conditions revealed during examination or progress of the work. The submission of a proposal shall be prima facie evidence that the bidder has made such an examination. Interpretation of Specifications and Contract Documents If any bidder should find discrepancies in, or omissions from the specifications or other proposed contract documents, or if he should be in doubt as to the true meaning of any part thereof, he shall at once make a written request to the Director of Public Lands and Facilities for correction, clarification or interpreta- tion of the point or points in question. The person submitting such a request shall be responsible for its prompt delivery. In the event that such a request is submitted and it should be found that certain essential information is not clearly and fully set forth, or if it is discovered that errors, omissions, or points require clarification in the specifications or documents, a written addendum will be mailed to each person to whom a set of contract documents has been delivered. The City will not be responsible for any instructions, explanations or interpretations of the documents presented to bidders in any manner other than written addendum. Additional questions or inquiries may be addressed to the Depart- ment of Public Lands and Facilities at 714/493-1171, Ext 295 . Addenda or Bulletins The effect of all addenda to the contract documents shall be considered in the bid and said addenda shall be made a part of the contract documents and shall be returned with them. Before submitting his bid, each bidder shall inform himself as to whether or not any such addenda have been issued. A signed copy of any addenda issued by the City must accompany the bid documents. In all cases, a signed acknowledgement copy of all addenda must be provided by the apparent low bidder prior to award of contract. 12 Disqualification of Bidders No person, firm or corporation shall be allowed to make, file or be interested in more than one bid for the same work unless alternate bids are called for. A person, firm or corporation who has submitted a sub-proposal to a bidder, or who has quoted prices on materials to a bidder, is not hereby disqualified from submitting a bid in his own behalf. Proposals Bids to receive consideration shall be in accordance with the following instructions: A. Bids shall be made only upon the forms provided within these specifications; all bid items shall be properly filled out; bid prices shall be stated and the signatures of all persons signing shall be in longhand. B. All prices and notations must be in ink or typewritten. No erasures will be permitted. Mistakes may be crossed out and corrections typed or written in ink adjacent thereto and must be initialed in ink by the person or persons signing the bid. C. Bids shall not contain any recapitulation of the work to be done. Alternate proposals will not be considered except as required hereinabove. No oral, telegraphic or telephonic proposals or modifications will be considered. D. The City will require bidders to furnish a statement of their experience. E. Each bidder shall list their proposed subcontractors on the form accompanying the proposal in accordance with the provisions of the specifications. F. Bids shall be delivered to the Office of the City Clerk, City of San Juan Capistrano, on or before the day and hour set for the opening of bids, as hereinbefore specified in the "Notice Inviting Bids. " Bids shall be enclosed in a sealed envelope bearing the title of the work, the name of the bidder, bid opening date and time of bid opening. Licensing of Contractor Contractor is required to possess a City Business License and a State Contractor' s License (C-10) . Insurance Prior to beginning work, Contractor shall provide an endorsement to the City establishing that the City has been legally added as an additional insured for the general liability insurance required under this agreement. In addition, Contractor shall maintain at all times during this contract liability and property damage insurance, naming the City and its elected and appointed officials as additional insured, which such policies shall be of an amount not less than $1, 000, 000, Combined Single Limit. In addition, Contractor is required to provide proof of automobile insurance and workers compensation insurance. Insurance certificates must be in force for the duration of the contract. The insurance policies shall bear an endorsement or shall have an attached rider providing that in the event of expiration or 13 proposed cancellation of such policies for any reason whatsoever, the City shall be notified by registered mail, return receipt requested, giving sufficient time before the date thereof to comply with the applicable law or statute, but in no event less than 30 days before expiration or cancellation is effective. Contractor shall provide to City the policy certificate establishing that the required level of insurance has been satisfied. Contractor shall indemnify and save harmless the City, its officers, agents, and employees from and against any and all claims, demands, loss or liability of any kind or nature which Lessor, its officers, agents and employees may sustain or incur or which may be imposed upon them or any of them for injury to or death of persons, damage to property as a result of, or arising out of, or in any manner connected with the performance of the obligations under this agreement. Withdrawal of Bids Any bidder may withdraw his bid in person or by written request at any time prior to the scheduled closing time for receipt of bids. Opening of Bid Proposals The City will publicly open, examine and declare the bids at the time set forth in the "Notice Inviting Bids. " Bidders or their authorized representatives are invited to be present. Award of Contract or Rejection of Bids No bidder may withdraw his bid for a period of sixty (60) days after the date set for the opening of bids. The contract for the work will either be awarded or the bids rejected within the sixty (60) days from the date set for the opening of bids. The contract for the work will be awarded to the lowest responsible bidder complying with these instructions and with the "Notice Inviting Bids. " The City, however, reserves the right to reject any or all bids and to waive mere informalities, minor technical errors or irregularities, obvious clerical errors or erasures. The City reserves the right to use either the hourly rates, per light rate, or a combination of these two in calculating the low bidder. During the term of this contract, the City may use either the hourly rates, per light rate, or a combination of the two for the work performed. The method of billing shall be agreed upon in advance by a representative of the City and the contractor prior to work being performed. The bidder to whom the award is made shall execute a written contract with the City and furnish the stipulated insurance and other documents as required within fifteen (15) days after the notice of contract. The contract shall be made in the form adopted by the City. If the bidder to whom the award is made fails to enter the contract as herein provided, the award may be annulled and an award may be made to the next lowest responsible bidder; and such bidder shall 14 fulfill every stipulation embraced herein, as if he were the party to whom the first award was made. A corporation to which an award is made shall furnish evidence of its corporate existence and evidence that the officer signing the contract for the corporation is duly authorized to do so. Time of Performance The work shall be commenced fifteen (15) calendar days from the date of issuance of the Notice to Proceed. It is anticipated that the date to commence work shall be . In accordance with the Contract documents, said contract shall remain and continue in effect for months, subject to adequate performance, with an option to extend an additional 24 months upon agreement by both parties as to pricing and any change of terms therein. Termination City may, without cause, terminate this contract at any time prior to completion by Contractor of any of the services required hereunder. Notice of termination of this contract shall be given in writing to Contractor, and shall be sufficient to complete when same is deposited in the U. S . Mail , first class postage prepaid. In the event this contract is terminated by CITY, Contractor shall be paid the value of services performed by him pursuant to this contract prior to the date of termination thereof, such value to be the total to which he shall have become entitled, as determined by City, less the amount of any payments previously made, but in no event exceeding the maximum contract amount stated in the Bid Proposal . Workmen and Wages Attention is specifically directed to all provisions of the Labor Code of the State of California with regard to workmen and wages. Wages shall not be less than prevailing wage rates determined by the City pursuant to said Code and as listed in the "Notice Inviting Bids. " 15 GENERAL PROVISIONS AND SPECIFICATIONS STREET LIGHT SPECIFICATIONS 1) Work will ordinarily be performed between the hours of 7 : 00 am and 5 : 00 pm, Monday through Friday. During emergencies, such as storms, high winds, etc. , work may be required at other than normal hours. The hourly rates requested in the bid proposal address both routine and emergency work. 2) All parts replacements shall comply with City street lighting standards specification part sheet. (See attached, Street Lighting Standards) . No alternatives may be used without the consent of City Staff. 3) All work will be done at the direction of the City Department of Public Lands and Facilities personnel . No work is to be performed without prior discussion of the scope of work and authorization by City staff. 4) City will attempt to provide adequate notification to contractor for routine work. A minimum of 48 hours of advance notice will be given when possible. Contractor must be able to respond to main intersection lights or when a safety hazard is present within a 1-2 hour response time. All other routine work within 3 working days, after Notification by City. 5) Before start of working day, contractor shall pick-up Service Requests or work orders and complete forms with all infor- mation and return when completed. 6) Contractor shall provide the City with a 24 hour phone number and contact person. This person must be available for emergency work scheduling at all times. Contractor shall be able to respond to emergency work request within one hour of notification by City. 7) Contractor will be required to supply a list of equipment owned and available. 8) Contractor will be required to supply a list of references for similar work performed and additional references if requested by City. 9) Contractor shall provide City with required proof of Liablity Insurance, Workmans Compensation, Vehicle Insurance and City business lisence as noted in contract. 16 10) Hourly rates quoted shall include all labor, equipment, transportation, insurance, taxes and any other costs. Hourly rates shall also include materials when so noted on bid sheet. 11) Hourly rates quoted shall include all safety equipment required. Traffic control may be required on some sites and be included in quoted prices. 12) Hourly rates for routine and emergency work shall be for actual time spent on the job site. No travel time will be paid. Contractor shall notify City Department of Public Lands and Facilities personnel of actual hours worked, on a daily basis. Failure to verify this information may result in the contractor not being paid for unverified work. 13) Hourly rates quoted shall be per crew. "Crew" shall be defined as the equipment and personnel necessary to provide the services described, per job site. Contractor shall describe the equipment and number of personnel included in the quoted hourly rates. 14) City will award the contract based upon review of all prices quoted and which combination of prices will be most economical to the City. Please note only one contract will be awarded based upon a review of all factors, including, hourly rates references, etc. . It is anticipated that the annual value of this contract shall be approximately $20, 000 . 15) There are approximately 1200 street lights within the City, which may be included under this contract. 16) Prior to bid date, contractor may inspect City property for further information, if desired. City representatives will be available if desired to answer questions. 17) Contractor must protect any and all private property adjacent to work areas. Any damage to private property resulting directly or indirectly from contractors actions shall be the responsibility of the contractor. 18) All employees of contractor shall wear a uniform or shirt which clearly identifies the company name. 19) All employees of contractor shall wear an orange safety vest whenever working in city streets, or within 10 feet of city streets. 20) Contractor must be able to provide a list of employees names, dates worked, and hours worked on each date if requested by the City. 17 21) Contractor shall be responsible for protecting all adjacent utilities during work. Any damage to utilities resulting directly or indirectly from contractors work shall be the responsibility of the contractor. Prior to any work which may require excavation, contractor must notify Underground Service Alert (USA) . Damages to underground utilities resulting from failure to notify USA shall be contractors responsibility. 22) Contract Termination - If at anytime, in the opinion of the Director of Public Lands and Facilities, Contractor fails to supply suitable equipment, an adequate working force, or material of proper quality, or shall fail in any respect to prosecute any work with the diligence and force specified and intended in and by the terms of the contract, notice thereof in writing shall be served upon him. Should he neglect or refuse to provide means for satisfactory compliance with the contract, as directed by the Director of Public Lands and Facilities, within the time specified in such short notice, the City in any such case shall have the power to terminate all or any portion of the contract. 18 CITY OF SAN JUAN CAPISTRANO STREET LIGHT MAINTENANCE CONTRACT This CONTRACT is made and entered into by and between the CITY OF SAN JUAN CAPISTRANO, hereinafter referred to as CITY and , hereinafter referred to as CONTRACTOR. IT IS HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS : FIRST. TERM. This agreement shall commence on the day of , 1993 , and shall remain and continue in effect through the day of , with an option to extend upon agreement by both parties as to pricing and any change of terms herein, and subject to the termination provision of Section Five of this agreement. SECOND. CONTRACT DOCUMENTS . The contract documents shall include the Contractor ' s proposal , the Notice Inviting Bids, Instructions to Bidders, Non-Collusion Affidavit, Designation of Subcontractors, the Contract Agreement, Statement of Experience, the Bid Summary, the General Provisions, and the Detail Specifications . THIRD. THE WORK. The CONTRACTOR agrees to furnish all tools, labor, material , equipment, transportation, and supplies necessary to perform and complete in good and workmanlike manner the maintenance of street lights in strict conformity with the Specifications and all other contract documents, which documents are on file at the Office of the City Clerk, City Hall , 32400 Paseo Adelanto, San Juan Capistrano, California. Maintenance shall include, but not be limited to, specified CITY STREET LIGHTS as referenced in the attached "General Provisions" Section. CONTRACTOR may be required to perform extra work as deemed necessary by the Director of Public Lands and Facilities. FOURTH. PAYMENT. CITY agrees to pay, and CONTRACTOR agrees to accept payments made monthly. Payment shall be based upon bills submitted for work actually performed and approved for the previous month. Payments shall be made at the time in the manner set forth in the City ' s Capital Projects/Demand Payment Schedule, attached hereto and made a part hereof. Base contract amount is estimated to not exceed a total of $40, 000 . 00 for two (2) years . 19 Payment for any extra work directed by CITY shall be as agreed in advance prior to the work being performed. CONTRACTOR shall submit detailed invoices with back-up vouchers for all charges in excess of monthly billings . At the sole discretion of the Director of Public Lands and Facilities, additions or deletions may be made to this agreement which may result in an increase or decrease in the frequency of maintenance. Such changes will be submitted to CONTRACTOR in writing and shall be identified as addendum to this agreement. FIFTH. TERMINATION. CITY may, without cause, terminate this contract at any time prior to completion by CONTRACTOR of any of the services required hereunder. Notice of termination of this contract shall be given in writing to CONTRACTOR, and shall be sufficient to complete when same is deposited in the U.S . Mail , first class postage prepaid. In the event this Contract is terminated by CITY, CONTRACTOR shall be paid the value of services performed by him pursuant to this Contract prior to the date of termination thereof, such value to be the total to which he shall have become entitled, as determined by the CITY, less the amount of any payments previously made to CONTRACTOR, but in no event exceeding the maximum contract amount stated in Section 4 . SIXTH. GENERAL PROVISIONS . General provisions for the work to be performed are contained herein and are made a part of this agreement by reference. SEVENTH. GENERAL PREVAILING RATE OF PER DIEM WAGES. Pursuant to the Labor Code of the State of California, copies of the prevailing rate of per diem wages, as determined by the Director of the State Department of Industrial Relations, are on file in the Office of the City Clerk, 32400 Paseo Adelanto, San Juan Capistrano, California, and are hereby incorporated and made a part hereof. CONTRACTOR agrees that he, or any SUB-CONTRACTOR under him, shall pay not less than the foregoing specified prevailing wages to all workmen employed in the execution of the contract. EIGHTH. CONTROL OF WORK. The Director of Public Lands and Facilities, or his authorized representatives, shall decide all questions of the work; all questions as to the acceptable fulfillment of the contract on the part of the CONTRACTOR; all questions as to the interpretation of the specifications ; and all questions as to compensation. His decision shall be final and he shall have authority to enforce and make effective such decisions . When condition of a maintained area is determined by Director to be 20 substandard due to inadequate or improper maintenance, monthly payment will be authorized based upon the work performed. NINTH. INSURANCE. Prior to beginning work, CONTRACTOR shall provide an endorsement to the City (attached hereto) establishing that the City has been legally added as an additional insured for the general liability insurance required under this agreement. In addition, CONTRACTOR shall maintain at all times during this contract liability and property damage insurance, naming the City and its elected and appointed officials as additional insured, which such policies shall be of an amount not less than $1, 000, 000 Combined Single Limit. In addition, CONTRACTOR is required to provide proof of automobile insurance and workers compensation insurance. Insurance certificates must be in force for the duration of the contract. Worker' s Compensation - If CONTRACTOR employs employees to perform services under this contract, CONTRACTOR shall obtain and maintain, during the life of this contract, Worker' s Compensation Employer's Liability Insurance in the statutory amount as required by state law. The insurance policies shall bear an endorsement or shall have an attached rider providing that in the event of expiration or proposed cancellation of such policies for any reason whatsoever, the City shall be notified by registered mail , return receipt requested, giving sufficient time before the date thereof to comply with the applicable law or statute, but in no event less than 30 days before expiration or cancellation is effective. CONTRACTOR shall provide to City the policy certificate establishing that the required level of insurance has been satisfied. CONTRACTOR shall indemnify and save harmless the City, its officers, agents, and employees from and against any and all claims, demands, loss or liability of any kind or nature which Lessor, its officers, agents and employees may sustain or incur or which may be imposed upon them or any of them for injury to or death of persons, damage to property as a result of, or arising out of, or in any manner connected with the performance of the obligations under this agreement. TENTH. COMPLIANCE WITH OTHER PROVISIONS OF LAW RELATIVE TO PUBLIC CONTRACTS. City is subject to the provisions of the Government Code and the Labor Code of the State of California. It is stipulated and agreed that all provisions of law applicable to public contracts are a part of this contract to the same extent as though set forth herein and shall be complied with by CONTRACTOR. These include, but are not limited to, the stipulation that eight (8) hours labor constitute a legal day' s work and CONTRACTOR shall, 21 as a penalty to City, forfeit twenty-five dollars ($25) for each workman employed in the execution of the Contract by CONTRACTOR, or by any SUB-CONTRACTOR, for each calendar day during which such workman is required or permitted to work more than eight (8) hours in violation of the provisions of Article Three, Chapter One, Part Seven, Division 2 , of the California Labor Code, except as permitted by law. ELEVENTH. NON-DISCLOSURE REQUIREMENTS/CONFLICT OF INTEREST. Pursuant to Council Policy, it has been determined that the services to be rendered under the provisions of this Contract are excluded by the requirement of filing a Financial Disclosure Statement by California Administrative Code Section 18700 (2) (A) and (B) . CONTRACTOR certifies that to the best of its knowledge, no CITY/AGENCY employee or office of any public agency interest in this Contract has any pecuniary interest in the business of CONTRACTOR and that no person associated with CONTRACTOR has any interest that would conflict in any manner or degree with the performance of this Contract. CONTRACTOR represents that it presently has no interest and shall not acquire any interest, direct or indirect, which could conflict in any manner or degree with the faithful performance of this Contract. CONTRACTOR is familiar with the provisions of Government Code Section 87100 and following, and it certified that it does not know of any facts which constitute a violation of said provisions. CONTRACTOR will advise the CITY/AGENCY if a conflict arises. TWELFTH. LICENSING REQUIREMENT. CONTRACTOR and Sub-Contractors are required to possess City Business License and valid State Contractors License (C-10) . THIRTEENTH. CONTRACT EXTENSION. In the event CONTRACTOR has fully complied with all terms and conditions of this contract, as determined in the sole discretion of the CITY Director of Public Lands and Facilities, CONTRACTOR may request that this contract be extended for a successive period of 24 months . CONTRACTOR shall submit his request in writing to the Director of Public Lands and Facilities at least 30 calendar days prior to the date on which the contract would have been terminated. All items to be furnished and all work to be done shall conform to the current Standard Plans and Specifications of the State of California, and as most recently revised, and as shown hereon. 2. All conduit shall be minimum 2" PVC schedule 40 at 30" below finish grade. Install #8 THW COPPER wire. Use #6 THW COPPER wire if three or more poles are on the same line. 3. Furnish and install a No. 3 1/2 concrete Pull Box at each pole. 4. Anchor bolts to be supported in place during pouring and setting of foundation. 5. Contractor to pull wire through conduit and leave 3' + slack wire inside SDG&E pull box and inside City pull box. 6. No alternatives may be used without the written consent of the City Engineer. 7.
