3 BETWEEN
4 ORANGE COUNTY TRANSPORTATION AUTHORITY
AND
6 CITY OF SAN JUAN CAPISTRANO
7 THIS AMENDMENT NO. 1 is effective this day of , 2018, (the "Amendment")
8 by and between the Orange County Transportation Authority, 550 South Main Street, P.O. Box 14184,
9 Orange, California 92863-1584, a public corporation of the State of California (hereinafter referred to as
to "Authority"), and the City of San Juan Capistrano, a municipal corporation, 32400 Paseo Adelanto, San
11 Juan Capistrano, California 92675(hereinafter referred to as"City").
12 WITNESSETH:
13 WHEREAS, Authority and City entered into a funding agreement (the "Agreement") to continue
14 the Authority's administration of the Orange County Taxi Administration Program (OCTAP) on behalf of
is the Orange County cities, including City, and the County of Orange(uCounty")through June 30, 2018.
16 WHEREAS,the Agreement conditioned the continued administration of OCTAP by the Authority
17 upon the receipt of payment from each city, including City, and the County.
18 WHEREAS, the cities and County have requested, and the Authority has agreed, to continue
19 administration of OCTAP for an additional six (6) months through December 31, 2018 on behalf of the
20 Orange County cities and the County upon receipt of additional funding from each city and the County,
21 including City.
22 WHEREAS, Authority and City desire to extend the Term of the Agreement for an additional
23 six(6)months through December 31, 2018 for continued administration of OCTAP.
24 NOW, THEREFORE, it is mutually understood and agreed by Authority and City that the
25 Agreement is hereby amended in the following particulars only:

1 • 1. Paragraph 1 of the Agreement, Term, is hereby amended and shall be replaced in its entirety
2 with the following: "1. Term. This Agreement shall remain in full force and effect until
3 December 31, 2018 ("Term"), unless extended upon mutual written agreement by the parties."
4 2. Paragraph 2, City responsibilities, is hereby amended and shall be replaced in its entirety with
5 the following: "2. City Responsibilities. For the period of July 1, 2017 through June 30, 2018, City
6 agrees to pay Authority the amount designated in Exhibit A, attached hereto and incorporated by this
7 reference, and will continue to participate as a member of OCTAP. For the period July 1, 2018 through

December 31, 2018, City agrees to pay Authority the amount designated in Exhibit B, attached hereto
9 and incorporatedby this reference, and will continue to participate as a member of OCTAP."
10 The balance of the Agreement remains unchanged.
11 IN WITNESS WHEREOF, the parties have executed this Agreement on the date set forth above.
