Approval of Amendment No. 2 to the Personal Services Agreement
for Custodial Services for Public Park Restrooms and Public Areas
(Golden Touch Cleaning Inc.)
RECOMMENDATION:
Approve and authorize the City Ma nager to execute Amendment No. 2 to the Personal
Service Agreement with Golde n Touch Cleaning Inc. to provide custodial services for
public park restrooms and public areas for a one-year period commencing on
August 1, 2018, and ending July 31, 2019, for a total amount not-to-exceed $41,000.
DISCUSS ION/ANALYS IS :
Golden Touch Cleaning Inc. (GTC) has provided custodial services for public park
restrooms and public areas in the city since July 15, 2014. The initial three-year term of
the Personal Services Agreement (PSA) with GTC expired on July 31, 2017
(Attachment 1), and Amendment No. 1 to the PSA (Attachment 2) expires on July 31,
2018. The initial PSA allows for three, one-year extensions. Based on satisfactory
performance over the past four years, staff recommends that the City Council approve
and authorize the City Manager to execute Amendment No. 2 to the PSA with GTC
(Attachment 3) to provide custodial services for public park restrooms and public areas
for an additional one-year period commencing on August 1, 2018, and ending July 31,
2019, for a total amount not-to-exceed $41,000 (Attachment 3).

FISCAL IMPACT:
Amendment No . 2 to the PSA with GTC reflects no increase in costs over the existing
contract amount, which is shown on Exhibit A of Attachment 3. The proposed not-to-
exceed amount of $41 ,000 includes a five percent contingency. Funding for these
services is included in the proposed budget for Fiscal Years 2018/19-2019/20.
ENVIRONMENTAL IMPACT:
The proposed action of awarding a contract for custodial services is not subject to
CEQA pursuant to Section 15060(c)(3) of CEQA Guidelines because the action is not a
project as defined in Section 15378 of the CEQA Guidelines, and the action has no
potential for resulting in physical change to the environment, directly or indirectly.
PRIOR CITY COUNCIL REVIEW :
• On July 15 , 2014, the City Council approved the Personal Services Agreement
with Goodmen Cleaning Services , now Golden Touch Cleaning, Inc., to prov ide
custodial services for public park restrooms and public areas for a three-year
term in the total amount of $102,624.
COMMISSION/BOARD REVIEW AND RECOMMENDATIONS :

PERSONAL SERVICES AGREEMENT
THIS AGREEM ENT is made , entered into, and shall become effective this \5 -~ay
of JV h./ , 2014, by and between the City of San Juan Capistrano (hereinafter referred to as
th~") and GCS, Inc., Goodmen Cleaning Services (hereinafter referred to as the
"Contractor").
RECITALS:
WHEREAS, City desires to retain the services of Contractor regarding the City's
proposal to provide custodial maintenance services for park restrooms/public areas; and,
WHEREAS, Contractor is qualified by virtue of experience, training, education and
expertise to accomplish such services.
NOW, THEREFORE, City and Contractor mutually agree as follows:
Section 1. Scope of Work.
The scope of work to be performed by the Contractor shall consist of those tasks as
set forth in Exhibit "A," attached and incorporated herein by reference. To the extent that
there are any conflicts between the provisions described in Exhibit "A" and those provisions
contained within this Agreement, the provisions in this Agreement shall control.
Section 2. Term.
This Agreement shall commence on the August 1, 2014. This Agreement shall be
for a three (3) year period of time with three (3) one-year extensions. Agreement
extensions shall be based on staff review of the Contractor's performance. Optional
renewals may be subject to an adjustment tied to an All Urban Consumers Price Index
(CPI) adjustment as determined and approved by the City. This Agreement shall terminate
on July 31, 2020.
Section 3. Compensation.
3.1 Amount.
Total compensation for the services hereunder shall not exceed the total
amount available in the City's adopted fiscal year operating budget for custodial
maintenance services for park restrooms/public areas, payable at the rates set forth in
"Exhibit B", attached and incorporated herein by reference.
3.2 Method of Payment.
Subject to Section 3.1, Contractor shall submit monthly invoices based on
total services which have been satisfactorily completed for such monthly period. The City

will pay monthly progress payments based on approved invoices in accordance with this
·Section.
3.3 Records of Expenses .
Contractor shall keep complete and accurate records of all costs and
expenses incidental to services covered by this Agreement. These records will be made
available at reasonable times to the City. Invoices shall be addressed as provided for in
Section 16 below.
Section 4. Independent Contractor.
It is agreed that Contractor shall act and be an independent contractor and not an
agent or employee of the City, and shall obtain no rights to any benefits which accrue to
Agency's employees.
Section 5. Limitations Upon Subcontracting and Assignment.
The experience, knowledge, capability and reputation of Contractor, its principals
and employees were a substantial inducement for the City to enter into this Agreement.
Contractor shall not contract with any other entity to perform the services required without
written approval of the City. This Agreement may not be assigned, voluntarily or by
. operation of law, without the prior written approval of the City. If Contractor is permitted to
subcontract any part of this Agreement by City, Contractor shall be responsible to the City
for the acts and omissions of its subcontractor as it is for persons directly employed.
Nothing contained in this Agreement shall create any contractual relationships between
any subcontractor and City. All persons engaged in the work will be considered employees
of Contractor. City will deal directly with and will make all payments to Contractor.
Section 6. Changes to Scope of Work .
For extra work not part of this Agreement, a written authorization from City is
required prior to Contractor undertaking any extra work. In the event of a change in the
Scope of Work provided for in the contract documents as requested by the City, the Parties
hereto shall execute an addendum to this Agreement setting forth with particularity all
terms of the new agreement, including but not limited to any additional Contractor fees.
Section 7. Familiarity with Work and/or Construction Site.
By executing this Agreement, Contractor warrants that: (1) it has investigated the
work to be performed; (2) if applicable, it has investigated the work site(s), and is aware of
all conditions there; and (3) it understands the facilities, difficulties and restrictions of the
work to be performed under this Agreement. Should Contractor discover any latent or
unknown conditions materially differing from those inherent in the work or as represented
by City, it shall immediately inform the City of this and shall not proceed with further work

under this Agreement until written instructions are received from the City.
Section 8. Time of Essence.
Time is of the essence in the performance of this Agreement.
Section 9. Compliance with Law.
Contractor shall comply with all applicable laws, ordinances, codes and regulations
of federal, state and local government.
Section 10. Conflicts of Interest.
Contractor covenants that it presently has no interest and shall not acquire any
interest, direct or indirect, which would conflict in any manner or degree with the
performance of the services contemplated by this Agreement. No person having such
interest shall be employed by or associated with Contractor.
Section 11. Copies of Work Product.
At the completion of the work, Contractor shall have delivered to City at least one (1)
copy of any final reports and/or notes or drawings containing Contractor's findings,
conclusions, and recommendations with any supporting documentation. All reports
submitted to the City shall be in reproducible format, or in the format otherwise approved
by the City in writing .
Section 12. Ownership of Documents.
All reports, information, data and exhibits prepared or assembled by Contractor in
connection with the performance of its services pursuant to this Agreement are confidential
to the extent permitted by law, and Contractor agrees that they shall not be made available
to any individual or organization without prior written consent of the City. All such reports,
information, data, and exhibits shall be the property of the City and shall be delivered to the
City upon demand without additional costs or expense to the City. The City acknowledges
such documents are instruments of Contractor's professional services.
Section 13. Indemnity.
To the fullest extent permitted by law, Contractor agrees to protect, defend, and hold
harmless the City and its elective and appointive boards, officers, agents, and employees
from any and all claims, liabilities, expenses, or damages of any nature, including
attorneys' fees, for injury or death of any person, or damages of any nature, including
interference with use of property, arising out of, or in any way connected with the
negligence, recklessness and/or intentional wrongful conduct of Contractor, Contractor's
agents, officers, employees, subcontractors, or independent contractors hired by

Contractor in the performance of the Agreement. The only exception to Contractor's
responsibility to protect, defend, and hold harmless the City, is due to the negligence,
recklessness and/or wrongful conduct of the City, or any of its elective or appointive
boards, officers, agents, or employees.
This hold harmless agreement shall apply to all liability regardless of whether any
insurance policies are applicable. The policy limits do not act as a limitation upon the
amount of indemnification to be provided by Contractor.
Section 14. Insurance.
On or before beginning any of the services or work called for by any term of this
Agreement, Contractor, at its own cost and expense, shall carry, maintain for the duration
of the agreement, and provide proof thereof that is acceptable to the City, the insurance
specified below with insurers and under forms of insurance satisfactory in all respects to
the City. Contractor shall not allow any subcontractor to commence work on any
subcontract until all insurance required of the Contractor has also been obtained for the
subcontractor. Insurance required herein shall be provided by Insurers in good standing
with the State of California and having a minimum Best's Guide Rating of A-Class VII or
better.
14.1 Comprehensive General Liability .
Throughout the term of this Agreement, Contractor shall maintain in full force
and effect Comprehensive General Liability coverage in an amount not less than one
million dollars per occurrence ($1 ,000,000.00), combined single limit coverage for risks
associated with the work contemplated by this agreement. If a Commercial General
Liability Insurance form or other form with a general aggregate limit is used, either the
general aggregate limit shall apply separately to the work to be performed under this
agreement or the general aggregate limit shall be at least twice the required occurrence
limit.
14.2 Comprehensive Automobile Liability .
Throughout the term of this Agreement, Contractor shall maintain in full force
and effect Comprehensive Automobile Liability coverage, including owned, hired and non-
owned vehicles in an amount not less than one million dollars per occurrence
($1 ,000,000.00).
14.3 Workers' Compensation .
If Contractor intends to employ employees to perform services under this
Agreement, Contractor shall obtain and maintain, during the term of this Agreement,
Workers' Compensation Employer's Liability Insurance in the statutory amount as required
by state law.

14.4 Proof of Insurance Requirements/Endorsement.
Prior to beginning any work under this Agreement, Contractor shall submit the
insurance certificates, including the deductible or self-retention amount, and an additional
insured endorsement naming City, its officers, employees, agents, and volunteers as
additional insured as respects each of the following: Liability arising out of activities
performed by or on behalf of Contractor, including the insured's general supervision of
Contractor; products and completed operations of Contractor; premises owned, occupied
or used by Contractor; or automobiles owned, leased, hired, or borrowed by Contractor.
The coverage shall contain no special limitations on the scope of protection afforded City,
its officers, employees, agents, or volunteers.
14.5 Not applicable.
14.6 Notice of Cancellation/Termination of Insurance .
The above policy/policies shall not terminate, nor shall they be cancelled, nor
the coverages reduced, until after thirty (30) days' written notice is given to City, except that
ten (1 0) days' notice shall be given if there is a cancellation due to failure to pay a
premium.
14.7 Terms of Compensation .
Contractor shall not receive any compensation until all insurance provisions
have been satisfied.
14.8 Notice to Proceed .
Contractor shall not proceed with any work under this Agreement until the
City has issued a written "Notice to Proceed" verifying that Contractor has complied with all
insurance requirements of this Agreement.
Section 15. Termination.
City shall have the right to terminate this Agreement without cause by giving thirty
(30) days' advance written notice of termination to Contractor.
In addition, this Agreement may be terminated by any party for cause by providing
ten (1 0) days' notice to the other party of a material breach of contract. If the other party
does not cure the breach of contract, then the agreement may be terminated subsequent
to the ten (1 0) day cure period.
Section 16. Notice.
All notices shall be personally delivered or mailed to the below listed addresses, or

Section 17. Attorneys' Fees .
If any action at law or in equity is necessary to enforce or interpret the terms of this
Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and
necessary disbursements in addition to any other relief to which he may be entitled.
Section 18. Dispute Resolution.
In the event of a dispute arising between the parties regarding performance or
interpretation of this Agreement, the dispute shall be resolved by binding arbitration under
the auspices of the Judicial Arbitration and Mediation Service ("JAMS").
Section 19. Entire Agreement.
This Agreement constitutes the entire understanding and agreement between the
parties and supersedes all previous negotiations between them pertaining to the subject
matter thereof.
Section 20. Counterparts and Facsimile signatures.
This Agreement may be executed by the Parties in counterparts, which counterparts
shall be construed together and have the same effect as if all the Parties had executed the
same instrument. Counterpart signatures may be transmitted by facsimile, email, or other
electronic means and have the same force and effect as if they were original signatures.

solutions and applications for cleaning along with the job training for cleaning
equipment usage and safety needed for daily use. GCS, Inc. requires MSDS
information to be kept at all job sites. all employees are familiar with the usage of
chemicals in care of an emergency. GCS keeps injury and illness prevention
booklet at the main office in Irvine per CAL OSHA requirements. as of 4/30/14,

GENERAL PROVISIONS
REQUIREMENTS, PERSONNEL, EQUIPMENT, MATERIALS, AND SUPERVISION
REQUIREMENTS
a) All work .performed by the contractor shall be performed between the hours
of 7:00a.m. to 12 NOOt)l, Monday through Sunday, as facility schedules allow,
or as approved by the Public Works and Utilities Director, or authorized
representative. The Contractor will be supplied with a monthly use schedule for
each location so that a monthly work schedule rnay be devised, which will not
conflict with any use.
b) Contractor will be required to supply a list of equipment owned and available for
work.
c) Contractor will be required to provide proposed transition plan between current
contract provider and new Contractor.
d) Contractor will be required to supply a list of references for similar work
performed.
e) Contractor will be required to supply list of sub-contractors, if applicable.
f) Contractor may be requifed to supply additional experience references, if
requested by City.
g) Contractor shall provide -City with required proof of liability insurance, workman's
compensation insurance , vehicle insurance, and City Business License as noted
in the contract.
h) Hourly rates for emergency work shall be for actual time spent on the job site .
No travel time will be paid.
i) The Proposal will be awarded based on an analysis of Proposal Prices (for
normal work rates, not emergency work rates); Statement of Experience ,
Statement of Equipment, List of Sub-ContractorsNendors and all provisions
noted in the Instructions to Proposers and General Provisions and Speci'fications
sections of the Specification Package. The City may award to one or more
contractors as required to meet its needs.
j) At any time prior to Proposal date, Contractor may inspect City property for
further information, if desired. City representatives will be available to answer
questions.
k) Contractor shall protect any and all private property adjacent to work areas. Any
damage to private property resulting directly or indirectly from Contractor's

actions shall be the responsibility of the Contractor.
I) All employees of Contractor shall wear a uniform or shirt that clearly identifies the
company.
m) Contractor must be able to provide a list of employee's names, dates worked and
hours worked on each date, if requested by the City.
n) Contract Termination -j.f at any time, in the opinion of the Public Works and
Utilities Director, or authorized representative, the Contractor fails to supply
suitable equipment, an adequate working force, or material of proper quality, or
shall fail in any respect to prosecute any work with the diligence and force
specified and intended in and by the terms of the contract, notice thE~reof in
writing shall be served upon Contractor. Should Contractor neglect or mfuse to
provide means or satisfactory compliance with the contract, as directed by the
Public Works and Utilities Director, or authorized representative, within the time
specified in such notice, the City in any such case shall have the power to
terminate all or any portion of the contract.
PERSONNEL
Contractor shall use and furnish a workforce necessary for the satisfactory performance
for the work set forth in this contract for Custodial Maintenance ·-Park
Restrooms/Public Areas .
(a) Contractor's Employees
Contractor shall require their employees to present a neat appearance at all times while
engaged in the performance of their duties and maintain good bearing and deportment
toward the public. Should for any reason an employee be unsatisfactory in the opinion
of the Public Works and Utilities Director or authorized representative, the Contractor,
when notified in writing , shall cause that employee to be removed and replaced by a
satisfactory employee.
(b) Employee Attire
Contractor shall require each of their employees to adhere to basic standiards of
working attire. These are to include uniforms, with the Contractor's company name or
insignia clearly vi sible, proper shoes and othe r gear req uired by State Safety
Regulations, and prope r wearing of clothing, w hi c h includes th at shirts shall be worn at
all times, buttoned and tucked in .
(c) Typical Tasks
Contractor shall supply employees with the skills to perform various semi-skilled duties
in connection with custodial maintenance operations a variety of hand and power tools

for purposes of maintaining public facilities which includes operating light equipment.
(d) Experience
Supervisors/Foremen shall have a minimum of five (5) years of experience in the field of
Custodial Maintenance .
(e) Licenses
Contractor 's employees will be required to possess a valid and current California Driver
License, including all insurances, as required by the City .
(f) Knowledge and Abilities
Contractor's representative shall have a general knowledge of the custodial
maintenance industry,, including; suitable experience in the field to perform the r•equired
work in a safe and thoughtful manner as well as follow oral and written communications.
EQUIPMENT
Contractor shall use and furnish all equipment necessary for the satisfactory
performance of the work set forth in this contract.
(a) Vehicles
Contractor shall display the name of their firrn on any/all vehicles used or
otherwise by the Contractor's employees . The' firm name shall be in letters
large enough to be easily legible from a distance of fifty (50) feet during the
course of their work .
(b) Maintenance
All equipment used by the Contractor shall be kept in a neat and clean
appearance and maintained in top mechanical condition. All equipment shall
be properly adjusted, from an operational safety standpoint.
(c) Storage of Equipment
The City may provide a reasonable amount of space for storage of the
Contractor's equipment that is used in the City. The space may be designated
by the Public Works and Utilities Director or an authorized representative .
Contractor shall be limited to the space as designated. Contractor shall be
responsible for mainta:ining this area and shall return it to its original condition
at the end of the contract. The City shall not be responsible for anything
stolen, vandalized or damaged otherwise.

MATERIALS
Contractor shall furnish all material, including but not limited to, cleaning equipment,
cleaning agents, consumable goods, etc., necessary for the performance of the work
set forth in this contract. ·
a. Storage of Materials-The City may provide a reasonable amount of space
for storage of the Contractor's materials that are used in the City. The space
will be designated by the Public Works and Utilities Director or authorized
representative . Contractor shall be limited to the space so designated.
Contractor shall be r~sponsible for maintaining this area and shall return it to
its original condition at the end of the contract. The City shall not be
responsible for anything stolen, vandalized or damaged otherwise.
SUPERVISION
Contractor is required to provide such adequate superv1s1on as to furnish ongoing
supervision of workmanship and adherence to schedules by the employees performing
the work under contract. The field supervisor or their representative shall check with the
Public Works and Utilities Director or authorized representative weekly as to (1)
schedule of work; (2) co m plaints, and (3) adequacy of performa nce. The Contractor
shall submit such repo rt s as the City may require ensuring compliance with scheduled
work. The Contractor's field supervisor shall be onsite while work is in progress .
TELEPHONE, ELECTRONIC MAIL, AND EMERGENCY SERVICE CONTACT
INFORMATION
Contractor is required to provide the City at all times throughout the duration of this
contract emergency telephone numbers of at least two (2) qualified persons who can be
called for emergency conditions at any time that Contractor's representatives are not
immediately available at the job site. An alternate emergency number shall be provided
in case no answer is received at the first number. The emergency number shall be
used to contact the representative of the Contractor who can take the necessary action
required to alleviate an emergency condition which threatens to cause damage to any
City property .
Contractor shall employ person(s) to answer telephone and e-mail complaints, requests
for service, etc. (an answering service will not be considered sufficient for this purpose)
during normal City working hours. Normal City working hours are 7:00 A.M. to 5:00
P.M., Monday through Friday.
Contractor is required to provide the City with a 24 -hour emergency number for contact
outside normal working hours . The response to an emergency call-out by the Contractor
shall not be more than two (2) hours and shall be considered part of the normal contract
except when delayed by problems caused by vehicle accidents or Acts of God.

EMERGENCY MEDICAL FACILITY
Contractor is required to provide the City with one (1) copy of an "Emergency Medical
Facility Designation and Procedure Sheet" before a contract is awarded. On this sheet,
the successful proposer must designate a twenty-four (24) hour emergency medical
facility to provide emergency medical treatment/care in the event of injury to any of the
Contractor's employees. It will be the responsibility of the Contractor's
Supervisor/Foreman to transport or make arrangements for the transportation of any
injured employee to and from the designated emergency medical facility or any similar
medical facility.

ADDITIONAL GENERAL CONTRACT PROVISIONS
Scope of Work
The work to be done under th .is contract consists of Custodial Maintenance for Park
Restrooms/Public Areas within the City of San Juan Capistrano.
Standards of Performance
All other portions of this contract notwithstanding are agreed that the intent of the
Personal Services Agreement .is to provide a level of maintenance to provide for the
safety and wellbeing of the use ·rs as well as a pleasing and desirable appearanee at all
times. Contractor agrees to maintain all designated areas covered by this aweement at
such level.
Statement of Experience
All applicants are required to submit a statement of experience on projects related to
Custodial Maintenance -Park Restrooms/Public Areas.
Coordination Meeting
Prior to the commencement of this contract, arrangements will be made for a meeting
between the Contractor and the Public Works and Utilities Director or authorized
representative. The purpose of this meeting will be to coordinate the activitie::; of the
Contractor within the limits of this contract, review scheduling, discuss main1tenance
methods and clarify inspection procedures.
Contract Termination
If at any time, in the opinion 0f the Public Works and Utilities Director or authorized
representative , Contractor fails to supply suitable equipment, an adequate working
force , or material of proper quality, or shall fail in any respect to perform any work with
the diligence and force specified and intended in and by the terms of the contract, notice
thereof in writing shall be served upon him. Should the contractor neglect or refuse to
provide means for satisfactory ·compliance with the contract, as directed by the Public
Works and Utilities Director, within the time specified in such notice, the City in any such
case shall have the power to terminate all or any portion of the contract.
Extra Work
Contractor shall indicate on the proposal the costs for furnishing all labor and equipment
to perform on-call and extra services listed below. All cleaning materials will be
monitored by the City. Contractor shall notify the City within 48 hours of having to
perform extra work and the cost associated with the extra work .
1. Extra work will not be performed without prior approval by the Public Works and
Utilities Director or auth0rized representative unless a condition exists wherein it
appears there is danger of injury to persons or damage to property.
2. Extra work may be required by the Public Works and Utilities Director or
authorized representative as a result of acts of God, vandalism, th·eft, civil
disturbances, accidents, or improvements.

3. Payment for extra work will be based on actual cost of labor; plus wholesale cost
of materials, plus a markup. Extra services other than those listed shall be
negotiated on a time and

material basis with a "not to exceed" amount.
4 . The Public Works and Utilities Director or authorized representative is authorized
to approve extra work i up to 25 percent (25%) of the annual cost of the
agreement, or reduce the contract amount by up to 25 percent (25%) of the
annual cost of this agreement.
Flow and Acceptance of Water ·
Surface or other waters may be; encountered at various times. Contractor, by submitting
a proposal, acknow ledg es that they have investigated the risks arising from sutface or
other waters and has prepar~d their proposal accordingly. It shall be the sole
responsibility of the Contractor to protect their work from danger due to any waters
encountered. Should any dam~ge occur to the work due to surface or other water, the
Contractor shall repair such darrage at their expense.
NPDES Regulations
Contractor shall comply with all City regulations regarding NPDES (National Pollution
Discharge Elimination Syste1111) Requirements and the City's Best Management
Practices. Contractor shall r+tot discharge anything to the storm drain or creek.
Contractor will contain any mc;iterials that may potentially reach a City storm drain.
Contractor shall implement the :attached Best Management Practices (BMP's) provided
by the City . Contractor will conduct annual training regarding stormwater reg ulati ons
and the appropriate BMP's fo r all employees working at Park Restrooms/PubliG Areas
Contractor shall provide to the City annually, by Ju ly 1, with certification of the required
training on stormwater regulatiqns and the BMP's, and acknowledgement of adherence
to these standards while performing work at the City.

Protection of Existing Utilities
Contractor must take all due 1precautionary measures to protect all of the existing
uti lit ies . When necessary , the <;ontractor shall have all utilities located by contac:ting the
responsible agency at least 48 hours prior to commencing any work. The Contractor's
attention is di rected to the utility notification service provided by Underground Service
Alert (USA). USA member utili ~ies will provide the Contractor with the locations of their
substructures when given at least 48 hours notice. Such requests should be requested
through USA (1-800-422-4133).
Protection of Private Property
Contractor must remain within the maintenance areas to the best of his ability .
Contractor must protect all existing private property.
Protection of Maintenance Areas
Contractor shall protect prope rty and facilities adjacent to the maintenance areas and all
property and facilities within tHe maintenance areas. After completion of project, the
maintenance area shall be clean and in a presentable condition. All public or privately
owned improvements and fa c.i lities shall be restored to their original condition and
location. In the event improvements of the facilities are damaged, they shall be replaced

with new materials equal or better to the original. Contractor shall repair such damage
at their expense.
Nothing herein shall be constru,ed to entitle the Contractor to the exclusive use of any
public street; way or parking :area during performance of the contract work, and
Contractor shall conduct his op~rations so as not to interfere with the authorized work of
utility companies or other agencies in such streets, ways or parking areas.
Weekly Report ing
Contractor shall make weekly contact with the Public Works and Utilities Director or
authorized representative to determine work level and effort, as well as maint•enance
performance. Contractor shall ! provide the City with a weekly log sheet showing the
names, dates, and hours worked of all employees for the previous week, on the
following Monday.
City Inspection
Contractor is expected to insp$ct all locations once each month accompanied by the
Public Works and Utilities qirector or authorized representative. At that time,
inadequacies/areas of improvelillent will be determined prior to release of payment for
that month. If the Contractor faiis to provide services, as per specifications noted in the
inspection, the City shall have the right to withhold payment or that portion of payment
as determined as appropriate by the City to correct the problem.
Withholding of Payment
If, in the event that inadequacies/deficiencies are determined by the Public Works and
Utilities Director or authorized representative , the Contractor will have 24 hours from the
time such items have been determined to be corrected as necessary. If Contractor fails
to correct within 24 hours, Contractor shall be fined the amount previously detHrmined
at the time of the initial inspection . Deductions from the monthly payment due, for work
not performed, will be based upon the bid worksheets, which are to be submitted at the
time of bid.
Meetings
Contractor shall provide the , Public Works and Utilities Director or authorized
representative with a contact person(s) and a phone number to reach the contract
representative at all times, 24 hours per day.
Contractor shall appoint and identify to the Public Works and Utilities Dimctor or
authorized representative a "site supervisor." This site supervisor shall meet with staff
one (1) time per week at a time and place agreed upon by both parties for as long as
the contract is in effect to discuss any problems/concerns which may arise and any
goals for the day/week.
REPORTS AND SCHEDULES
Contractor, as part of this agreement, will submit reports and schedules as requested.
Failure to submit reports and schedules in a timely manner may result in a delay of
monthly payments or a Perfo rmance De f iciency Deduction notice (sample on next

page). Such reports must be detailed and thorough, and may include, but not be limited
to, the following:
A. Suggestions for improving problem areas.
B. Reports of work planned :
C. Cost information to perform extra work for upgrading specific areas.
D. Weekly Maintenance Scnedule(s):
1. Contractor shall provide a weekly maintenance schedule to the! Public
Works and Utilities Director or authorized representative.
2. Notification of change in scheduled work must be received by the City at
least 12 hours prior to the scheduled time for the work.

CUSTODIAL MAINTENANCE-PARK RESTROOMS/PUBLIC AREAS
GENERAL
The intent of this Section as applied to this RFP is to perform various work
activities as they relate to custodial services. Contractor shall provide at their own
risk and cost all labor, materials, tools, supplies, equipment, transportation I hauling
and other items needed to do custodial work as directed herein.
SCOPE OF WORK
Contractor shall perform all work necessary to complete the contract in an
acceptable manner as determined by the Public Works and Utilities Director or
authorized representative.
LEVEL OF MAINTENANCE
1. All work shall be performed in accordance with the maintenance standards
at City established frequencies so as to maintain an aesthetically safe
level. Standards and frequencies may be modified from time to time as
deemed necessary by the City for the proper maintenance of these
buildings. City reserves the right to negotiate the unit prices if frequencies
chang ,e substantially.
2. Weekly inspections of all areas included in the contract will 'be made by
the City. The results of each inspection shall be recorded and retained for
routine reference. Twenty (20) hours shall be allotted monthly for
inspection and contract supervision by the City. Contractor shall
compensate the City for all time required for inspection and supervision in
exces;s of the above specified tirne.
a) The excess time is, in the opinion of the City, required d.ue to an
inadequate level of maintenance as specified herein,
b) Contractor has failed to correct said deficiencies within the time
specified by the City after notification.
3. Notices and penalties for non-performance are set forth as follows :
a) Deficiency Notice: Contractor is required to correct deficiencies
within the time specified by the City.
b) Withholding of Payment: Provided work under the Deficiency
Notice has not been completed, payment for subject deficiency
shall be withheld until deficiency is corrected I without the right to

retroactive payments.
c) Contractor's representative shall contact the City on a weekly
basis ~or notification of special maintenance item(s) requiring
correction .
WORKING TIME LIMITS
All work performed by the contractor shall be performed between the hours
of 7:00 a.m. to 12 NOON, Monday through Sunday, as facility schedules allow,
or as approved by the Public Works and Utilities Director or authorized I •
representative. The Contractor will be supplied with a monthly use schedule for
each location so that a monthly work schedule may be devised, which will not
conflict with any use.
DAMAGES
Contractor shall report, without delay, any damage to City equipment or property.
The Contractor shall be liable for damages caused by their employees. Any
repairs and associated cost resulting from Contractor vehicle or equipment
damage shall be the responsibility of the Contractor. ·
MATERIALS TO B:E PROVIDED BY CONTRACTOR
Contractor, at their own cost and expense, shall furnish all necessary equipment,
supplies, and materials of good quality and in the amounts necessary to fulfill this
contract and to accomplish an acceptable and professional level of maintenance .
Contractor shall provide all consumable goods . including but not limited to : to ilet
paper . seat covers . paper towels , soaps and trash liners . Quality of paper goods to
be approved by the City prior to award of contract. Toilet paper to be Roses Azalea
- 2 Ply or approved equal.
Contractor shall review the monthly use schedule to insure · that adequate
consumables .are stocked for scheduled special events such as weddings and
large parties .
AIR POLLUTION
Contractor sh~ll comply with the most current AQMD and City air pollution control
rules, regulations, ordinances and statutes which apply to any work performed
pursuant to the Contract and shall not discharge smoke, dust or any other air
contaminants into the atmosphere in such quantity as will violate the regulations
of any legally constituted authority. Material to be disposed of shall not be burned.

Contractor s,hall promptly and legally dispose of all debris accumulated as a result
of ma inte narce operations and will not allow any debris therefore to remain on

NATIONAL POLLUTANT DISCHARGE ELIIVIINATION SYSTEM (NPDES)
Contractor shall comply with all City regula t ions regarding NPDES (National Pollution
Discharge Elimination System) Requirements and the City's Best Management
Pract ices . Contracto r shall not discharge anything to the storm drain or creek .
Contractor will contain any materials that may potentially reach a City storm drain .
Contractor shall implement the attached Best Management Practices (BMP's) provided
by the City. Contractor will conduct annual training regarding stormwater regulations
and the appropriate BMP 's for all employees working at Park Restrooms/Public Areas
Contractor s hall provide to the City annually , by July 1, with certification of the required
training on stormwater regulations and the BMP's, and acknowledgement of adherence
to these standards while performing work at the City.
MAINTENANCE SCHEDULES
Contractor is required to furnish monthly and annual maintenance schedules to
include planned activities for all persons performing any function of the contract.
The schedules shall be submitted to the City no later than the start of the contract
and shall be updated as necessary.

Consideration of a Personal Services Agreement for Custodial

RECOMMENDATION:
By motion, approve the Personal Services Agreement with Great Cleaning Services,
Inc ., Goodmen Cleaning Services to provide Custodial Maintenance Services for City
Park Restrooms/Public Areas for a three-year terl'!l in the amount of $102,624.
EXECUTIVE SUMMARY:
The current Personal Services Agreement for custodial maintenance services for City
Park Restrooms/Public Areas expires on July 31, 2014. The Public Works and Utilities
Department requests that the City Council approve a Personal Services Agreement with
Great Cleaning Services, Inc., Goodmen Cleaning Services in the amount of $102,624
to provide custodial maintenance services for City Park Restrooms/Public Areas located
throughout the City of San Juan Capistrano. The new contract includes maintenance of
the two park restrooms in the Reata Park and Events Center. The contract term is for
three years (August 1, 2014, through July 31, 2017), with three (3) one-year optional
renewals at the City's discretion and demonstration of superior performance. The
optional renewals may be subject to an adjustment tied to an All Urban Consumers
Price Index (CPI) adjustment as determined and approved by the City.
DISCUSSION/ANALYSIS:
Custodial services are divided into two separate contracts: Custodial Maintenance
Services for City Facilities and Custodial Maintenance Services for City Park
Restrooms/Public Areas . This report focuses on the Personal Services Agreement for
Custodial Maintenance Services for City Park Restrooms/Public Areas. The contract
award for City Facilities will be presented in a separate agenda report on July 15, 2014.

The current City Park Restrooms/Public Areas custodial maintenance contractor is
Great Cleaning Services, Inc., Goodmen Cleaning Services (GCS). Their contract
expires on July 31, 2014. Staff issued a Request for Proposals (RFP) in May 2014. The
new RFP reflects updated information regarding the current needs of the City pertaining
to custodial maintenance, updated information as to insurance requirements and
frequency options. The RFP was mailed out on May 6, 2014, to 13 companies. The
RFP was also posted on the City's website . Pre-proposal conferences were held on
May 14, 2014, to explain the various nuances of each proposal and to answer specific
questions from interested proposers. On May 28, 2014, the City received five response
proposals for City Park Restrooms/Public Areas.

The lowest qualified bidder for the City Park Restrooms/Public Areas RFP is GCS.
Their proposal is $49,860 lower than the next lowest qualified bidder. GCS is the
current custodial maintenance contractor, and therefore, staff is familiar with this
company and its services and is satisfied with their current services. This firm is based
out of Irvine, California, and has 23 years of experience in the industry. They have an
excellent reputation for service in the Cities of Rosemead, Mission Viejo, and San
Clemente.
Staff recommends award of the Custodial Maintenance Service for City Park
Restrooms/Public Areas contract to GCS in the amount of $102,624, for the three-year
term beginning on August 1, 2014.
FISCAL IMPACT:
There is sufficient funding in the proposed Fiscal Year 2014/2015 and Fiscal Year
2015/2016 operating budget to provide for these services. The new contract will result
in an increase of 15.3% ($4,238) over the current pricing in the first year, for a total
34.7% ($26,412) increase for the three-year total contract, when compared with the
three-year contract currently in place (awarded in 2011 ). It should be noted that the
new RFP included the addition of two restrooms located in the Reata Park and Event
Center as part of the scope of work. Renewal options beyond July 31, 2017 may be
subject to an adjustment tied to an All Urban Consumers Price Index (CPI) adjustment
as determined and approved by the City.

AMENDMENT NO.2

1. Parties and Date.
This Amendment No. 2 to the Personal Services Agreement is made and entered into as of
this 19th day of June, 2018, by and between the City of San Juan Capistrano, a municipal
organization organized under the laws of the State of California with its principal place of business
at 32400 Paseo Adelanto, San Juan Capistrano, California 92675 ("City") and Golden Touch
Cleaning, Inc., a Corporation with its principal place of business at 13681 Newport Avenue, Suite 8,
Tustin, California 92780-7815 (Contractor). City and Contractor are sometimes individually
referred to as "Party" and collectively as "Parties."
2. Recitals.
2.1 Contractor. The City and Contractor have entered into an agreement entitled Personal
Services Agreement dated July 15, 2014 ("Agreement") for the purpose of retaining the services of
Contractor to provide custodial maintenance services for public park restrooms and public areas.
2.2 Amendment Purpose. The City and Contractor previously amended the Agreement to
extend the term for one additional year pursuant to Amendment No. 1 to the Agreement dated July
19, 2017 ("Amendment No. 1"). The City and Contractor desire to amend the Agreement to further
extend the term of the Agreement for an additional one-year period beginning August 1, 2018, and
ending July 31,2019.
3. Terms.
3.1 Amendment. The Agreement term under Section 2 of the Agreement, as amended
and extended by Amendment No. 1, is hereby extended for one (1) additional year commencing on
August 1, 2018, and expiring July 31, 2019 ("Second Renewal Term"), unless earlier terminated or
further extended pursuant to the terms of the Agreement.
3 .2. Amendment. Compensation for services performed by Contractor under this
Agreement during the Second Renewal Term shall be at the rates attached hereto as Attachment "A",
which are incorporated herein by this reference.
